License Grant
The English Grantor with effect from the Effective Date grants to the Argentina Licensee a Non-Exclusive Right to use the Trade Marks in the Territory for the markets.
License Property
'The Trade Marks' shall mean any one or more of the marks details of which are set out in Schedule 2 and such other registrations by the Grantor of the mark Lucas and the Diagonal Device as are granted in the Territory during the continuance of this Agreement which cover the Products or some of them and which the Grantor shall stipulate in writing to the Licensee shall become the subject of this Agreement.

The Licensor,  a UK company, hereby grants to the UK Company an irrevocable, exclusive and worldwide license to use the Licensed Name in connection with the manufacture, marketing and sale of Licensed Products.  In addition to the foregoing, Licensor hereby consents to the use of, and grants to the Company a royalty-free license to use, the Licensed Name in the Company's legal name.

c)  On In-Line Diesel Pumps for the OE Market and for supply to Lucas Limited pursuant to the Supply Agreement – During the Supply Agreement Term, and, in respect of any In-Line Diesel Pump continued to be manufactured by or on behalf of the Licensee and supplied to Lucas Limited after the end of the Supply Agreement Term pursuant to the Supply Agreement, for the period of such manufacture and supply.

(d)  In respect of Other Applications – 6 months from the Effective Date.

Lucas Trade Marks' shall mean (a) in relation to Products any one or more of those trade marks details of which are registered in the name of the Grantor and such other registrations by the Grantor of the marks Lucas and/or the Diagonal Device and/or CAV and/or the CAV device as are granted in the Territory during the Term which cover the Products or some of them and which the Grantor shall stipulate in writing to the Licensee shall become the subject of this Agreement and (b) in relation to In-Line Diesel Pumps shall also include the trade mark 'Simms'.

License Grant
In connection with the Licensee being granted worldwide non-exclusive manufacturing and marketing rights for certain of the oil filter products. The Licensor will receive a royalty on sales of replacement oil filter elements for the use of the U.S. trademark.

Licensor was the manufacturer and supplier of the products under a Distribution and Manufacturing Agreement.  A provision of the agreement stated that should the Licensor/Supplier become unable to supply the products to Licensee/Distributor, Licensee would automatically be entitled to commence manufacturing under the right to manufacture granted to Licensee and to use, and sell the products  in territories assigned.  This provision carried along with it the initiation of royalties to be paid.  Licensor did default and the royalty kicked in according to a letter dated June 18, 1990.
