The company is the owner of the trademarks Planters, Mr. Peanut and the Representation of Mr. Peanut, together with associated logos, trade dress, packaging appearance and claims to copyrights associated therewith (hereinafter referred to as the IP) in Canada.

Field of Use

Licensee desires the right to use the IP on and in connection with the manufacture, distribution, advertising and sale of its Fiddle Faddle branded snack food products.  Products means ready-to-eat caramelized popcorn product, with or without nuts as a secondary ingredient, sold in the Territory under Licensee’s Fiddle Faddle trademark.

License Grant

The Licensor hereby grants to the Licensee a non-exclusive, non-transferable license to manufacture, sell and distribute in Canada and the United States the Product bearing the Trademarks – CHIQUITA Logo.

License Property

Trademarks: Chiquita Logo and Chiquita Banana ShapeTrademark (three dimensional shape one-half of a banana sliced lengthwise).

The Licensor is a producer and distributor of bananas and other produce.

Field of Use

Licensee is a manufacturer and marketer of cookies and other similar products, and is desirous of acquiring from Licensor the right, subject to Licensor's control and supervision as hereinafter set forth, to manufacture, advertise and sell (i) a rotary die cut banana cookie with a fudge coating and containing Chiquita banana ingredients (the 'Banana Cookie'), and (ii) a fat free fruit bar consisting of a cake-type outer coating surrounding a banana/strawberry filling in jam form and made with Chiquita banana ingredients (the 'Banana Strawberry Fruit Bar'),  Sister company of Licensor, is prepared to supply all of Licensee's requirements for banana ingredients needed for the Products, including banana flakes, banana extract, banana powder, banana puree and other banana ingredients.

License Grant

The Company hereby grants to the Licensee the exclusive right, license and authority, subject to the terms and conditions hereinafter set forth, for the Territory to use the Trademarks in connection with Licensee’s manufacture, distribution and sale of the Products under the Trademarks in the Territory.

License Property

'Trademarks' means Eskimo Pie and the associated pictorial representations and Sugar Freedom and any designs or stylizations associated therewith and the Trade Dress.

The Company offers a range of frozen novelties, frozen yogurt, ice cream, and sorbet products.

Field of Use

'Products' means any of the following products hereinafter developed by Licensee made from the Base containing other ingredients specified in the Standards and approved by Eskimo for sale under the Trademarks; cookies, crackers, cereal-based snacks, potato chips, corn chips, popcorn and freezer pops (liquid to freezing-to-form pops); provided, however, that the parties expressly agree that Products shall not include any frozen dessert products (including without limitation, frozen novelty, ice cream, yogurt (hard-pack and soft-serve) and sorbet products] under the Trademark.  'Base' means the proprietary chocolate powder, produced by and under Licensor's manufacturing processes and formulations, that will be used by Licensee to manufacture the Products.

License Grant

The Company hereby grants to the Licensee exclusive right to produce, introduce, advertise, promote, market, distribute and sell the Products and exclusive right to use the Trademarks in relation to the Products.

License Property

'Trademarks' means and includes only the trademarks listed on Attachment 'A' attached hereto, and the trademarks' respective logo designs, and the names and logos of, and the box, package and wrapper artwork (including trade dress) associated with, those trademarks, all of which are owned by Licensor.

Field of Use

'Product(s)' shall mean Ready To Eat Packaged Cookies containing Skippy Peanut Butter packaged in cartons bearing the Trademarks.

'Peanut Butter' shall mean Skippy Brand Peanut Butter supplied by Licensor for use as a raw material ingredient solely for the manufacture of the Products, which Peanut Butter is described in the Product specifications.

License Grant

The Company hereby grants a royalty-bearing, non-exclusive license to utilize Trademarks in Territory only in connection with the manufacture, marketing and sale of certain cookie products.

License Property

Trademarks: 'Land O'Lakes logo'.
The Company is a member-owned agricultural cooperative, focusing on the dairy industry.

Field of Use

'Licensed Products' shall mean packaged, pre-baked cookies manufactured with butter in accordance with approved formulas and specifications.  The parties agree that Licensed Products shall contain butter and/or butter/margarine blend as an ingredient and the sole source of such butter and/or butter margarine blend shall be that of Licensor.  

Licensee desires to license the trademarks in connection with the manufacture, marketing and sale of certain cookie products only the United States, its territories, all U.S. military bases.  The parties agree that additional countries, or portions thereof, may be added to the definition of Territory upon the mutual agreement of the parties.  The parties acknowledge that mutually agreed upon minimum volumes must be reached prior to the Inclusion of additional countries to the definition of Territory.

License Grant

The Company hereby grants royalty-bearing, exclusive license to utilize the trademarks in Territory in connection with the manufacture, marketing and sale of Licensed Products.

License Property

Trademarks: Ringling Bros. and Barnum & Bailey; Ringling Bros.; Barnum & Bailey; The Greatest Show On Earth; Chicago Kidz; America's Living National Treasure; Ringling Bros. and Barnum & Bailey Clown College.

Field of Use

The term 'Licensed Products' shall mean any cookie, cracker, freeze pop type, ice cream cone and pop corn, and the right of first approval for packaged salty snacks and salty snack mix and the exclusive rights in promoting and advertising all Licensed Products in association with RBBB in the United States, its territories and possessions, all U.S. military bases, and Canada.

License Grant

Licensor hereby grants to Licensee, and Licensee hereby accepts, the exclusive royalty-bearing right and license to use the Trademarks solely in connection with the development, manufacture, marketing, distribution, promotion, advertising and sale of Licensed Products (expressly excluding machine dispensed soft serve products) within the Territory.

Licensor hereby grants to Licensee, and Licensee hereby accepts, a non-exclusive royalty-bearing right and license to use the Trademarks solely in connection with the development, manufacture, marketing, distribution, promotion, advertising and sale of machine dispensed soft serve products within the Territory.

License Property

The term Trademarks shall mean (i) the trademarks and logos owned by Licensor set forth below; (ii) any designs, trade dress, copyrights and unregistered trademarks provided by Licensor to Licensee for use in connection with labels or packaging for Licensed Products; (iii) any and all variations or modifications thereto which have been approved by Licensor for use hereunder; and (iv) any new trademarks owned by Licensor added, in Licensors sole discretion.

Field of Use

The term Licensed Products shall mean the following prepackaged frozen confection novelty products which consist solely of a Fruit Based Mixture, or, if made from a Fruit Based Mixture in combination with other ingredients (including ice cream or frozen yogurt), shall contain at least thirty percent (30%) by volume of a Fruit Based Mixture: pops, bars, cups, cones, parfaits, sorbet filled fruit shells, push-ups, squeeze-ups, sandwiches and nuggets. In addition, Licensed Products shall include retail package goods which are packaged in quart size containers or smaller containers and consist solely of (i) a Fruit Based Mixture, or (ii) a Fruit Based Mixture in combination with other ingredients, so long as such retail package goods contains at least thirty percent (30%) by volume of a Fruit Based Mixture and the other ingredients consist solely of any type, flavoring or variety of ice cream or frozen yogurt. Licensed Products also shall include machine dispensed soft serve products. Licensed Products shall expressly exclude frozen concentrated juice products, juice beverages and non-novelty items, including, without limitation, ice cream, frozen yogurt, water ice, or any other frozen items which would be considered substitutes for any of the foregoing, except as expressly provided in the definition of Licensed Products above. For example, Licensed Products shall include frozen juice bars.

The term Fruit Based Mixture shall mean a fruit based mixture, such as fruit juice ice, fruit ice, sorbet and sherbet, which contains at least Twenty Five percent (25%) by volume fruit and/or single strength or reconstituted fruit juice.

License Grant

The Switzerland's Licensor hereby grants to the Licensee, an affiliate, for the Term of this Agreement the exclusive, non-transferable right to use the Nestle Licensed Trademarks, solely in connection with the production, marketing, distribution, promotion and sale of Frozen Dessert Products in the Territory (or importation or exportation of Frozen Dessert Products from or to Affiliates of the Licensor outside the Territory); provided, however, that Frosty Paws shall be the only Licensed Trademark which may be used on Frozen Dessert Products for pets.

Frosty Paws is a brand of ice cream, specifically formulated and sold for dogs.

Field of Use

'Frozen Dessert Products” means ice cream, sorbet, frozen yogurt, sherbet, frozen mousse, ice milk, frozen juice bars, ice pops, water ice, ice cream cakes, frozen fudge bars, soft serve (soft bodied, machine made) ice cream, frozen novelty dessert products (such as bars, cones, sandwiches, smoothies and cup products based on or primarily derived from any of the foregoing), frozen dessert products for pets and other products based on or primarily derived from any of the foregoing that are marketed and sold under Nestle Licensed Trademarks, the third party trademarks or Pillsbury Licensed Trademarks, or that are unbranded.

The Swiss Company hereby grants to the Licensee a royalty-bearing, non-exclusive license to utilize Trademarks in Territory only in connection with the manufacture, marketing and sale of Licensed Products.

Trademarks – The term 'Trademarks' shall mean only the trademarks Nestle® Butterfinger(tm) and Nestle(r) Raisinets(tm).

Field of Use

Licensed Products – The term 'Licensed Products' shall mean packaged, ready-to-eat cookies produced in accordance with formulas and specifications approved by Nestle and containing Ingredients supplied by Nestle.

License Grant

Licensor hereby grants to Licensee the exclusive right and license to use the Licensed Names and Marks (Mrs. Fields) to manufacture and market Royalty Bearing Products through Designated Distribution Channels throughout the Territory. Subject to the terms and conditions of this Agreement, Licensor further grants to Licensee a non-exclusive right to sell Royalty Bearing Products outside the Territory, but only to a United States based company, or its direct subsidiary, with which Licensee is then doing business in the United States.

On January 3, 2000 the parties entered into an agreement ('Retail Agreement') in which Licensee received a license to develop, manufacture, package, distribute and sell under the Mrs. Fields' trademarks, service marks, and trade names a ready-to-eat shelf stable cookie product through designated retail channels.

Field of Use

Licensee desires to acquire a separate license from Licensor to develop, manufacture, package, distribute and sell to the food service industry, through designated food service distribution channels, high quality, pre-packaged ready-to-eat pre-baked cookie products utilizing the Mrs. Fields trademarks, service marks and trade names.

Commercially pre-baked ready-to-eat cookies packaged for food service for the following products: Cookies.

A Canadian incorporated company granted the exclusive worldwide rights to various trademarks, which the Licensee, who is the holding company of the Licensor,  intends to utilize for the manufacture, distribution, sales and marketing of various products within the health foods and snacks industry.

Licensee is a wellness brand focused on bringing healthy snacks and foods to consumers. Licensee offers a wide assortment of sugar free, peanut free, Kosher, low fat, low sodium and Non GMO certified products.

License Grant

Licensor grants to the Canadian Licensee a non-transferable, non-exclusive license to use the Properties in connection with the manufacture, distribution and sale of the Products in the Territory. Except for the specific rights which are granted to Licensee under this Agreement, all rights in and to the Properties are retained by Licensor. Except to the extent set forth in the agreement, Licensee shall not have the right to sublicense any of the rights granted to it under this Agreement.

Trademarks being Licensed to Licensee are: Sonic The Hedgehog and all related characters and indicia.

Licensor, an interactive entertainment company, develops and creates interactive entertainment games for PC and mobiles worldwide.

Field of Use

Products that Licensee is authorized to produce are:  Milk chocolate, peanut butter, peanuts, caramel candy bars, milk chocolate and peanut butter boxed candy.

License Grant

This agreement grants the exclusive right and license to use the Licensed Names and Marks to market Royalty Bearing Products through Designated Distribution Channels throughout the Territory. Subject to the terms and conditions of this Agreement, it further grants a non-exclusive right to sell Royalty Bearing Products outside the Territory, but only to a United States based company, or its direct subsidiary.  Provided, however, that if a food service license is granted to a third party applicable to an area outside the Territory, any sales activities under this Agreement, within the area covered by such third-party license.

Field of Use

Licensee desires to acquire a separate license from Licensor to package, distribute and sell to the food away from home industry through designated food service distribution channels high quality, frozen cookie dough products utilizing the Mrs. Fields trademarks, service marks and trade names.

License Grant

Licensor hereby grants to Licensee the right and license to use the Licensed Marks solely in connection with the manufacture, distribution, advertising, promotion and sale of Licensed Products in the Territory.

License Property

'Licensed Marks' shall mean the names, logos, symbols, designs and/or identifications of Licensor, as set forth in the agreement.

Licensor owns and has the right to license the trademarks, 'Cafe Godiva', etc.
Licensor is a manufacturer of premium fine chocolates and related products. Godiva, founded in Belgium in 1926.

Field of Use

'Licensed Products' shall mean flavored syrup to be sold under the 'Cafe Godiva' label.

License Grant

The English Licensor hereby grants to the Licensee the exclusive right and license to use the Licensed Trademarks (Carr's, Carr's Mini Croissant Snacks, Carr's Table Water Crackers & Design, etc.) on and in connection with the development, production, manufacture, sale, marketing, promotion, advertising and distribution of the Products in the Territory.

License Property

The Licensor is the owner of rights in the United States of America in certain trademarks and other intellectual property as utilized in the production, manufacture, sale, marketing, promotion, advertising and distribution of certain biscuits, crackers and similar products.

'Licensed Trademarks' means any and all (i) registered or applied for trademarks listed in the agreement, and all related designs, trade dress, copyrights and unregistered trademarks currently or hereafter used by the Licensor, and (ii) any Modified Marks as defined in the agreement.

Field of Use

'Products' as used herein means biscuits, cookies, crackers and other baked snacks.

Licensor hereby grants to Licensee, a related party, from the Distribution Date until the fourth anniversary of the Distribution Date a worldwide and nontransferable royalty bearing license to use and display the OREO Licensor Mark on Licensee Products in the ready-to-eat pudding category in the same relative size or smaller on front of pack as used on the Distribution Date on which such OREO Licensor Mark appeared including such ready-to-eat pudding products that are sold in packaging sizes or flavors that are different from the packaging sizes or flavors used prior to the Distribution Date, and in connection with the production, manufacturing, advertising, promotion, marketing, distribution and sale of such Licensee Products in such jurisdictions.

Licensor hereby grants to Licensee, and Licensee hereby accepts the grant by Licensor of, the exclusive right and License to use the Licensed Names and Marks to market royalty Bearing Products through Designated Distribution Channels throughout the territory.  Licensor shall not compete with Licensee in the (i) use of any trademark, service mark or tradename in marketing royalty Bearing Products in Designated Distribution Channels in the territory or (ii) License any third party to use the same in marketing any royalty Bearing Products in Designated Distribution Channels in the territory.

Licensor is an affiliate and Licensee of The Mrs. Fields’ Brand, Inc., the sole owner of certain trademarks, service marks, and trade names, which have become associated with high quality food products, and has the right under its License to subLicense such marks in the manner set forth herein.

The Company hereby grants the exclusive right and license to use the Licensed Names and Marks (Mrs. Fields) to manufacture and market Royalty Bearing Products through Designated Distribution Channels throughout the Territory.

License Property

'Licensed Names and Marks': Mrs. Fields and Mrs. Fields Cookies which have become associated with high quality food products

Licensor is an established franchisor in the premium snack food industry.

Field of Use

Royalty Bearing Products shall mean shelf stable ready-to-eat cookies packaged for retail sale for the following products: Cookies utilizing the Mrs. Fields trademarks, service marks and trade names.

'Designated Distribution Channels' shall mean grocery stores, supermarkets, drug stores, convenience stores, club stores, mass merchandisers and other similar retail prepackaged food and snack retail distribution channels.

License Grant

Licensor grants a license to utilize the Licensed Property solely on or in connection with the Licensed Promotion and the Licensed Products and/or Licensed Premiums throughout the Territory on an exclusive basis in the Salted Snack Category, except that sales of Licensed Products  and Licensed Premiums sold through Airport Gift and Other Airport Stores shall be on a non-exclusive basis.

The Licensed Property is the fictional cartoon characters Bugs Bunny, Daffy Duck, Sylvester, Tweety, Road Runner, Wile E. Coyote, Tasmanian Devil, Elmer Fudd, Porky Pig, Marvin the Martian, Gossamer and Miss Witch Hazel, Yosemite Sam, Pepe le Pew, and Foghorn Leghorn which constitute Looney Tunes.

Field of Use

This agreement is for the snack food industry.
Licensed Products are Salted Snacks Category defined as: Potato Chips, Potato Crisps,  2-D Potato or Corn Snacks, 3-D Potato or Corn Snacks, Pretzels, Cheese Puffs, Tortilla Chips, Pellet Fried Snacks and Extruded Fried Snacks.

License Grant

Licensor grants to Licensee the exclusive right, license and privilege to use the Proprietary Marks during the Term in connection with, and only in connection with, the manufacture, distribution and sale by Licensee of the Products in types, presentations and styles approved by Licensors in writing and in advance.

The marks include Fridays, T.G.I. Fridays, and, T.G.I. Fridays & Design.
TGI Fridays is an American restaurant chain focusing on casual dining.

Field of Use

The Products include branded salted snacks and snack mixes offered for retail sale and consumption outside Licensors restaurant.

The Licensor hereby grants to the Licensee exclusive right and license to use the Licensed Names and Marks to market Royalty-Bearing Products through Designated Distribution Channels throughout the Territory.

License Property

Mrs. Fields' trademarks
Licensor is an established franchisor in the premium snack food industry.

Field of Use

Royalty Bearing Products: Dry mix for cookie dough pre-packaged for retail sale.

The rights granted apply to retail sales in Designated Distribution Channels which shall mean grocery stores, supermarkets, convenience stores, club stores, and other similar retail prepackaged food and snack distribution channels.

License Grant

The Company hereby grants the sole and exclusive right to use, in any lawful manner whatsoever, the Trademarks ARMOUR, STAR, ARMOUR STAR, ARMOUR’S, ARMOUR (Logo type design), and BANNER but solely in connection with the Shelf-Stable Products in the Territory.

License Property

The term TRADEMARKS shall mean the trademarks and/or trade names ARMOUR, STAR, ARMOUR STAR, ARMOUR’S, ARMOUR (logotype design), and BANNER. The term TRADEMARKS shall also include trademarks incorporating any of the foregoing (e.g., ARMOUR FARMS and CAPTAIN ARMOUR).

Field of Use

The term “SHELF-STABLE PRODUCTS” shall mean any and all food products sold under or in connection with the TRADEMARKS which under normal conditions do not need to be refrigerated, cooled, or frozen while being transported, inventoried, warehoused, stored, distributed and/or sold.
(ii) The term SHELF-STABLE PRODUCTS shall not include any of the food products sold under or in connection with the TRADEMARKS as of the date of this Agreement that need to be refrigerated, cooled, or frozen to be transported, inventoried, warehoused, stored, distributed and/or sold (a list of all such products is set forth in Schedule C.1 hereto and includes a product description for each complete with the respective SKU or UPC for each) regardless of whether future technological developments make it possible to transport, inventory, warehouse, store, distribute and/or sell these products without being refrigerated, cooled, or frozen.
(iii) The term SHELF-STABLE PRODUCTS shall also exclude products commonly referred to as “Fresh”, such as fruit and vegetables.
(iv) The term SHELF-STABLE PRODUCTS includes all processed meat products which fall within Paragraph c.(i) above excepting, however, the particular dry sausage products sold by ConAgra or its affiliates under or in connection with the TRADEMARKS as of the date of this Agreement (a list of all such products is set forth hereto and includes a product description for each complete with the respective SKU or UPC for each). The parties understand and agree that the dry sausage products set forth are not licensed to Dial, but that all other processed meat products which fit the definition of SHELF-STABLE PRODUCTS herein (for example meat sticks and jerky snacks) are licensed hereunder to Dial.

License Grant

An alliance/joint venture agreement that resulted in a license for using the Dannon trademark to be used on soft frozen yogurt.  A co-brand is being developed.  License is a non- transferable, non-assignable license, to use the Mark during the Term solely in connection with the manufacture, marketing and sale of the Product.

'Mark' means Dannon's federally registered trademark.

The Licensor produces and sells fresh and frozen dairy products.

Field of Use

'Product' means any and all soft frozen yogurt mix manufactured and directly or indirectly sold by or on behalf of YoCream to YoCream's customers under the Co-Brand.

License Grant

Licensor hereby grants to Licensee, an affiliate of Licensor, a perpetual, worldwide, nonexclusive, nontransferable license to operate certain cookie stores using the Mark and Licensee accepts this license.

License Property

Licensor is licensed to use and sublicense three U.S. registered trademarks including 'THE ORIGINAL COOKIE CO.' by virtue of a license between Licensor and an affiliate of Licensor and the owner of the Mark. The Mark is registered for use on or in connection with bakery goods, non-alcoholic beverages and retail bakery store services.

Licensor is an established franchisor in the premium snack food industry.

Field of Use

Licensee is in the business of selling bakery goods, and is desirous of using the Mark in connection with its operation of certain cookie stores.

License Grant

The Company hereby grants to the Licensee the exclusive right, license and authority, subject to the terms and conditions hereinafter set forth, for the Territory to use the Trademarks in connection with Licensee’s manufacture, distribution and sale of the Products under the Trademarks in the Territory.

License Property

'Trademarks' means Eskimo Pie and the associated pictorial representations and Sugar Freedom and any designs or stylizations associated therewith and the Trade Dress.
