Apparel and Accessories trademark collection with emphasis on: Clothing

License Grant

Licensor hereby grants to Licensee the non-transferable right, license, and privilege, of using the Licensed Marks solely for the sale, marketing and distribution of the Licensed Products through the Channels of Distribution in the Territory during the Term and the non-exclusive, non-transferable right, license, and privilege of using the Licensed Marks solely upon and in connection with the manufacture of Licensed Products in the Manufacturing Territory.

License Property

Licensed Marks shall mean the Brand and Licensed Products set forth, including, without limitation, their likeness, visual representation and/or each of the individual components thereof, and those trademarks, service marks, logos, designs, and/or any other symbols/devices, which are set forth and incorporated by reference herein.

Licensed Products shall mean only those items listed below.  This list may only be modified, supplemented, and/or amended by written agreement of the Parties as provided herein.

Men’s Suits

Licensee may only use those channels of distribution approved, in advance, by Licensor. Licensor anticipates the channels of distribution to be approved to include Macy’s and above. Except for Home Love Affair (which is pre-approved), any mass market and low tier department stores (i.e., Wal-Mart, K-Mart, Target, and Sears), as well as club stores (i.e. Sam’s), are specifically excluded from the approved Channels of Distribution under this Agreement.

Licensor shall have prior approval rights relating to any internet retailers not belonging to retailers in the approved Channels of Distribution set forth above, which will be reviewed on an individual basis by Licensor.

License Grant

Seller (and its subsidiaries) is hereby granted from IP Purchaser an exclusive and proprietary license to the trademark “sj by scott james” (the “Seller Licensed Mark”) for use in the defined channels.

On this date the Company sold its assets relating to the Scott James clothing brand and line, including trademarks and domain names relating to the Business, as well as all retail inventory and other tangible property located in the Boston and Minneapolis store locations, and certain other related assets.

Seller manufactures and sells sportswear and accessories for men under scott james brand.

The domain names (urls): www.scottjamesonline.com, www.skuhlman-ws.com, www.sskuhlman.com, www.skuhlman.com <http://www.skuhlman.com>.

License Grant

The Licensee is granted the exclusive right to use the Licensed Mark throughout the world in connection with the design, manufacture, advertising, promotion, marketing, distribution and sale of all categories of mens and womens wearing apparel (which shall not include shoes or other footwear). Specifically, the Licensor hereby grants to Licensee the following licenses: (i) the exclusive right to use the Licensed Mark in connection with the distribution and sale the of the Products in all countries throughout the world, except Japan; (ii) the non-exclusive, worldwide right to use the Licensed mark in connection with the design, manufacture, advertising, promotion, and marketing of the Products, provided, however, that the exercise of any of the non-exclusive rights described in this (ii) by any other licensee of the Licensed Mark shall be for the sole purpose of selling and distributing products bearing the Licensed Mark in Japan. In the event of the termination or expiration of any current, as of the Effective Date, license (including any extensions, renewals, or modifications, except with respect to the identity of the applicable licensee, thereof or thereto) granted by Licensor to a third party regarding the use of the Licensed Mark in Japan, Licensor agrees that: the license granted to Licensee under Section(i) shall automatically become exclusive throughout the world, including with respect to Japan; and the license granted to Licensee under Section(ii) shall automatically become exclusive throughout the world.

License Property

Licensor is the owner throughout the world of certain GRAMICCI marks.

Field of Use

The three-year agreement provides the Licensee with licensing rights to design, develop and produce Gramicci brand men’s and women’s apparel, which is sold to retailers, as well as through its ecommerce website.

License Grant

A Spanish limited corporation and wholly-owned subsidiary of the Company, entered into retail and wholesale license agreements (collectively, the International Agreements) for use of the BHPC Trademark in Europe. The International Agreements, as amended, provide certain exclusive rights to use the BHPC Trademark in all countries in Europe for an initial term of three years ending December 31, 1999; trademark of famous California polo club with an accompanying horse and rider design to be used on men’s apparel.

The international retail agreement (the Retail Agreement) grants the Company the right to use the BHPC Trademark in connection with the manufacture and sale through authorized Beverly Hills Polo Club retail stores and franchise stores in Europe of the following categories of products: (i) men’s apparel, including denim sportswear, outerwear, woven shirts, knit and woven casual pants and shorts, sweaters, basic and fashion fleece tops and bottoms, overalls and shortalls, knit tops (including tee shirts and polo shirts) swimwear and warm-ups (excluding suits, ties, dress shirts, underwear, shoes, overcoats and full length rainwear); (ii) women’s apparel, including slacks, skirts, dresses, sweaters, outerwear, blouses and jeans; and (iii) all other products licensed by the Beverly Hills Polo Club licensor to other third parties (which must be purchased by the Company from the authorized third-party licensees).

Field of Use

The Licensee is a designer, manufacturer and marketer of branded sportswear.

License Grant

Licensor grants an exclusive, personal, non-transferable, non- assignable license, without the right to grant sublicenses, to use the Trademarks solely on or in conjunction with the design, manufacture, import,  distribution, advertising, promotion, shipment, and sale of the Licensed Product in the Territory. This license is extended to and includes wholesale sales only and does not include retail sales.

License Property

Licensor is the owner with the right to grant licenses of the Trademarks; Beverly Hills Polo Club.

Beverly Hills Polo Club is an internationally registered trademark identified with quality and status in the apparel industry.

Field of Use

The licensed products are trademarked apparel.

DEFINITION OF LICENSED PRODUCT:

     Men's denim sportswear

     Men's outerwear

     Men's woven shirts, excluding dress shirts

     Men's knit and woven casual pants and shorts

     Men's sweaters

     Men's basic and fashion fleece tops and bottoms

     Men's overalls and shortalls

     Men's knit tops, including t-shirts and polo shirts

     Men's swimwear

     Men's warm ups

     All silk products are excluded from this Definition of Licensed Product

License Grant

The Licensor grants the non-exclusive right, during the Principal Term and any extension thereof, and only within the Territory, to reproduce the Licensed Material only on or in connection with the Articles, to use the Trademarks, but only such Trademarks and uses thereof as may be approved when the Articles are approved and only on or in connection with the Articles, and to manufacture, distribute for sale and sell (other than by direct marketing methods, including but not limited to direct mail and door-to-door solicitation) the Articles only to mass market retailers (e.g., Kmart, J.C. Penney, Co., Inc., Sears, Roebuck and Co., and Target) in the Territory.

License Property

Licensed Product means the graphic depictions of the following: Winnie the Pooh, Christopher Robin, Eeyore, Kanga, Roo, Rabit, Piglet, Owl, Gopher, and Tigger, all in the style as designed by Licensor.

Trademarks mean Walt Disney and Disney, the names for and representations of Licensed Material.

Field of Use

Articles means the following items on or in connections with which the Licensed Material and/or the
Trademarks are reproduced or used:
1. Women’s basic screen printed knit tops and bottoms in sizes S, M, L, XL, XXL, XXXL and Maternity
2. Women’s basic screen printed coordinates in sizes S, M, L, XL, XXL, XXXL and Maternity
3. Girls’ basic screen printed T-shirts in sizes 4 – 16
4. Girls’ knit basic screen printed coordinates in sizes 7 – 16
5. Boys’ basic screen printed knit tops and bottoms in sizes 4 – 20
6. Boys’ basic screen printed related knit separates in sizes 4 – 20
7. Mens’ basic screen printed knit tops and bottoms in sizes S, M, L, XL AND XXL

License Grant

Licensor hereby grants to Licensee, and Licensee hereby accepts, the right, license and  privilege to use the Licensed Mark in connection with, and only with, the use of specifically the designated and approved products specified (such products hereinafter shall be called the Products and Products bearing the Licensed Mark hereinafter are collectively called Articles) in the territory specified.

License Property

The Licensed Mark: Steve Madden

Licensor designs, sources, markets, and sells fashion-forward name brand and private label footwear for women, men, and children worldwide.

Field of Use

Licensee desires to obtain an exclusive right to use the Licensed Mark (Steve Madden) connection with the design, manufacture and sale of junior and young contemporary sportswear, all knit and woven tops, bottoms, and dresses of all fabrications and constructions, including jeanswear (excluding outerwear and bodywear sold to the bodywear department).
