Licensor agrees to provide to Licensee, the completed results and products of Licensor's services, including all material created, added interpolated and submitted by Licensor as they pertain to:

(c) The Character development, history, conception of the background and story line, along with all drafts, re-writes performed during basic story development, revisions and completed works written specifically for publication as Children’s Books shall collectively be referred to as the Forms of Work, which Forms of Work are tentatively titled:

The Story of Doolittle, An Exceptional Young Gorilla;

(ii)
The Adventures of Dynamic Doolittle; and

(iii)
Doolittle’s Bad Day at School.

The Licensee desires to retain Licensor, and Licensor desires to be retained by Licensee to perform writing and conception services for and with regard to development of the life history and story line pertaining to the Licensee's  main character Doolittle and additional characters Ajax and R-Dub.

Children’s Book shall mean books as defined by widely accepted industry standards as they pertain to length, format and content.
Field of Use
The Licensee is engaged in the business of creating and developing various cartoon and animated characters and marketing various products with such characters, including but not limited to clothing, accessories, children’s books, interactive animated compact disc and software games.

– all art created by or at the direction of Licensor or Licensee appearing in any SIN CITY Book or in any Game;
–  subject to the terms hereof, any comic book or graphic novel owned or controlled by Licensor or Licensee, in each case, as of the Effective Date or during the Term, that features the name SIN CITY as all or a significant part of its title or subtitle, or that features members of the SIN CITY Books cast of characters or locations;
– any material created by Licensee that is incorporated in a Licensed Product and for which Licensee has complied with its obligations, collectively, the Created Materials; and provided further that the Created Materials expressly exclude the “Red Mile Intellectual Property” (as hereinafter defined); and
– any photographs, artwork, music or other materials designated as Property by Licensor.

Stickers;
Christmas ornaments in plastic or resin, with or without electronic and or musical/audio features;  
Juvenile boxed Valentine cards;  
Stationery;
Electronic greetings in any form or media;
Digital photo IP product use;
Retailer-specific non-card products.
