License Grant

Licensor grants to Licensee as of the Effective Date the exclusive and non-terminable license to use, exploit, develop and commercialize each and every element of the Intellectual Property, including without limitation to make, have made, use, sell, offer for sale, license, and sublicense Licensed Products, to import and export Licensed Products, to practice Licensed Processes, to derive all economic benefit from all activities undertaken by Licensee with respect to the Intellectual Property, subject to the payments to Licensor specified herein, and to conduct research, develop and make modifications and enhancements to the Intellectual Property, and to improve the Intellectual Property.

License Property

Intellectual Property means the intellectual property related to the Isan System, including without limitation the Patents, and the Proprietary Property.

The Isan system is a proprietary automated water disinfection system that substantially reduces the incidence of fungal growth, spoilage, organisms and pathogens in water and on food.

Isan System means the automated iodine delivery system.

Licensed Processes means any method, process, modality procedure, practice, or course of action covered by a claim of the Patents, or having technical content based upon, or otherwise derived from, the Intellectual Property.

Licensed Products means any article, kit, equipment, system, method, apparatus or unit covered by a claim of the Patents, or  having technical content based upon, or otherwise derived from, the Intellectual Property.

Patents means those patents referenced as may be extended or modified from time-to-time, together with any additional patents that may be added in accordance with the Agreement.

Field of Use

Field of use means any and all fields of commercial and non-commercial endeavor.

License Grant

The Licensor and the Licensee entered into a subLicense Agreement which grants the Licensee the exclusive rights to use, exploit, develop and commercialize the System Technology in the United States, in the following fields of use (i) horticulture, (ii) post-harvest sanitation of fruits and vegetables, (iii) dairy use, and (iv) poultry drinking water.

License Property

U.S. Patent Number 7,033,509, and any continuations, divisions, re-issues, re-examinations and extensions thereof (“U.S. Patents”).

The system developed is for the control and delivery of BioMaxA Iodine and the collection of disinfection by-products by BioResA resin.  The system is an automated water disinfection system that substantially reduces the incidence of fungal growth, spoilage, organisms and pathogens in water and on food.  Capable of treating high volumes of water flow, the system is a combination of electrodes for measuring iodine levels in the target water stream, a control unit which automatically controls the running of the system, iodine canisters to deliver the iodine, and resin canisters to collect by-products after disinfection has been completed.

Field of Use

Fields of Use means each field consisting of (i) Horticulture, (ii) Post-Harvest Sanitation of Fruits and Vegetables, (iii) Dairy Use, and (iv) Poultry Drinking Water, and subject to the written amendment of this Agreement, and compliance by Licensee of the terms and conditions set forth herein, may include additional Optional Fields of Use.

Horticulture means the science and art of growing fruits, vegetables, flowers or ornamental plants, including hydroponics, greenhouses, nurseries and field crops during pre-planting treatments, planting treatments and growing treatments up until harvesting.

Post-Harvest Sanitation of Fruits and Vegetables means the treatment of fruits and vegetables after harvest for the purpose of sanitation, control of post-harvest diseases and moderation of food-borne illnesses.

Poultry Drinking Water means treatment of water to be ingested solely by poultry in an agricultural/farming environment.

Additional fields of use may be added by Licensee upon the satisfaction of certain conditions, including the submission of the proposed field of use, and a plan and budget for development and commercialization of product(s) in the proposed field of use.  Licensor would have 30 days after any such submission to review and respond to the proposal.  If the parties agree, the subLicense Agreement would be amended to include the proposed field of use.

License Grant

Seller desire to sell and Purchaser desires to purchase all of Seller’s right, title and interest in and to the Assets. Seller shall sell the Assets, free and clear of liens and encumbrances.

License Property

The agreement is for the purchase of assets directly and indirectly related to any and all iodine-based related products and technologies.

All the Seller’s right, title and interest, including all intellectual property rights, constituting the entire interest in the United States and throughout the world to the following
a. Controlled Gaseous Iodine Sublimation From Solid Iodine For Atmospheric Iodine Nutrition, Disinfection and Therapeutic Uses to include all United States and International patents, all related intellectual property, all notes, data and any and all improvements and advancements directly and indirectly related to this technology.
b. An Apparatus to produce atmospheric nutritional & disinfectant iodine
to include all United States and International patents, all related intellectual property, all notes, data and any and all improvements and advancements directly and indirectly related to this technology.
c. U.S. Patent Application #15733542 and Canadian Patent Application for SPRAY DEVICES FOR DISPENSING AQUEOUS IODINE, AND METHODS OF MAKING AND USING SPRAY DEVICES THAT DISPENSE AQUEOUS IODINE.
d. Automated High Output Aqueous Iodine Production and Bottling System to include all United States and International patents, all related intellectual property, all notes, data and any and all improvements and advancements directly and indirectly related to this technology.

Field of Use

The purchased assets relate to Controlled Gaseous Iodine Sublimation From Solid Iodine For Atmospheric Iodine Nutrition, Disinfection and Therapeutic Uses as well as An Apparatus to produce atmospheric nutritional & disinfectant iodine.

License Grant

The Licensor is a party to a License Agreement dated March 26, 2010 with Australian company and was granted the exclusive rights to certain intellectual property, including certain patents.  

Licensee may enter into Agreements with third parties granting third parties any of the rights granted to Licensee.

Potential commercial applications within global industries, including but not limited to agriculture, animal health, beach and soil environmental remediation, consumer products, food processing, medical, and water industries.
