License Grant
The University grants to Licensee an exclusive, sub-licensable, assignable, worldwide, license under the Patents, to make, have made, use, import, offer for sale, sell, lease, distribute, or otherwise transfer Licensed Products in the Field of Use in the Territory during the Term of this Agreement. Licensee shall have the right to grant sublicenses.
License Property
The Licensor is the owner of certain inventions, know-how and rights pertaining to a graphene-carbon nanotube hybrid material and its use in electrodes, including without limitation all rights pursuant certain patent applications.

Carbon Nanotubes (“CNT”) are allotropes of carbon with a cylindrical nanostructure. Nanotubes have been constructed with length-to-diameter ratio of up to 132,000,0001, significantly larger than for any other material. CNTs have unusual properties, including, but not limited to 200x better energy charge, storage and discharge performance than any other technology on the market today, which are valuable for nanotechnology, electronics, optics and other fields of materials science and technology.

Field of Use
The commercialization of this technology will require raising sufficient funds for the development of a prototype product (currently intended to be a smartphone battery) to demonstrate proof of concept and then production on an industrial scale.

Field of Use means consumer electronics (including without limitation mobile electronics, mobile telephones/smartphones, tablets, and wearable electronics), nanoelectronic technologies, electric vehicles, energy storage, and medical devices.

The Licensee entered into a Patent SubLicense Agreement with the Licensor, a Swiss corporation, as part of a settlement Agreement with Hydro-Quebec and the Board of Regents of the University of Texas System, on behalf of the University of Texas at Austin.

Powder that has not been incorporated in Cells, Electrode Systems, and/or Complex Systems solely for incorporation into Cells, Electrode Systems, and/or Complex Systems having a Liquid Electrolyte or a Gel Electrolyte by Licensee.

License Property
Licensor has obtained a worldwide license or sublicense from Hydro-Québec, the Université de Montréal and the Centre National de la Recherche Scientifique to the Licensor Licensed Patent Rights.

The patent rights are for Carbon Coating and process.

Licensed Products shall mean electrode material for Cells, Electrode Systems, and/or Complex Systems that include either olivine or NASICON crystals of lithium and an oxygen polyanion; or particles of electrode material that include compounds that are coated with carbon; or both.

Cell shall mean an independent electrochemical cell comprising at least an anode, an electrolyte, a cathode, the anode and cathode current collectors, and the cell feedthroughs and container, which incorporates any Licensed Product as electrode material.

Electrode System shall mean an electrode sold prior to its use in a Cell that incorporates any Licensed Product as electrode material; provided that such Licensed Product is bound to a substrate as it will be used in a Cell incorporating such Licensed Product.

Complex System shall mean a combination of Cells that is mechanically or electrically interconnected and that includes a printed circuit board and battery management or control electronic components.
