Field of Use

Field means direct human application or direct human consumption of the Existing Inventions and Improvement Inventions whether by injection, ingestion or insertion.

It was recognized by the parties that products originally developed for animal applications may also have the potential to be developed into products for human use, but that the process of development of products for human use is a more expensive and time consuming process.  Accordingly, the Licensor assigned and Licensed certain intellectual property it had developed for use in animal application.

License Grant

The Licensors of British Virgin Islands have agreed to grant to the Licensee of Hong Kong, and the Licensee has agreed to accept, a license to develop and use the Existing Inventions and the Improvement Inventions in accordance with the provisions of this agreement.  The Licensors grant to the Licensee, subject to the provisions of this Agreement, a limited exclusive license to the Licensed Patents insofar as they relate to the Field only for the Initial Term with the right to sub-license.

The Licensee shall be entitled to grant sub-licenses of its rights under this Agreement to any person, including but not limited to its Associated Companies.

License Property

SCOPE OF DESCRIPTION OF EXISTING INVENTIONS Walcom has developed a proprietary formulation of cysteamine that has been protected by several granted patents, with many more related patent applications under consideration in countries around the world. The pure cysteamine compound is very difficult to store and administer, since it is readily oxidised on exposure to air to an inactive compound. It also has the severe disadvantage for a feed additive of having a remarkably bad odour, akin to that of bad eggs. Cysteamine in the Walcom products is encapsulated in a proprietary formulation that includes cyclodextrin. This Walcom formulation gives granules in which the cysteamine is very stable (not readily oxidised in air and tolerant of the heat treatment that is routinely applied to feed additives). The granules are easy to add to feed and are very palatable for the livestock, since the cyclodextrin molecules that enclose the cysteamine also mask the bad odour. Additional flavourings appropriate for each species can also be included.
Walcom’s Patents are primarily focused in
– Proprietary Micro-Encapsulation Technology on Cysteamine, of which all / most of the adverse side effects of the substance have been subdued.
– Growth Promoting effect for all animals (including fish).

In addition to effects on growth, cysteamine has been shown to enhance the activity of the immune system. Such actions are expected in the light of the observation that cysteamine promotes the release of Growth Hormone, since there is increasing evidence that Growth Hormone, and the subsequently formed Insulin-Like-Growth-Factor-1 (IGF-1) have a powerful influence on immunity.
Moreover, cysteamine has also been discovered to have a positive synergistic effect in enhancing the antibody titer of the animals after being vaccinated, including H5N1 Avian Influenza Vaccine.

License Grant

In this Affiliate parties agreement the Company of Hong Kong has agreed to grant a limited exclusive sub-license of the Licensed Patents insofar as they relate to Antiviral Drugs, to develop and use the Existing Inventions only in the Field relating to Antiviral Drugs, used to treat viral infections, and to manufacture, use and sell or supply and offer to provide the Antiviral Drugs Products..

License Property

Pursuant to an Exclusive License Agreement dated September 19, 2006, the Company has been granted a limited exclusive license of the Licensed Patents, with the right to grant sub-licenses.

Antiviral Drugs means a class of medication used specifically for treating viral infections.

License Grant

Under the manufacturing and sales Agreement with the Licensee, the Licensor sells Phyzyme® XP phytase inventory to the Licensee.

License Property

The Licensor developed Phyzyme® XP phytase in a collaboration to improve the digestibility of phosphorus and other nutrients naturally contained in animal feed. This provides producers with the opportunity to reduce feed costs by reducing usage of inorganic phosphorus, while maintaining poultry and swine growth.

Field of Use

The Licensee markets products based on the Licensor's Phyzyme® XP phytase enzyme. The rights granted apply to the animal industry.

License Grant

Licensor shall grant to Licensee those rights necessary to produce Licensed Products.  Licensor has developed a proprietary formula and process for manufacturing a natural immunobiotic extract for use as a health management instrument and as a replacement for growth promotion antibiotics in livestock and companion animals (defined herein as the YBG Technology).

License Property

Licensed Patents means the U.S. patent application #10/711,980, dated October18, 2004, titled A method of Producingan economical and Ecologically Sound Natural Immunobiotic Extract for Use as a Health Management Instrumentanda Replacement for Growth Promotion Antibiotics in Livestock and Companion animals, and any and all reissues, divisions, continuations, renewals, extensions and continuations-in-part thereof. The Licensee holds a license for the production of AgraStim, which is a natural beta glucan feed additive used to replace artificial antibiotics currently in use.  Under the license, the Licensee was granted the right and license to produce, process, make or otherwise manufacture and sell the licensed beta glucan product for consumption by animal livestock in the United States and has the right of first refusal to build and operate any new plant in the United States intended to manufacture the licensed product.  The license also grants the Licensee the right to use any other technologies or information held by the licensor necessary to manufacture and sell the licensed product, and to use certain trademarks of the licensor in marketing and promotional materials.  The licensor will further provide the Licensee with specific services, such as a basic engineering package and support and training for the start-up of the initial and any new manufacturing plants.

AgraStim is a natural beta glucan feed additive used to replace artificial antibiotics currently in use, for consumption by animal livestock in the United States.

Field of Use

Licensee desires to license such YBG Technology from Licensor for the purpose of building and operating one or more manufacturing facilities capable of producing yeast beat glucan products.  The Licensee a plans to manufacture and market AgraStim, initially in the poultry industry.

Field of Use means the United States market for YBG  for consumption by animal livestock.
