License Grant

Assignor hereby agrees to sell, transfer and assign to WITD, and WITD hereby agrees to purchase from Assignor, all of Assignor’s right, title and interest in and to the Patents and Technology. Assignor further agrees to assign, transfer and convey to WITD in the future, all right, title and interest in and to any and all Intellectual Property relating to the Technology developed by Assignor, in whole or in part, after the effective date of this Agreement (Future Intellectual Property).

License Property

Assignor own certain rights, title and interest in and to various information, inventions, discoveries, writings, expressions, ideas, know-how, concepts, techniques, innovations, systems, processes, procedures, methods, prototypes, designs, and technical data involving or relating to a child safety device, as generally described in U.S. Patent Numbers 6,955,380 and 7,261,329.

License Grant

Assignor, Assignee's largest shareholder, hereby sells, assigns, and transfers to Assignee and Assignee’s successors (a) all rights, title, and interests, to the Patent Application and all rights, title, and interests in any application and under any and all patents granted in the U.S. and abroad relating to the Patent Application, including but not limited to, all corresponding, provisional, continuation, continuation-in-part, divisional, reissue, and reexamination applications, for the entire term of the patent(s); (b) all rights, title, and interests in and to any and all foreign patents and applications for any invention described in the Patent Applications, in any and all countries foreign to the U.S., including all rights of priority arising from them, and all the rights and privileges under any and all forms of protection, including patents, that may be granted in said countries foreign to the U.S. for them for the entire term of the patent(s); and (c) the right to seek remedies for any and all infringements of any of the foregoing patents and to collect and retain all damages and profits and enjoy any and all remedies granted for infringements.

Assignee agrees to develop the Top-Shelf design into a working prototype and commence marketing, based on a timetable and a pre- approved cost structure, which shall be at the full discretion of the Assignee. Assignee shall have exclusive control over the timing, costs, sale and lease terms, marketing, development, and the rollout of Top Shelf product.

License Property

Assignor is the owner of the “Top Shelf” invention, as described in the United States Patent Application signed by Assignor on August 11, 2015, U.S. Patent and Trademark Office Serial Number 62/203,845, filed on August 11, 2015, and containing the following language (the Patent Application)

Apparatus for and method of securing, displaying, and dispensing herbal products including monitoring quantity and category of herbal products dispensed, and the persons who respectively dispensed and received each respective product.

The system allows for a dispensary operator to safely display product, secure product in an armored safe, weigh product in real-time using electronic scales housed in each of the locked compartments within the safe, and then dispense the product using an integrated Point-of-Sale, or POS System.

Assignor provides capital to our canna-business clientele and provide consulting services and technology to develop, enhance, and expand existing and newly formed canna-businesses.

Field of Use

This agreement pertains to the container industry relating to a apparatus for and method of securing, displaying, and dispensing herbal products.

License Grant

Assignor hereby assigns to Licensee, asubsidiary, all of Assignor's right, title and interest in and to both the tangible and the intangible property constituting the Intellectual Property, and transfers the Equipment.

License Property

Assignor is the owner of certain intellectual property, relating to data encryption and filtering.

U.S. Patent Application No. 09/438.973 titled 'Method and System for Data Encryption and Filtering' filed on October 21, 1999.

All office equipment including but not limited to Computers, Telephones, Fax and copy machines, all furniture, etc.

License Grant

Assignor assigned its entire right, title, and interest in the Innovation to Assignee.

To the extent Assignee grants a license of the Innovation, or any part thereof, to any third party, and receives Revenue therefrom, then Assignee agrees to pay to Assignor a percentage of Revenue received in the aggregate by Assignee from all such licensees granting rights to the Innovation, distributed by Assignee.

License Property

Assignor assigned its entire right, title, and interest in the Assigned Patent Applications, inventions and improvements therein, and Letters Patent (referred to herein collectively as the “Innovation”) to Assignee via that certain Assignment  recorded with the United States Patent and Trademark Office on November 16, 2016 at reel and frame number 040337/0243.

Field of use is for the medical industry.

Assignee is a developer of rapid health information technologies.

License Grant

Licensor hereby transfer and assign all rights, title and interest in and to all patents, trademarks, copyrights and other intellectual property rights, ideas and know-how associated with the Licensee two or more spherical balls tandem skate.

Field of Use

Licensee skate concept (an In-line skate distinguished by two or more spherical balls as wheels, also known as Licensee technology) and the Licensee brand name.

License Grant

Assignor, an individual, desires to sell, assign, transfer and convey to Assignee, its successors and assigns, Assignor's entire right, title and interest throughout the world in and to the Patent Application and patents issuing thereon to the full end of the term or terms of any said patents.

License Property

Assignor has made certain inventions relating to chimeric peptides.

Product shall mean all products, drugs, diagnostic reagents, diagnostic methods, therapeutic agents and therapeutic methods covered in whole or in part by a Valid Claim contained in any Patent.

Field of Use

Inventions and patent applications relate to the use of chimeric peptides for the treatment of Alzheimer’s disease.

License Grant

Sub-Licensor of Belgium hereby grants to Japanese Licensee, both Affiliates of the same Corporation, during the Term in consideration for payment of the Royalty, and Licensee accepts
a nontransferable, nonexclusive license to use the Samsonite Name as part of its company name;
a nontransferable, nonexclusive license to use the Samsonite Domain Name;
a nontransferable, exclusive license to use the Samsonite Trademarks in the Territory, only in connection with the marketing, distribution and sale of Licensed Products; and
a nontransferable, exclusive license under the Samsonite Patents and Samsonite Know-How to, subject to the provisions of clause 6, manufacture or have manufactured (within or outside the Territory), Licensed Products to be marketed, distributed and sold within the Territory.

Sub-Licensor has the right and authority to sublicense certain rights regarding patents, trademarks and know-how related to luggage and other products.

License Property

'Licensed Products' means the bags, items of luggage, business cases, personal leather goods, other travel articles and any other products which have been specifically approved by SamEurope in writing as 'Licensed Products' for the purposes of this Agreement, each of which
(i) bears a Samsonite Trademark;
(ii) is placed in commerce by Licensee in association with a Samsonite Trademark;
(iii) is covered in whole or in part by a Samsonite Patent; or
(iv) is made or sold using any Samsonite Know-How.

Samsonite Domain Name means the Internet domain located at the address represented by the Uniform Resource Locator http//www.samsonite.co.jp or as otherwise mutually agreed.

Samsonite Intellectual Property means collectively, the Samsonite Name, Samsonite Domain Name, Samsonite Know-How, Samsonite Patents and Samsonite Trademarks.

Samsonite Know-How means any and all information made available to Licensee by or on behalf of Samsonite, which is not generally available to the public in the form in which it is made available to Licensee, including without limitation
(v) specifications;
(vi) technical data;
(vii) test methods;
(viii) blueprints, drawings, models, computer files, or the like;
(ix) technical instructions;
(x) scientific and technical information;
(xi) descriptions;
(xii) marketing or sales techniques or information;
(xiii) processes;
(xiv) accounting or business methods or procedures;
(xv) formulae;
(xvi) strategic or financial plans or reports;
(xvii) trade secrets;
(xviii) other data useful in the design, assembly, manufacture, distribution or sale of Licensed Products; and
(xix) engineering or design process or operating information;
