License Grant
Licensor hereby grants to Licensee an exclusive worldwide license, with the right to grant sublicenses, to use the Technology for the Exploitation of the Products for the Applications.
License Property
The term 'Technology,' as used in this Agreement, shall mean all proprietary and non-proprietary know-how, technical data, or other information of any kind regarding the design, manufacture, operation, use, or sale of the Products for the Applications based on the Intellectual Property, foreign counterparts of the Intellectual Property, or of the applications leading to such Intellectual Property, any other Intellectual Property now or hereafter owned or controlled by Licensor, and any modification or improvements thereto made by Licensor or Licensee, all as they may relate to the Applications.

The terms 'Product' and 'Products,' as used in this Agreement, shall mean reader/writers and high capacity data storage in a card format.

The term “Application(s)” shall mean health care, patient management, medical, dental and pharmaceutical records, medicare, medicaid or any other health application, including biometric identification. For avoidance of doubt, any other application, including, without limitation, for financial transactions or security and identification shall require the approval of Licensor.

License Grant
Licensor grants a non-exclusive, indivisible, non-transferable license under Licensor Licensed Patents to make, have made pursuant to Licensees own specifications, use, sell, lease or otherwise dispose of Licensees Licensed Products within the Licensed Territory during the term of this Agreement.
License Property
The Licensed patents relate to Data Storage Apparatus and Method.

Licensed Controller means an Array Controller which, but for the license granted herein, the manufacture, use, or sale of which would constitute an infringement of one or more claims of EMC Licensed Patents. In the United States, infringement includes direct infringement, inducement to infringe, and contributory infringement as enacted in 35 USC 271(a)-(c), respectively, and also infringement under the Doctrine of Equivalents.

Licensed Subsystem means a Subsystem which, but for the license granted herein, the manufacture, use, or sale of which would constitute an infringement of one or more claims of EMC Licensed Patents. In the United States, infringement includes direct infringement, inducement to infringe, and contributory infringement as enacted in 35 USC 271(a)-(c), respectively, and also infringement under the Doctrine of Equivalents.

Subsystem means a data storage subsystem including one or more arrays of physical mass storage devices, and one or more Array Controllers associated therewith.

Array Controller means a single or multi-processor device or group of functionally inter-related devices operable to physically and/or logically configure a plurality of physical mass storage devices as one or more independently accessible arrays, and to control the communication of data between the array(s) and one or more Hosts or Clients in a predetermined format or formats.

The Company has the right to grant licenses under certain DVA-owned United States patents relating to the design, manufacture, and sale of optical disc products such as compact discs, CD-ROM discs and video discs.

License Property
Information Storage Medium(s) shall mean any record carrier primarily designed to store and/or record any type of information.

Disc(s) shall mean any pre-recorded, non-recordable and non-erasable Information Storage Medium in the shape of a disc and having information recorded thereon on one or both sides thereof, which information is recoverable using optical detection means.

Digital Disc(s) shall mean a Disc having pre-recorded thereon digitally encoded information. Digital Discs shall include, but are not limited to, Discs commonly known as Compact Disc Digital Audio Discs or CD Digital Audio Discs, Compact Disc Single Discs or CD Single Discs, and Multi Media Discs.

Compact Disc Digital Audio Disc(s) or CD Digital Audio Disc(s) shall mean a Digital Disc having pre-recorded thereon audio entertainment information. A CD Digital Audio Disc is defined herein according to the definition in a specification entitled Compact Disc Digital Audio System Description published by N.V. Philips Consumer Electronics B.V. and Sony Corporation and commonly referred to as the Red Book. CD Digital Audio Discs shall include, but are not limited to, Digital Discs commonly known as compact discs (CD's) and pre recorded, non-recordable audio mini discs.

Compact Disc Single Disc(s) or CD Single Disc(s) shall mean a CD Digital Audio Disc, either three inches (3') or five inches (5') in diameter, having prerecorded thereon 20 minutes or less of audio entertainment information.

Multi Media Disc(s) shall mean any Digital Disc having recorded thereon computer, database, audio, video, text, graphics and/or player control information. Multi Media Discs shall include, but are not limited to, Digital Discs commonly known as CD-ROM Discs, CD-i Discs, CD-G Discs and CD Digital Video Discs.

Compact Disc Read Only Memory Disc(s) or CD-ROM Disc(s) shall mean a Digital Disc having pre-recorded thereon text files, data files, image files, computer program files, and the like, primarily intended for computer-related, database-related and/or multimedia-related usage. A CD-ROM Disc is defined herein according to the definition in a specification entitled 'Compact Disc Read Only Memory (CD-ROM) System Description published by N.V. Philips Consumer Electronics B.V. and Sony Corporation and commonly referred to as the Yellow Book. CD-ROM Discs include CD-ROM/XA discs and pre recorded data mini discs.

Compact Disc-Interactive Disc(s) or CD-1 Disc(s) shall mean a Digital Disc having pre-recorded thereon audio, video and program control data for interactive use with a human user by means of computer apparatus. A CD-1 Disc is defined herein according to the definition in a specification entitled Compact Disc Interactive Media Full Functional Specification published by N.V. Philips Consumer Electronics B.V. and Sony Corporation and commonly referred to as the Green Book.

Compact Disc-Graphics Disc(s) or CD-G Disc(s) shall mean a Digital Disc having pre-recorded thereon graphics information comprised of discrete still pictures or graphic images having no user perceivable motion.

Compact Disc Digital Video Disc(s) or CD Digital Video Disc(s) shall mean a Digital Disc having pre-recorded thereon information intended to produce visual images having user perceivable motion.

Video Disc(s) shall mean a Disc having pre-recorded thereon any information intended to produce visual images having user perceivable motion, which information is not digitally encoded. Video Discs shall include, but are not limited to, Discs commonly known as laser discs (LD's) and compact disc-video (CD-V) discs.

Manufacturing Apparatus shall mean apparatus for use in the fabrication of Discs, including apparatus used in performing quality assurance procedures and/or testing of Discs.

Manufacturing Processes) shall mean any method or process, including related apparatus, used in the fabrication of Discs, including process steps directed to quality assurance procedures and/or testing of Discs.

DVA Patent(s) shall mean all United States patents owned by DVA as of the effective date of this Agreement, including utility models and design patents, and any United States patents, including utility models and design patents, issuing from pending United States patent applications owned by DVA as of the effective date of this Agreement, directed to Discs and/or any Manufacturing Apparatus and/or any Manufacturing Process, under which patents and patent applications (as well as divisionals, continuations, continuation-in-part applications, reissues, reexaminations and extensions thereof) DVA has, as of the effective date of this Agreement, the right to grant licenses to Licensee of the scope granted herein, provided however that such grant, or the exercise of rights under such grant, will not result in the payment of royalties or other consideration by DVA to third parties (except for payments to Affiliates of DVA and payments to third parties for inventions made by said third parties while employed by DVA or any of its Affiliates). United States patents relating to Discs and/or their manufacture which have issued and are licensable by DVA are set forth in Agreement. DVA shall provide Licensee on at least an annual basis an updated version of Agreement which includes any new patent to be added to Agreement and which indicates the expiration of a previously listed patent by the addition of the letter E following the patent number.

Licensed Patent(s) shall mean those DVA-owned United States patents listed in Agreement of this Agreement, these being the DVA Patent(s) under which Licensee has agreed to take a license. Any DVA Patent(s) listed in Agreement may be added to Agreement and thereby becomes a Licensed Patent by written agreement of the parties.

Hydrodynamic bearing head providing constant spacing – A player for video disc includes a vacuum reading head to read recorded information from a thin, flexible video disc. A rotating turntable provides a fluid cushion bearing to support the disc and the vacuum associated with the transducing head assembly draws the disc toward the head and maintains an optimum head-to-disc spacing.

The Italian Licensor agrees to sell and transfer to Licensee.
License Property
The Licensor is the owner of all patent rights of Patent No. AL2003A000002 relating to Tunneling Magnetoresistance Structure and the Method of its Production, and has the right to grant licenses under said Patent Rights, and; an exclusive license to use the Know-How in the Territory and; (b) an exclusive license of Licensors Patent Rights in the Territory to make, use and sell, offer to sell and import any Licensed Products derived from Patent No. AL2003A000002.

Patent relates to the nanotechnology concept known as tunneling magnetoresistance.  Tunneling magnetoresistance (TMR) is a large change in the electrical resistance upon the application of a magnetic field of two magnetic layers separated by an insulating layer. In practical terms, TMR and the other fields of giant magnetoresistance and ballistic magnetoresistance may revolutionize the way that electronic data is stored.

FRAM Product means a random access semiconductor memory device utilizing Ramtron's thin-film ferroelectric technology.

DRAM Product means any stand-alone semiconductor device that is a dynamic random access memory device and that is designed or developed primarily for the function of storing data, in die, wafer or package form.

Stack DRAM Product means any memory comprising Stack DRAM, whether in die or wafer form.

Stack DRAM means dynamic random access memory cell that functions by using a capacitor arrayed predominantly above the semiconductor substrate.

Stack DRAM Design means, with respect to a Stack DRAM Product, the corresponding design components, materials and information listed in Agreement of the JDP Agreement or as otherwise determined by the JDP Committee in a SOW (statement of work). JDP

Commodity Stack DRAM Products means Stack DRAM Products for system main memory for computing or Mobile Devices, in each case that are fully compliant with one or more Industry Standard(s).

Mobile Device means a handheld or portable device using as its main memory one or more Stack DRAM Products that is/are compliant with an Industry Standard and that has low-power characteristics for wireless applications, such as LPDDR and LPDDR2.

Licensee Products means Stack Dram Products and/or Stack Dram Modules the design for which (i) is owned by Licensee, (ii) was co-developed by the Parties pursuant to Design SOWs under the JDP Agreement, or (iii) is licensed by Licensor to Licensee pursuant to this Agreement.

Foundry Customer Products means Stack DRAM Products the design for which is owned by or licensed to a Foundry Customer.

Licensee Qualified Fab means (a) a semiconductor manufacturing facility that is directly or indirectly, through one or more wholly-owned Subsidiaries, wholly-owned by Licensee and with respect to which no other DRAM wafer manufacturer or DRAM wafer developer has a claim or right, directly or indirectly, to any of the output, profits or revenues derived by Licensee from the sale of product manufactured in such facilities, and (b) any other semiconductor manufacturing facility mutually agreed in writing to be a Licensee Qualified Fab by the Parties.

JDP Process Node means any Primary Process Node or Optimized Process Node resulting from the research and development activities of the Parties pursuant thee JDP Agreement.  JDP Agreement means that certain Joint Development Program Agreement between the parties.

Process Node means a collection of process technology and equipment that enables the production of semiconductor wafers for a particular minimum repeatable half pitch of a device (minimum physical feature size or line width) and often designated by the size of such pitch (e.g., the 68nm Process Node or the 50 nm Process Node, etc.

Process Technology means that process technology developed before expiration of the Term and utilized in the manufacture of Stack DRAM wafers, including Probe Testing and technology developed through Product Engineering thereof, regardless of the form in which any of the foregoing is stored, but excluding any Patent Rights and any technology, trade secrets or know-how that relate to and are used in any back-end operations (after Probe Testing).

Probe Testing means testing, using a wafer test program as set forth in the applicable specifications, of a wafer that has completed all processing steps deemed necessary to complete the creation of the desired Stack DRAM integrated circuits in the die on such wafer, the purpose of which test is to determine how many and which of the die meet the applicable criteria for such die set forth in the specifications.

Background IP means (a) Process Technology for the 68nm ad 50nm Primary Process Nodes used by Micro as the effective date to manufacture and test Stack DRAM Products, including the associated Probe Testing programs and methodologies, and to the extent required to support baseline quality levels on Commodity Stack DRAM Products and JEDEC standard Stack DRAM Modules, assembly testing, FT, Burn-In, and module testing methodologies and programs or algorithms, as such Process Technology is described in the information listed on Schedule 1, (b) the Stack, DRAM Designs for Commodity Stack DRAM Products made on such Process Nodes, which designs are listed In Agreement, and the information relating to such designs listed in Agreement to the extent existing as of the effective date, and (c) the process of record and model of record associated with the foregoing as they exist as of the effective date, including, in each case (a), (b) and (c), the associated IP Rights of Licensor therein, but excluding (i) anything that cannot be shared with Licensee without further permission or consent of, further payment to, or breach of agreement with, any Third Party and (ii) any Patent Rights.

Transferred Technology means the information and deliverables described on Schedule 1 for the 68nm and 50nm Process Nodes developed by Licensor as of the Effective Date for the manufacture of Stack DRAM Products and the information and deliverables described on Schedule 2 for the Stack DRAM Design identified thereon developed by Licensor as of the Effective Date, excluding any of the foregoing that cannot be shared with Licensee without further permission or consent of. further payment to, or breach of agreement with, any Third Party.
