Licensed Technology means Licensor's proprietary technology related to a heat regenerative engine that uses water as the working fluid as well as the lubricant and includes any Information, inventions, Innovations, discoveries, improvements, ideas, know-how, developments, methods, designs, reports, charts, drawings, diagrams, analyses, concepts, technology, records, brochures, instructions, manuals, programs, manufacturing techniques, expertise, inventions whether or not reduced to practice or the subject of a patent application, test-protocols,. test results, descriptions, parts lists, bills of materials, documentation whether in written or electronic format, prototypes, molds, models, assemblies, and any similar intellectual property and information, whether or not protected or protectable by patent or copyright, any related research and development information, inventions, trade secrets, and technical data in the possession of Licensor that is useful or is needed in the design or manufacture of such heat regenerative engine that uses water as the working fluid as well as the lubricant as identified and incorporated herein by reference and which may be amended from time to time by the parties.

This includes without limitation, U.S. Patent Application Serial No. 111225,422, entitled Heat Regenerative Engine, filed September 14, 2005, all patents that may issue under this patent application and their divisions, continuations, continuation-in-patis, reissues, reexaminations, inventor's certificates, utility models, patents of addition, extensions, as well as certain research and development information, inv ntions, know-how, and technical data that relate to and/or are disclosed in said patent application, and any other patent applications, patents divisions, continuations, continuation-in-parts, reissues, reexaminations, inventor 's certificates, utility models, patents of addition, extensions that may issue or be filed that relate to said Licensed Technology and/or said Patent Application.

The Licensor is the primary sub-contractor on this project, and will be providing a 10kW Cyclone engine to power the unit. The Licensor is contracted to receive approximately $700,000 in development fees over the course of this contract, with our engines to be delivered in August 2012. The term of this Agreement continues for six months after the delivery of the engines to the Licensee, and does not contain other termination provisions.

Engine is an eco-friendly external combustion engine with the power and versatility to run everything from portable electric generators and garden equipment to cars, trucks and locomotives.  Engine is a modern day steam engine, ingeniously designed to achieve high thermal efficiencies through a compact heat-regenerative process, and to run on virtually any fuel – including bio-diesels, syngas or solar – while emitting fewer greenhouse gases and irritating pollutants into the air.

Field of Use
Field of Use means electrical power generation that uses Biomass Fuels as a fuel source (“Biomass Use”) and electoral power generation solely for the U.S. Military Establishment that uses any fuel source (“Military Use”).

As of July 2011, the Licensee received a $1.4 million contract from the U.S. Army / TARDAC division, to develop a prototype auxiliary power unit for the Abrams M1 Main Battle Tank, Bradley Fighting Vehicle and Stryker Armored Vehicle.

Licensed Products means products in the Field of Use (as· hereafter defined) made using in any manner the Licensed Technology in the Territory which may be amended by mutual agreement of the parties from time to time to include additional products. Licensed Product specifically excludes, without limitation, motive power and/or generator units in the automotive and truck industries.

Licensor owns rights to a new gas turbine engine system including an ignition system and component parts (called Detonation Cycle Gas Turbine Engine or Detonation Engine) that uses cyclic detonations, provided by a process called 'electromagnetic isothermal combustion' (EIC), for complete combustion of any fuel. The Detonation Engine may be designed and manufactured in many sizes and configurations that enable it to produce the desired horsepower and meet the design, weight and other special requirements for various discrete applications. Alpha Engines is in the business of licensing use of its technology for the Detonation Engine for many different applications.

Use of the Detonation Engine requires practice of Alpha Engines' (i) U. S. Patent No. 6,000,214 issued December 14, 1999.

Licensor has the right to license Licensor Technology and Licensor Patent Rights which relate to and/or use aqueous fuel defined as comprising a mixture of water and carbonaceous material for combustion in an internal combustion engine and the use thereof.

Licensee desires to obtain and Licensor is willing to grant a worldwide license under Licensor Patent Rights and Licensor Technology upon the terms and conditions.

Licensor Technology means all proprietary and confidential Technology, owned or licensable by Licensor, now and during the continuance of this Agreement.

FIELD OF THE AGREEMENT means methods, processes, compositions and apparatuses for carrying out combustion for the generation of heat in internal combustion engines, including compression, spark-ignited and turbine engines, capable of using aqueous fuels and the use of aqueous fuels in such engines.

The Company consented to the assignment of their sublicensing Agreement with Well to Wire Energy, Inc. dated September 29, 1999 to the Canadian Licensee.

This subLicense Agreement exclusively Licenses within Canada, the use of the Coates Spherical Rotary Valve (CSRV) system technology for industrial engines to be fueled by natural gas to generate electrical power for the oil and gas industry.

The Company completed development of the prototypes in accordance with this Agreement at the end of 2007.

Additional provisions of the Canadian SubLicense Agreement are as follows

SubLicensee shall have the exclusive right to use, lease and sell electric power generators designed with the CSRV system technology within Canada.

SubLicensee will have a specified right of first refusal to market the electric power generators worldwide.

Upon commencement of the production and distribution of the electric power generators, the minimum annual number of generators to be purchased by SubLicensee in order to maintain exclusivity is 120.  

Until otherwise agreed between the parties, the price per generator shall be $159,000.  We have agreed to pass along to the Licensee savings we expect to realize from economies of scale inherent in high volume production of the CSRV units.

Field of Use
All Licensed rights under this subLicense Agreement related to the CSRV system technology will remain with the Company.  

Coates Spherical Rotary Valve system technology which is adaptable for use in piston-driven internal combustion engines of many types.

The CSRV system technology is designed to replace the intake and exhaust conventional “poppet valves” currently used in almost all piston-driven stationary, automotive, motorcycle and marine engines. Unlike conventional valves which protrude into the engine cylinder, the CSRV system technology utilizes spherical valves that rotate in a cavity formed between a two-piece cylinder head. The CSRV system technology utilizes only a small fraction of the moving parts in a conventional poppet valve assembly. As a result of the design improvements, management believes that CSRV Engines will last significantly longer and will require less lubrication over the life of the engine, as compared to conventional engines.

Testing to date indicates that Turbopac extends the benefits of the Turbodyne System of increased engine power, reduced fuel consumption and reduced emissions to non-turbocharged vehicles. Turbopac employs a high speed, electronically controlled brushless electric motor which runs continuously once the engine has started, providing positive air intake pressure to optimize the air to fuel ratio. Turbopac essentially serves as an electronic supercharger. Turbopac can also be installed on turbocharger equipped engines. Unlike the Turbodyne System, Turbopac can be installed without the need for precision machining of a turbocharger. The Company believes that the most significant aspect of Turbopac is that it allows Turbodyne Systems to target much larger international markets because of its ability to be installed on non-turbocharged engines.

'Radian Products' means equipment utilizing the various Rand CAMTM Technologies along with other technologies which Radian will use to design, manufacture and market UAV engines of over 10 horsepower maximum engine power utilizing 'Rand CAMTM Direct Charge Engine Technology' engines, 'Rand CAMTM Diesel Engine Technology' engines and 'Rand CAMTM Cold Turbine Technology' engines. Engines produced by Radian will be used exclusively for UAV equipment produced by Radian and replacement engines and parts for said equipment. 'The Technology' shall mean the Rand CAMTM', Direct Charge Engine Technology, Rand CAMTM Diesel Engine Technology, Rand CAMTM Compressor Technology, Rand CAMTM Expander Technology and Rand CAMTM Cold Turbine Technology as embodied in know-how, formulae, processes, designs, sketches, photographs, plans, drawings, specifications samples, models, reports, studies, findings, invention and ideas and other means of conveying information whether any of the foregoing is adapted to use in manufacture or not.

Intellectual Property Rights means all United States and foreign (i) Patents, (ii) Copyrights, (iii) Trade Secrets and Know-How, (iv) Software, and (v) all other intellectual property and proprietary rights, in each case whether registered or unregistered and including all applications for, and renewals or extensions of, such rights, and all similar or equivalent rights or forms of protection in any part of the world.

Patent Rights means (a) all patents and patent applications; (b) any patent or patent application that claims priority to and is a divisional, continuation, reissue, renewal, reexamination, substitution or extension of any patent application identified in (a); (c) any patents issuing on any patent application identified in (a) or (b), including any reissues, renewals, reexaminations, substitutions or extensions thereof; (d) any claim of a continuation-in-part application or patent (including any reissues, renewals, reexaminations, substitutions or extensions thereof) that is entitled to the priority date of, and is directed specifically to subject matter specifically described in, at least one of the patents or patent applications identified in clause (a), (b) or (c); and (e) any foreign counterpart (including PCTs) of any patent or patent application identified in clause (a), (b) or (c) or of the claims identified in clause (d).

During the Royalty Payment Period, Licensee agree not to grant to another supplier the right to sell the Licensor Direct Fuel Injection System to the Licensed Customers for use in Licensed Vehicles in the Licensed Sales Territory.

Licensor Direct Fuel Injection System shall mean the current Licensor air assisted direct fuel injection system components and including any Licensee improvements thereof.
