Health Field means (a) products and services targeted at adults and designed and marketed for use to address, prevent or remediate issues of age-associated cognitive decline or age-associated impairment, Alzheimer’s disease or any other forms of dementia; (b) products and services designed and marketed for use to address, prevent or remediate deficiencies in fine motor control or balance or other physical motor impairments; and (c) products and services designed and marketed for use to address, prevent or remediate forms of repetitive strain injury, chronic pain or physical distress, forms of psychotic illness or disorder, forms of stroke, aphasia or brain injury, or other forms of neurological deficiency (excluding (1) autism, (2) attention deficit disorders, and (3) learning disabilities and other deficiencies related to the ability to learn in children in grades preschool through twelfth grade or in adults having dyslexia or similar reading impairments). The parties acknowledge that products or services within the preceding clauses (a) through (c) may be marketed as products or services to enhance cognitive skills, and such marketing by itself shall not remove such products or services from the Health Field if such products or services in fact address, prevent or remediate any of the conditions described in clauses (a) through (c) in the persons to whom they are sold. Notwithstanding the foregoing, the Health Field shall not include products or services, whether or not in the preceding clauses (a) through (c), that are sold or marketed in the Educational Field.

License Grant
A. SLC and NSC previously entered into an SLC License Agreement effective as of September 30, 2003 and subsequent Amendment #1 (dated July 1, 2010 ) and #2 (dated June 25, 2010) (collectively, the “License Agreement”). All terms defined in the License Agreement shall have the same meanings when used in this Amendment No. 3 with initial letters capitalized.

B. SLC seeks to monetize the value of its patent portfolio through one or more licenses, sales, or assignments of the SLC Patents. To facilitate this goal, SLC wishes to (i) convert the license granted to NSC under a significant number of the Core SLC Patents from an exclusive to a non-exclusive license, and (ii) terminate NSC’s right to sublicense certain other SLC Patents through a sale of a division by NSC.

C. In exchange for converting its license from an exclusive to a non-exclusive license, NSC seeks to reduce the amounts payable to SLC. The parties also wish to clarify the scope of the products covered by the license following a change of control of NSC.

D. Accordingly, the parties desire to amend the License Agreement as set forth herein.

License Property
Technology relates to auditory processes and learning.
Field of Use
The original License Agreement granted Licensee licenses in the Health Field (as defined in the License Agreement) to issued and pending patents held by Scientific Learning.  Licensee's licenses in the Health Field to many of the patents were exclusive.  Under the Amendment, Licensee agreed to make the exclusive licenses to 16 of the patents non-exclusive.  Licensee also agreed to amend the definition of Health Field as it applies to all non-exclusive licenses so as to reserve for Licensor the field of Fitting of Hearing Aids and Cochlear Implants (as defined in the Amendment).

The Licensor hereby grants the Licensee a worldwide, nonexclusive sub-licensable to Licensor affiliates and /or subsidiaries (such sub-license shall only be for business purposes and not structured to reduce Net Revenues paid to Licensor), license to the Patent to use the Patent for the development, commercialization and marketing of vision improvement software applications in the Field of Use, including without limitation, to use, have used, make, have made, reproduce and manufacture the Products; and distribute, sell, have sold, license and sub-license Products; all whether independently or through third parties.

The Kansas-based licensor is the owner of several patents in the area of perceptual learning systems and methods.  The licensee's product will compete in the market of solutions for better, faster and more effective reading.
Field of Use
Field of Use shall mean vision improvement software applications limited to near-vision deficiencies and reading improvement.

The licensee hopes to deliver products through a cloud-based client server architecture to hand-held devices, currently implemented on the Apple iOS platform (iPhone, iPod, iPad), and which is scheduled to be offered on Android and Windows Phone platforms. The technology utilizes patented technology to develop and commercialize their consumer-oriented software applications for improving near vision sharpness, by improving the image processing function in the visual cortex of the brain.

License Grant
Canadian Licensor hereby grants to Licensee, its subsidiaries, divisions and affiliates an exclusive, worldwide license to use, reproduce, display, and distribute in CD or digital distribution form the Program in object code format and/or as bundled with a Licensee Product, if applicable and upon prior written approval of Licensor. Such license shall include the right of Licensee to sublicense distributors, resellers, and other third parties to achieve the foregoing.

The Licensor's current product lines to be marketed are known as the Syntality Knowledge Generator, and Complete English Real Time Intelligent Self Learning Systems.  The Syntality Knowledge Generator has been designed and developed as a complete educational integrated system that addresses individual general needs to special needs and can turn any textual information into knowledge quickly. With more than 200 individual enabling learning tools the system covers most learning needs from Preschool to College; from one Phonetic sound to complete pronunciation phrases; from learning one word to complete sentences, from writing, listening to speaking and comprehension and so on.

Master Copy shall mean the master copy of a Program, including without limitation all source code, object code and executable code embodied in the Program and any additional software necessary to replicate or reproduce such Program in CD-ROM, DVD-ROM, USB (flash drive) form or other mutually agreed upon hardware delivery mechanism with security encryption (e.g. dongle, etc.) and/or in such format to be able to host the Program on a server-based digital distribution localized or web-based (internet) network described in a SOW.
