License Grant
The Licensee entered into an Exclusive Worldwide Licensing Agreement with the Licensor, for worldwide license for all legal right, title and interest to certain technology including patents, patent applications, know-how and inventions concerning a product referred to as the Nociceptive Trigeminal Inhibition Tension Suppression System (“NTI-tss,” or the “Product”).

License Grant
Licensor hereby grants to Licensee an exclusive worldwide right and license to use, sell, manufacture, and otherwise to commercialize the Technology and/or Products in all fields of use.

The Licensee entered into the New License Agreement which grants the Licensee new Licenses under the applicable patent rights and related technology of the Licensor to manufacture and sell  existing chairside AMPSA Products (but not any such products other than the Company’s currently existing ones) and laboratory-manufactured semi-custom AMPSA Products.

The New License Agreement essentially carries forward the Exclusive Agreements’ terms as to sales to the US market, except that under the New License Agreement the Licensee's rights to sell AMPSA Products to the US market will expire at the end of 2012.  

Also, under the New License Agreement, the Licensee's License rights for the non-US market will, beginning January 1, 2013, be nonexclusive.

License Property
Licensor is the sole owner of all right, title, and interest in and to certain inventions, technology, know-how, patents and patent applications relating to the Nociceptive Trigeminal Inhibition Tension Suppression System (NTI-tss) (the Product).

The term Technology, as used in this Agreement, shall mean all knowhow, technical data, or other information of any kind regarding the design, manufacture, operation, use, or sale of any Product or other device for use in any field incorporating or based on United States Patent No. 6,666,212, foreign counterparts of this patent, or of the applications leading to such patents, and any other patents now or hereafter owned or controlled by Licensor which would be infringed by Licensee in exercising its rights and license notwithstanding this Agreement, or based on any products currently sold by Licensor, and any modification or improvements thereto made by Licensor or Licensee.

Field of Use
AMPSA Anterior Midpoint Stop Appliance intraoral devices. A form of protection from nocturnal parafunction and various disorders of the masticatory system.

License Property
Licensed US Patent Rights means, collectively, the Core Patents and the ‘303 Patent.

Core Patents” means U.S. Patent Number 5,513,656, titled “Intraoral semi-custom discluder device” and the inventions and specifications described and claimed therein;  U.S. Patent Number 5,795,150, titled “Intraoral semi-custom discluder device and method” and the inventions and specifications described and claimed therein; U.S. Patent Number 6,666,212, titled “Intraoral discluder device and method for preventing migraine and tension headaches and temporomandibular disorders” and the inventions and specifications described and claimed therein; U.S. Patent Number Re 43,459, titled “Intraoral discluder device and method for preventing migraine and tension headaches and temporomandibular disorders” and the inventions and specifications described and claimed therein; and all parents, continuations, continuations-in-part, divisions, extensions, re-examinations and reissues of all of the foregoing.

’303 Patent means (i) U.S. Patent Application Number 13/029,303, titled “Method and apparatus for diagnosing temporomandibular disorders” and the inventions and specifications described and claimed therein; (ii) any issued U.S. letters patent arising therefrom; and (iii) any parents, continuations, continuations-in-part, divisions, extensions, re-examinations and reissues of all of the foregoing.

Existing Products means the intraoral device products marketed by the Licensee as of the Effective Date of this Agreement, specifically standard NTI tension suppression system devices, standard NTI tension suppression system wide devices, NTI tension suppression system lower devices, NTI tension suppression system lower wide devices, NTI tension suppression system upper devices and NTI tension suppression system auxiliary slider (aka opposing slider) devices.

Licensed Marks means only the word “NTI TSS” and the logo therefor pursuant to Licensor's United States Trademark Registrations.

Field of Use
Field of Use means commercialization of diagnostic and therapeutic intraoral devices and/or components thereof; provided that, within the United States, the Field of Use specifically excludes the sale of Keller Products and the sale of Licensed Products in the Keller Channel of Trade.
