License Grant
The Licensor, an individual,  hereby grants to Licensee the exclusive right and license to use and exploit the Licensed Technology to make, have made, use, market, lease, and sell Licensed Products and to practice Licensed Methods in the Licensed Territory during the term of this Agreement unless sooner terminated as provided in this Agreement.  Licensee shall be allowed to grant sublicenses under this Agreement.

United States Patent Application 20100049078 Novel methods and apparatus for diagnosing or screening disease states in living organisms by the measurement and analysis of extremely low frequency electromagnetic fields, particularly extremely low frequency alternating current. The measurement of such fields is performed at a single point or at several test points on or in the body and compared to one or more reference. Information in the time-varying electromagnetic field is collected, then processed by diagnostic or screening algorithms to provide information about the disease state of the tissue being assessed.

A method and apparatus are provided for the determination of levels of carotenoids and similar chemical compounds in biological tissue such as living skin (34). The method and apparatus provide a noninvasive, rapid, accurate, and safe determination of carotenoid levels which in turn can provide diagnostic information regarding cancer risk, or can be a marker for conditions where carotenoids or other antioxidant compounds may provide diagnostic information.  The method and apparatus utilize the technique of resonance Raman spectroscopy to measure the levels of carotenoids and similar substances in tissue. In this technique, laser light is directed upon the area of tissue which is of interest. A small fraction of the scattered light is scattered inelastically, producing the carotenoid Raman signal which is at a different frequency than the incident laser light, and the Raman signal is collected, filtered, and measured. The resulting Raman signal can be analyzed such that the background fluorescence signal is subtracted and the results displayed and compared with known calibration standards.

Field of Use
Field of Use shall mean the use of the Licensed Technology for the non-invasive measurement of carotenoids and similar or related compounds in human skin including related research; however, the above Field of Use does not include the use of the technology for identifying, imaging, locating, and/or diagnosing skin lesions or skin malignancies in human patients. The above Field of Use does not include veterinary applications; however, it is agreed that Licensee may use laboratory, in vitro, and in vivo animal model methods to research, develop and validate Licensed Products and Licensed Processes. For avoidance of doubt, human skin is defined as the continuous external membrane (integument) enveloping the body and consisting of the epidermis and dermis, hair, nails, sebaceous glands, sweat glands, and mammary glands; the skin does not include mucosal tissue such as the lining of the mouth.

The second patent was issued on July 1 1997 as patent No. 5,642,734, Method and Apparatus for Noninvasively Determining Hematocrit As of December 21, 1999, Licensor received a first office action notice of allowance on a third patent, 'System and Method for Invivo Hematocrit Measurement Using Impedance and Pressure Plethysmography.' On October 3, 2000 this patent was issued as patent No. 6,128,518.  On May 16, 2000 licensor  filled for a fourth patent System and Method for In-Vivo Hematocrit Measurement Using Impedance and Pressure Plethysmography. This patent application is currently pending. The methods and procedures to measure hematocrit non-invasively,  including without limitation, the patents and technologies incorporated in the three patents and patent applications described above, are collectively referred to herein as the  'Licensor's Hematocrit Technology'.
