License Grant

The British Virgin Islands Licensor hereby Licenses to the Canadian Licensee, for the use of an irrevocable, non-transferable and exclusive right to apply and exploit the Technology, either in Canada or elsewhere in the world. The Licensee shall use the technology in their consultancy business for evaluating tracts of land to realize carbon-credit values and other potential values and Licensor has agreed to license the Technology for such Use, pursuant to the terms of this Agreement. The term of this Agreement shall be in perpetuity provided that all royalties owed to the Licensee are current on the anniversary of this Agreement.

The agreement includes and/or incorporates the techniques, rights and other elements to be used to assess tracts of land for carbon-credit values anywhere in the world. Particularly the technology can be used as the foundation of carbon development and specialized services focusing on the carbon emission reductions and natural resource management markets to provide specialized technology and advisory services to clients who wish to participate in the carbon development market globally. The Technology can be applied to provide services in three  areas  

Clean Development Mechanism projects, which are mainly afforestation projects and which may be structured to qualify for carbon credits; afforestation is the act or process of creating a new forest where none had existed before, or reforestation of areas long deforested;    

Voluntary carbon emissions in those jurisdictions were carbon emitters decide to reduce emissions through biological sequestration either for social or environmental purposes of for reasons that are anticipatory to upcoming legislation; and  Reducing Emissions from Deforestation and Forest Degradation which are projects that can generate carbon credits through the conservation of forest lands in any part of the world;
    
The Technology provides technical know-how as to what is commonly known as voluntary, CDM and REDD projects globally for the development of carbon offset credits.

Description of the Technology  Statistical models sensitized to biogeographic areas of the world following the IPCC 2006, chapter 4 guidelines consolidated into spreadsheets, equations for the determination of carbon offsets from biological ecosystems  including  allometric equations for determining carbon content from bulk volumes of biomass, determining carbon offset potential based on carbon content, modeling permanence risk factors based fire return intervals or fire frequencies and leakages called The Technology.  The Technology has been sensitized to permit modifications to incorporate methodologies from 9 groups of protocols currently used in carbon trading, worldwide

Field of Use

Licensee wishes to license the use of the Technology for developing consultancy business on tracts of land to realize carbon-credit values and other potential values.

License Grant

Pursuant to the License, the Canadian Licensee was granted by the Canadian Licensor an exclusive, non-transferable, and irrevocable right to develop and commercialize certain intellectual property that will be used in developing carbon credits from forested lands.
The Licensor is owned fully by an indiviual, who was then appointed CEO and Director of the Licensee on January 14, 2011.

Both Buyer and Seller acknowledge that Licensor is engaged in the development of carbon offsets from forests based on know-how in the form of experience and market knowledge for determining the economic potential and value of traditional forest inventories as carbon pools (or carbon storage properties) in connection with programs where verified carbon offset credits are bought, sold or traded, including
i. Knowledge of and/or relationships with technology providers in various manufacturing sectors who own technologies that can be used by carbon emitters to meet emission reduction requirements;
ii. Knowledge of and/or relationships with land owners in various countries with interests in providing land bases for the development of biological sequestration offset credits to meet emission reduction requirements;
iii. Knowledge of and/or relationships with financial institutions with interest in providing capital for the development of carbon sequestration tools or implementation of novel technologies to meet emissions reduction requirements; and,
iv. Knowledge of and/or relationships with purchasers of carbon offsets.

The intellectual property consists of knowledge pertaining to the registration of carbon offsets or carbon credits from the biological carbon pools contained in ecosystems (mainly forest ecosystems).  Carbon pools can then be conveyed into a new form of security, termed carbon credits, which are bought by carbon emitters who are compelled to reduce their carbon emissions through legislation, or carbon emitters who may voluntarily engage in carbon trading for the purpose of increasing their environmental stewardship or for publicity purposes.  

Prepaid royalties permitted the Licensee to further advance business activities by providing carbon development services as well as carbon development of its own projects under plans in addition to carbon accounting services.

Field of Use

The rights granted is to use its licensed intellectual property to provide services and capitalize on opportunities relating to carbon trading, carbon sequestration, and other greenhouse gas emission control, offset and reduction programs.

Use of the intellectual property
The buyer acknowledges that the intellectual property has been developed by the seller and its shareholders for the purpose of engaging in the development of carbon offsets from forests or other biological ecosystems. Licensor is a specialized service firm focusing on the development of carbon sequestration projects from forested ecosystems, anywhere in the world, to meet the need of carbon emitters who purchase mandatory or voluntary carbon credits to reduce their carbon footprints. Licensors know how permits to address most of the technical issues involved in regulated carbon projects to support the deployment of a specialized advisory and value chain management services to clients who wish to participate in the carbon development market. The buyer’s participation may take place in three main forms 1. Preparation of the necessary documentation and proof for registering carbon offsets specifically to meet the requirements of carbon trades from specific landholdings, working either on behalf of landowners intent to increase revenues from their properties or emitters intent on meeting their regulated requirements; 2. Carbon monitoring services in order to ensure that our clients’ projects are compliant in their reporting to various jurisdictions where their carbon offsets are registered; and, 3. Carbon financing for specific projects where the Corporation will be able to forward sell carbon offsets to emitters or carbon brokerage firms.

The Canadian Licensor granted the Licensee an irrevocable, non-transferable and exclusive right to apply and exploit the Technology in connection, either in Canada and elsewhere in the world for assessing tracts of land to determine carbon-credit values and other potential values; proprietary airborne biomass mapping.

License Property

Licensor has developed an R-MAP technology (the Technology) which includes and/or incorporates the techniques, rights and other elements and in the documents and instruments identified therein and can be used to assess tracts of land for carbon-credit values anywhere in the world.

Description of the Technology includes
1 Intellectual property for conducting airborne surveys of forest lands in areas that are difficult to access and, in a statistically verifiable manner that is consistent with the requirements of carbon trading programs, permits an assessment of the potential biomass on such land and its value for carbon storage purposes or in other manners under or in connection with carbon trading programs.

2 Remote mapping & photogrammetry correction coefficients for biometric and statistical routines to correct and enhance accuracy of automated biomass and land cover data derived from any and all methodologies, including remote sensing and multiple scale aerial/satellite imagery.

3 In-house database of biometric algorithms for tree species relating crown area to stem diameter for all major commercial tree species for evaluation of carbon and forest inventory stocks.

Licensee wishes to license the use of the Technology for assessing tracts of land to determine carbon-credit values and other potential values (the Use).

The Canadian Licensor granted the Licensee, an irrevocable, non-transferable and exclusive right to apply and exploit the Technology, either in Canada or elsewhere in the world.

License Grant

The Company and its wholly owned subsidiary, executed an Iron-Fertilization Prove-Out and Purchase Agreement with the Licensee whereby the Licensee committed to assist the Company in providing developmental funding for a marine “iron-fertilization” prove out program in exchange for exclusive marketing and intellectual property rights to the subsidiary's CO2 sequestration process.

License Property

The Kyoto Protocol enables companies and governments to offset regulated greenhouse emission restrictions by investing in CO2 reduction programs in exchange for certified emission reduction (“CER”) credits. These CER credits are traded much like commodities and have their own market of which they are listed for sale.

License Grant

The Licensor of Bahamas agrees to grant the Licensee an exclusive, international master license for the Zero-emission Energy Recycling Oxidation System, also known as ZEROS, including the use of any extant patents, proprietary marks and indicia.

License Property

Licensor has the rights and interests to technology to recycle energy using hazardous and non-hazardous wastes, including toxic wastes.

Zero-emission Energy Recycling Oxidation System (the 'ZEROS System') is a closed, waste disposal and energy production system which processes toxic and non-toxic waste and recycles the processed waste into marketable energy, carbon dioxide products, brine and other products. The waste processing is performed with zero emissions and is an alternative to the traditional 'smokestack' incineration.

The ZEROS System is a closed, energy recycling process, operating as a thermal oxidation process.  Unlike incineration, the process does not consume ambient air and it has no smokestack or other vent to discharge emissions.  The Licensor believes that the ZEROS System would be classified as Air Quality Exempt by state environmental agencies, acting in accordance with the Environmental Protection Agency (EPA) regulations, because the system has no smoke stack and has demonstrated a 100% mass balance, thus proving to be emission free.

Field of Use

The field of use relates to the energy recycling industry.

Licensee desires the master license to sell to others operating licenses and energy recycling oxidation systems, including the use of any extant patents, proprietary marks and indicia.
