License Grant

Germany licensor hereby grants to Swiss Licensee the exclusive right to manufacture use and sell the Membrane Products using the Industrial Property Rights and Technical Information furnished by Licensor.

The Licensor granted the Licensee the exclusive right to manufacture, use and sell the Licensor-designed assembly of Microfiltration, Ultrafiltration, Nanofiltration and Reverse Osmosis equipment for treating water with membrane technology using the Industrial Rights and Technical Information furnished the Licensor.

License Property

Licensor  is engaged in the manufacture and sale of Membrane Filtration Plant Products. The Licensor's technologies include a novel, low energy consumption, reverse osmosis filtration technology for treatment of water with membrane technology.

Membrane Products are defined as Licensor designed assembly of Microfiltration Ultrafiltration, Nanofiltration and Reverse Osmosis equipment for treating water with membrane technology

License Grant

The licensed lights of patent, trademark and know-how granted by Swiss Licensor to the Licensee shall be valid within the territory/projects of Licensee.

The object of the present agreement of technology transfer is a) the license to manufacture the products; b) all know-how and technical assistance necessary for the exploitation of the said patents and the manufacture of the aforementioned products; c) the use of the trademarks. The license is granted in a non — exclusively agreement for the applications & technologies.

Atmosphere Water Generator Powered by a renewable energy solutions the AWG produces pure potable water from the air’s humidity. The system produces sufficient quantities even at very dry and hot climate conditions. AWG plants can be scaled to almost any size community and/or population.
The machines employed suck in large volumes of air, cool it down to the dew point and collect the resulting condensing water, which is then filtered and mineralized. Through this process, pure drinking water is obtained that meets the quality standards of the WHO.

Seawater, lake water, river water or stagnant water is passed through several stages of purification and treatment until it is rendered drinkable as per World Health Organization standards. In the case of sea or stagnant water, we recommend a treatment via reverse osmosis membranes, which permits the retention of dissolved solids and results in obtaining water of drinking quality. If the water being treated emanates from lakes or rivers, we recommend treatment via an ultrafiltration membrane which functions by retaining suspended materials such as colloids, viruses and bacteria.

Field of Use

Licensee was created to respond to the growing need of drinking water and proposes a water purification solution utilizing solar, photovoltaic energy and, when applicable, a mini- windmill or an alternate source of renewable energy. The system is ready to be built from the Licensor and delivered on demand.

License Grant

Licensor hereby grants to Licensee a perpetual, worldwide, exclusive, sub-licensable right and license to make, have made, use, sell, offer for sale and import products and provide services under the Licensed Intellectual Property throughout the License Term for the sole purpose of commercializing products and/or services in any and all commercial markets. Such license will be exclusive, even as to Licensor.

License Property

The property is certain patents, products, trade secrets and technologies related to the design and manufacture of mobile water purification systems.

As per the SR Agreement Licensee are able to use of U.S. Patent No. 8,900,459 B2, an invention entitled “Versatile Water Purification Systems and Methods,”. Licensee will use the Patent process to purify contaminated water through a multimedia filter to produce filtered water, into a plurality of reverse osmosis columns to produce osmosis water, and into a buffer tank.

License Grant

The Licensee entered into an exclusive technology License Agreement for North America, to market the AO-System water treatment system AO – Anodic Oxidation  from the German Licensor,   The Licensee does also have the opportunity under the License to manufacture the AO-System in the United States, and market in the United States, Canada and Mexico for resale.

License Property

Intellectual Property Rights shall mean all intellectual property rights, including without limitation, any rights in any invention, patent, discovery, improvement, know-how, utility model, trade-mark, copyright, industrial design, trade secrets and all rights of whatsoever nature in materials processing, Confidential Information, and all intangible rights or privileges, whether or not registered, and shall include all rights in any applications and granted registrations for any of the foregoing.

Product(s) means the Anodic Oxidation water treatment plant AO-System inclusive supplementary products or any successor products and all technology required to commercially resell or manufacture from GRANTEE in the Territory and which are utilized to treat water for any and all applications except dental applications in the Territory.

Anodic Oxidation, a continuous electrochemical water treatment process, generates microbicide oxidants directly out of the water to be treated through specially developed electrochemical cells (reactors) – generally without any additives.

This innovative water treatment system is to be utilized for purifying and treating water. The Licensor is in the business of 1) manufacturing integrated water treatment systems, 2) developing innovative technology related to water treatment systems, and 3) designing custom systems for a wide variety of water treatment applications and purposes.

Field of Use

The rights granted apply to the water treatment industry.

License Grant

The Licensee entered into a Licensing Agreement with the Licensor to License proprietary technology relating to converting municipal water to oxygen enriched pH balanced water.

The Licensee will have exclusive rights to sub-License, establish joint ventures and to commercialize products through the methods of the Water Conversion Technology.

License Property

The Water Conversion Technology is based on a method of 7 steps consisting of
(1) removal of dirt, sludge and other un-dissolved solids to less than one micron particle size,
(2) ozone is injected into the water to kill the bacteria and viruses and to coagulate the solids,
(3) water then goes through a carbon filtration system, whereby all the pesticides, herbicides, chlorine and other organic chemicals ( carcinogenic) are removed,
(4) water is subjected to UV lighting, enabling all pollutants to be destroyed,
(5) water then passes through a reverse osmosis system, enabling all chlorine and sodium and over 98% of all total dissolved solids (TDS) to be removed.
(6) water is processed through the Water Conversion Technology, where the water is pH balanced to a 8.3 state, without the addition of any substances,
(7) water is processed through the Water Conversion Technology, and oxygen molecules are bonded with the water molecules, making the water oxygen enriched for long periods of time.

Field of Use

The Licensee is obligated to establish water bottling operations by December 31, 2013.  In the event that the Licensee has not established operations by this date, the Licensor has a right to void the Agreement.

The final product produced will be water that is in a pH balanced state ( 8.3 pH ), oxygen enriched, bacteria free, fluoride free, chlorine free, and sodium free with less than 2 parts per million (ppm) of total dissolved solids.

The water will be piped into sterilized non-­leaching plastic and capped with sterile caps.

License Grant

Whereas, Lincensor represents that it has invented and developed certain intellectual property hereinafter referred to as Technology, useful in filtration of sodium from water produced in the process of extracting methane in wet bed mining situation.  Licensee desires to obtain from Licensor, and Licensor is willing to transfer to Licensee the Technology.

Field of Use

The technology concerns treatment technologies to provide pure safe water around the world. This technology is specifically designed to treat coal bed methane associated water to make it fit for discharge in the water bodies or for use in irrigation. The water as produced has unacceptable levels of sodium, barium, iron and other inorganic contaminants that pose a threat to the soil and aquatic life in the local habitat.

License Grant

The Grantor grants to the Licensee of the United Kingdom, the exclusive license in the Territory and a non-exclusive license outside this area, to use the Technology for the purpose of bottling and selling atmospheric generated water, known as converting air to water and filtering such water for human consumption.

The atmospheric water generator produces purified water from the atmosphere by using a condensing surface and a special filtration system that removes dust, airborne particles and bacteria to generate clean drinking water and, at the same time, simultaneously cleaning the air.
