License Grant

On April 7, 1998, the Ministry of Communications granted Licensee a general License to establish and operate a mobile telecommunications network in Israel for a period, following an amendment to the License in June 2002, of 20 years from February 1, 2002.  In the December 2001 spectrum auction in Israel, Licensee was awarded additional spectrum (GSM 1800 MHz spectrum and UMTS third-generation 1900 MHz and 2100 MHz spectrum). The License was amended to include the terms relevant to the additional spectrum.

License Property

No person, other than the State of Israel, may provide public telecommunications services in Israel without a License issued by the Ministry of Communications.

Field of Use

The License also requires Licensee to interconnect its mobile telephone network to other telecommunications networks operating in Israel, including that of Bezeq, the other mobile telecommunications operators and the international telecommunications operators in Israel. Conversely, Licensee must allow other telecommunications operators to interconnect to its network.

There is a Wireless spectrum lease.

We intend to work with network partners who are interested in funding the deployment of shared mobile WiMAX networks that operate on our Licensed spectrum and utilize network and device equipment which incorporate our products and technologies. Potential network partners include wireless service providers, cable operators, Internet service providers, and content distributors.

License Property

We are an early-stage wireless technology company engaged in the development of next-generation mobile broadband and wireless multimedia products, technologies and services. We expect that mobile WiMAX, a wireless broadband system utilizing a cellular architecture to deliver fully mobile and high quality fixed voice and data services, will play a major role in enabling the widespread delivery of mobile broadband services.

License Grant

In 2003 we acquired a patent for VoIP communication from the undisclosed inventor.  Patent licensing revenue is derived from licensing our intellectual property.

License Property

Our VoIP Patent Portfolio is an international patent portfolio covering the basic process and technology that enables VoIP communications.  Our patented technology enables telecommunications customers to originate a phone call on a traditional handset, transmit any part of that call via the Internet, and then terminate the call over the traditional telephone network.

In connection with the acquisition of U.S. Patent No. 6,243,373, the Company agreed to remit, to the former owner of the patent, proceeds from future revenue derived from the licensing of the VoIP Patent Portfolio, composed of U.S. Patent No's. 6,243,373 and 6,438,124.

The rights granted apply to the telecommunication field.

License Grant

The Company entered into an exclusive Agreement with an affiliated Company.  The agreement permits the Company to utilize the patent and trademark technology of the affiliated Company.

License Property

Licensor is engaged in the development of hardware and software systems and related services to provide digital interactive subscriber audio and data communications (DSL Business).  Licensor has developed extensive technical information, including, know-how, and trade secrets in connection with the design, manufacture and use of systems which provide digital audio and data communications over conventional copper twisted wire telephone lines on an interactive, bi-directional basis.

Licensed Products and Services means systems, components, software, or services provided or manufactured in the operation of provide digital interactive subscriber audio and data communications; adopted the trademark, mfXDSL to identify products and services provided as part of the DSL Business.

Field of Use

The rights granted apply to digital audio and data communications.

License Grant

The Licensor of British Virgin Islands entered into a Licensed Works Agreement, Licensed Works Agreement Statement of Work and a Patent License Agreement with the Mexican Licensee, under which the Licensor agreed to integrate our bandwidth management technology and related intellectual property into future Lotus Unified Communications offerings by the Licensee, and to provide maintenance support services.

The Agreements have a five year term and are non-cancelable except for material default by either party.  The Agreements also convey to the Licensee a non-exclusive world-wide License to our patent portfolio existing at the time of the Agreements and for all subsequent patents issued with an effective filing date of up to five years from the date of the Agreements.

The Licensor's broad portfolio of patents covers, among other areas, video and rich media collaboration technologies, networked real-time text and non-text Communications and desktop workstation echo cancellation.

“Node” means a single computing device, such as a hardware server.

“Session Initiation Protocol” (“SIP”) means a signalling protocol, widely used for setting up and tearing down multimedia communication sessions such as voice and video calls over the Internet.

“Multipoint Control Unit” (“MCU”) means an endpoint on the local area network that provides the capability for three (3) or more terminals and gateways to participate in a multipoint conference.

“Virtual Private Network” (“VPN”) means a computer network in which some of the links between nodes are carried by open connections or virtual circuits in some larger network (e.g., the Internet) instead of by physical wires.

The rights granted apply to multimedia telecommunications.

License Grant

The Company entered into the Channel Lease Agreement to lease from the Licensor, government organization, for the use of a portion of three (6 MHz) ITFS channels (a total of 18 MHz) located on seven different tower locations (a total of 126 MHz), with an option to utilize one additional 6 MHz ITFS channel also located on each of the seven tower locations when the Department obtains the necessary FCC approvals for such channels.

The field of use apply to the wireless cable market.

License Grant

This amendment updates the grant to read Licensor grants a personal, nontransferable, worldwide and nonexclusive license under Licensors Intellectual Property solely for Wireless Local Loop Applications
(a) to make, and have made, import, use and l ease or otherwise dispose of Subscriber Units, and
(b) to make, and have made, Components, provided such Components have been exclusively designed by Licensee and which design is owned and used exclusively by Licensee, and import, use and sell, lease and otherwise dispose of such Components but only if such Components are included as part of and within complete Subscriber Units Sold by Licensee or as replacement parts for Subscriber Units previously sold by Licensee.

Licensor has developed certain proprietary Code Division Multiple Access('CDMA') technology which may be useful in providing greater capacity and improved quality and reliability compared to other cellular telephone technologies.

With this amendment, Fixed Wireless Terminal means a complete CDMA fixed, non-mobile, non-portable telephone which 1) incorporates all or any part of Licensors Intellectual Property, 2) can be used, without any additional equipment or components being attached thereto, to initiate and receive Wireless Local Loop telecommunications in accordance with the CAI, and 3) is AC-powered through coupling of an attached power cord to an external fixed-location power supply.

Code-division multiple access (CDMA) is a channel access method used by various radio communication technologies. CDMA is an example of multiple access, where several transmitters can send information simultaneously over a single communication channel. This allows several users to share a band of frequencies (see bandwidth). To permit this without undue interference between the users, CDMA employs spread spectrum technology and a special coding scheme (where each transmitter is assigned a code).

CDMA2000 is a family of 3G[1] mobile technology standards for sending voice, data, and signaling data between mobile phones and cell sites.

Field of Use

Licensee desires to obtain a license of Licensor's Intellectual Property to manufacture and sell Subscriber Units and to purchase certain components and equipment from time to time under regular purchase orders.

The field of use is digital spread spectrum communications as applied to the telecommunications industry.
