License Grant

The Russian Licensee and Korean Licensor entered into a this non-transferable, exclusive and royalty-bearing License and distribution agreement within the territory of shall mean the territory of the Former Soviet Republics  Armenia, Azerbaijan, Belorussia, Estonia, Georgia, Kazakhstan, Kyrgyzstan, Latvia, Lithuania, Moldova, Russia, Tajikistan, Turkmenistan, Ukraine and Uzbekistan.

Licensor has developed and owns all rights in computer programs of online game Requiem Online.  Requiem is a massively multiplayer online role-playing game.

Unless explicitly approved in writing by the Licensor, the Licensee shall have no right to sublicense.

Field of Use

This Exclusive Requiem Online License and Distribution Agreement is with respect to Intellectual Property rights which shall mean all patents, designs, utility models, copyrights, know-how, trade secrets, trademarks, service mark, trade dress and any other intellectual property rights in or related to the Game or Technical Information.  Licensee shall provide Game services only by way of the PC on-line method (excluding mobile access) using the Servers.

License Grant

Licensor granted Polish Sublicensee an exclusive sublicense, even as to Licensor, for the patent rights Licensor licensed pursuant to the HPI License within the following countries Poland, Estonia, Latvia, Lithuania, Belarus, Ukraine, Moldova, Romania, Bulgaria, Serbia, Macedonia, Albania, Armenia, Azerbaijan, Georgia, Montenegro, Bosnia, Croatia, Slovenia, Slovakia, Czech Republic, Hungary, Chechnya, Uzbekistan, Kazakhstan, Kyrgyzstan, Tajikistan, Turkmenistan, Greece, Austria, and Russia. Berubicin is an anthracycline, which is a class of drugs that are among the most powerful chemotherapy drugs known and as a class are effective against more types of cancer than any other class of chemotherapeutic agents.

The chemical compound is commonly known as Berubicin and used in the treatment of glioblastoma.  Glioblastoma, also known as glioblastoma multiforme (GBM), is the most aggressive type of cancer that begins within the brain.

License Grant

The Licensee is party to an exclusive license with Licensor for the development and commercialization of Dexmedetomidine for use in the treatment of pain in humans in any dosage form for transdermal, transmucosal (including sublingual and intranasal), topical, enteral or pulmonary (inhalational) delivery, but specifically excluding delivery vehicles for administration by injection or infusion, worldwide, except for Europe, Turkey and the CIS (currently includes Armenia, Azerbaijan, Belarus, Georgia, Kazakhstan, Kyrgyzstan, Moldova, Russia, Tajikistan, Turkmenistan, Ukraine and Uzbekistan), referred to herein as the Territory.

Dexmedetomidine means the compound known as “dexmedetomidine” or 4-((1S-1-(2,3-Dimethylphenyl)ethyl)-1H-imidazole including hydrates, stereoisomers, salts, and mixtures thereof.

Dex (dexmedetomidine) is a selective alpha-2 adrenergic agonist that has demonstrated sedative, analgesic and anxiolytic properties. Dex has an extensive commercial history of safe injectable use.

License Grant

The Licensor and the Licensee of an India entered into a Patent and Technology License Agreement to License the Nimbus® intellectual property.

Under the Agreement, the Licensor grants the Licensee exclusive rights to use the Nimbus intellectual property in hydrophilic polyurethane foam for wound care applications and for securing intravenous tubings and catheters on products sold in Armenia, Azerbaijan, Belarus, Georgia, Kazakhstan, Kyrgyzstan, Moldova, Tajikistan, Turkmenistan, Ukraine, Uzbekistan, Russia and their territories and possessions.

The Licensor hereby grants Licensee, of Cyprus, a non-exclusive right and license to use all of the Technical Information, if any, furnished by the Licensor pursuant to this Agreement, and any invention claimed in any of the unexpired patents now or hereafter, unexpired patents which issue from pending patent applications, and any continuations, continuations-in-part, divisions, reissues, reexaminations, or extensions thereof to make, have made, and to lease, sell, or otherwise dispose of Licensed Products in the Russian Federation, Armenia, Azerbaijan, Belarus, Estonia, Georgia, Kazakhstan, Kyrgyz, Republic, Latvia, Lithuania, Moldova, Tajikistan, Turkmenistan, Ukraine and Uzbekistan.

Licensed Product means a Light Valve Architectural Window Product incorporating a Light Valve.

The term Licensed Product shall not include Light Valves used or intended for use in any product other than as specifically defined herein, such as but not limited to, other window products not specifically defined herein, such as windows for transportation vehicles, including, but not limited to passenger cars, recreational vehicles, trucks, mobile cranes, trains, monorails. aircraft, boats, vans, sport utility vehicles, space craft and space-stations, and non-window products such as but not limited to displays, eyewear, sun visors, toys, mirrors or filters for scientific instruments, lamps or contrast enhancement of displays.

Light Valve means a variable light transmission device comprising a cell including cell walls, containing or adapted to contain an activatable material, described hereinafter, such that a change in the optical characteristics of the activatable material affects the characteristics of light absorbed by, transmitted through and/or reflected from the cell; means incorporated in or on the cell, or separate therefrom for applying an electric or magnetic field to the activatable material within the cell; and coatings, (including, but not limited to, electrodes), spacers, seals, electrical and/or electronic components, and other elements incorporated in or on the cell.  The activatable material, which the cell contains or is adapted to contain, includes in it solid suspended particles, which when subjected to a suitable electric or magnetic field, orient to produce a change in the optical characteristics of the device, and may be in the form a liquid suspension, gel, film or other material.

Light Valve Architectural Window Product means a Light Valve used or intended for use solely as a window integrally incorporated in, or attached as a fixture to the external structure or internal structure of any building, whether permanent or temporary, and whether above or below ground.
