(b)
Is covered by any claim being prosecuted in a pending application directed to the Invention(s); or

(c)
Incorporates any of the Licensed Materials.

Licensed Patent(s) means any (i) U.S. patent application Serial Number 270,631 filed July 1, 1994 (issued on July 22, 1997 as U.S. Patent Number 5,650,135), (ii) all divisions, substitutions, and continuations in whole or part of any of the preceding, (iii) all foreign patent applications corresponding to or claiming priority from (including International Application Number PCT/US95/15040 and all national applications claiming priority therefrom), and (iv) all U.S. and foreign patents issuing on any of the preceding, including patents of addition, reexaminations, reissues and extensions.

Patent Rights means (i) the Patents listed and (ii) any Patents based on any of the Patents listed, and (iii) any other Patents that would be infringed by or useful for the manufacture, use, sale, offer for sale or import of a Product or Process and that are owned by Licensor or any of its Affiliates, as of the Effective Date or at any time during the term of this Agreement and (iv) any Patents that would be infringed by or useful for the manufacture, use, sale, offer for sale or import of a Product or Process and that are licensed to Licensor as of the Effective Date or at any time during the term of this Agreement. Patents Rights will include any reissues, confirmations, renewals, extensions, counterparts, divisions, continuations, continuations-in-part, supplemental protection certificates or utility models relating to the patents or patent applications described or referred to herein. It is expressly understood that Patent Rights exclude Licensee Background Patents and Improvements.

Licensor’s patent application, now published as WO 02/33128 and entitled, “Simultaneous quantification of nucleic acids in diseased cells,” and all divisionals, continuations, continuations-in-part, reissues, substitutions, confirmations, updates, registrations, revalidations, reexaminations, renewals, extensions or the like of any such patents and patent applications, to the extent that they relate to the mitochondrial toxicity technology.

Know how means the information, inventions and data (including, but not limited to, formulae, procedures, processes, protocols, techniques and results of experimentation and testing) concerning the Technology Rights owned or licensed by Licensor or any of its Affiliates as of the Effective Date or at any time during the term of this Agreement and that are useful for the research and/or development and/or manufacture and/or use of the Product or Processes, excluding Patent Rights therein.

Material means any and all materials, compositions, products and biologicals owned or licensed by Licensor or any of its Affiliates as of the Effective Date or at any time during the term of this Agreement and that are useful for the research and/or development and/or manufacture and/or use of the Product or Process, and any and all intellectual property rights therein, excluding Patent Rights.

Field of Use
The license is to further develop and commercialize Licensor's (anticancer and antiviral drug discovery) mitochondrial DNA and RNA detection and toxicity technology.

Instrument Licensed Product shall mean that instrument, system or component or part thereof in the Licensed Field, the manufacture, use or sale of which, but for a license granted under this Agreement, would infringe a claim in the Licensed Patents.

Disposable Licensed Product shall mean that probe, array, substrate, reagent, kit or component or combination thereof in the Licensed Field, the manufacture, use or sale of which, but for a license granted under this Agreement, would infringe a claim in the Licensed Patents.

Field of Use
Licensed Field shall mean all fields of use except the field of use of a Genosensor System licensed to Beckman Instruments, Inc. pursuant to the license agreement between MIT and Beckman dated May 28, 1993, and shall have the same meaning as now stated in the MIT/Genometrix Agreement.

Licensed Product shall mean any product or part thereof which:

Field of Use
Field of Use shall mean all fields of use except the field of use of a Genosensor System previously licensed to Beckman Instruments. Inc. pursuant to the  Licensor patent license agreement dated May 28, 1993, which term 'Genosensor System' is defined in a Collaboration Agreement among Licensor,  Beclcman Instruments. Inc , Licensee and certain others, dated May 28, 1993 and amended November 5, 1993 to read: 'the system developed by the parties as generally described in the Award proposal for detecting hybridization of target DNA/RNA to known DNA/RNA. PNA or other nucleic acid analog probes. The system will be used only for high and/or low resolution sequence determination and will consist of a microfabricated semiconductor device ('Genosensor Chip' or 'Chip') designed to be used with an array of probes attached to a solid support, means for exposing the array of probes to target DNA/RNA {the sample). means for detecting whether or not (and where) hybridization has occurred and means for reporting the results. The solid support can be the Genosensor Chip itself or a separable support.'
