License Grant

The Licensor  hereby grants to the Licensee non-exclusive licenses in the Territory under the Patents and the Proprietary Information, to make, have made, use and sell Licensed Products with respect to those Products. The foregoing non-exclusive license does not include the right to grant sublicenses.

License Property

The Licensor owns patent rights and is Licensed under patent rights of others with the right to subLicense, and possesses know-how and technical information relating to lubricious hydrophilic coatings, for application to medical devices, such as catheters and guidewires.

“Technology” means any process for applying a coating of hyaluronan to medical devices utilizing any adhesive layer consisting of acrylic copolymers.

Field of Use

“Field” means devices used in vascular access procedures.

The Licensee desires to obtain a License under such patent rights and to have access to know-how and technical information to enable them to apply such coatings to certain products for devices used in vascular access procedures.

License Grant

The Licensor granted to the Licensee a non-exclusive License under the Licensed Patents to the Coating in order for the Licensee to make, have made, import, offer for sale, sell and use Coated Products for medical use in the territory.  The Licensor also granted to the Licensee the right to use the Licensed Marks in connection with Coated Products.

License Property

Licensed Marks means the marks STS and Slip-Coat as used in connection with marketing, promotion, and labeling of Licensed Products and related services, including marks which are registered in any country and marks acquired by usage and common law rights.

Licensed Patents means United States Patent Nos. 5,001,009, 5,069,899, 5,331,027, their foreign counterparts, patent applications on which such patents are based, and any division, continuation, continuation-in-part, reissue or extension thereof.

Field of Use

The rights granted apply for medical use.

License Grant

The Company has agreements with certain of its suppliers of coatings for its micro catheter, access and delivery products.  There are various undisclosed Licensors.

License Grant

The Licensee is a development stage company and acquired a patent for a maneuverable-coiled guidewire to solve existing problems in stenting procedures and to advance the technology related to guidewire usage (Patent Number 7,141,024) from, a Director and stockholder of the Company.  The Licensee will pay royalties for the patent. We do not yet have a valide prototype, but intend to create one and then work to develop and manufacture the product and / or License the manufacturing and / or the related selling rights.

License Grant

Licensor hereby grants Licensee a revertible exclusive license (even to the exclusion of Licensor) to make, have made, use, sell, offer for sale and import Products in the Territory under certain Patent Rights limited to any new patents granted to Licensor for radiopaque polymer coatings and the Know-How required in Licensor's discretion, to practice these certain Patent Rights licensed hereunder. Licensor also grants a non-exclusive license to make, have made, use, sell, offer for sale and import Products in the Territory under certain Patent Rights for patents 4,642,267 and 4,769,013 limited to use on or with radiopaque coatings excluding any use for drug delivery and the Know-How required in Licensor's discretion, to practice these certain Patent Rights licensed hereunder. The rights licensed are collectively referred to as Licensed Patent Rights.

Field of Use

Products means Class 1 intravascular stents for arterial use in humans coated with a radiopaque polymer coating using the Patent Rights and  Class 2 peripheral stents for use in and around the human heart coated with a radiopaque polymer coating using the Patent Rights.

License Grant

Licensor hereby grants Licensee its Affiliates an exclusive, worldwide, sublicensable license in and to Licensor’s IP to (i) use, make, have made, sell, offer to sell, import, modify, distribute, perform and otherwise exploit the Exclusive Products and (ii) enforce such Licensor’s IP against other Persons and collect past, present and future damages from any other Person’s infringement or misappropriation of Licensor’s IP but all of the foregoing rights and licenses are limited to the Field.

License Property

“Non-Drug Coated” means devices not coated with a drug or a drug eluting polymer coating.  Exclusive Product/Services  Vascular stents including coronary, neuro or peripheral applications of coated or uncoated stents; Embolic protection devices, aneurysm coils and all other vascular implants (other than stents); RF ablation probes and ablation fluid.

Non-Exclusive Product/Services Biopsy needles, including aspiration, cutting needles and breast localization needles; Interventional guidewires (for use in all applications); Interventional vascular catheters (<6 hours), including PTCA, predilation, etc.; Indwelling vascular catheters (>6 hours), including CVC, PICC, etc.; Pacemakers, including leads; Implantable cardiac defibrillators and related devices, including their leads; Auditory implants, e.g. cochlear implants; Neuro stimulation including deep brain.

Field of Use

“Field” means systems, devices, components, compositions and processes for magnetic resonance imaging, including without limitation for providing or enhancing (a) safety, effectiveness, image quality and/or image compatibility or (b) the visualization of medical devices in vivo.
