The Company entered into a Royalty Agreement with the owners of the TieTek technology which obtains from the Royalty Holders, an officer and director of the Company, a license for the use by the Company of the technology developed by the Royalty Holders.

'Technology' shall mean (a) United States Patent Number 5,886,078 – Polymeric compositions and methods for making construction materials from them.
Field of Use
Our main product is a composite railroad crosstie made from recycled composite materials. The composite tie is a direct substitute for a wood crosstie, has a longer expected life and several environmental advantages. We are the leading provider of composite railroad crossties to the railroad industry. The TieTek crosstie has been successfully tested by a number of U.S. railroads and independent laboratories.

License Grant
University hereby grants to Licensee a royalty-bearing, exclusive license, in the Territory to make, have made, use, offer for sale, sell, modify, develop, import, export or otherwise exploit Licensed Products.  Also University grants to Licensee the right to grant sublicenses. The Licensee acquired an exclusive, royalty-bearing License in specific but broad global territories to make, have made, use, sell, offer for sale, modify, develop, import, export products made using patent applications owned by the Licensor.
License Property
We believe these technologies can transform recycled consumer and industrial plastics into structural products which are more durable and have a substantially greater useful life than traditional products made from wood, steel and concrete.  In addition, we believe our recycled composite products will result in substantial reduction in greenhouse gases and also offer flexible design features not available in standard wood, steel or concrete products.

License Property
'Applicable Hard Goods' means (a) railroad cross-ties, oil field mats, marine structures, and other products all having advanced structural properties derived from or growing out of any Technology used to produce railroad cross- ties, and (b) roofing materials. 'Applicable Hard Goods' does not include air conditioning pads.

'Equipment' shall mean that equipment (including prototypes) now or hereafter designed, engineered, acquired, created or employed for (a) the implementation or practice of the Technology, or (b) the manufacture, production or refinement of Products.

'Patents' means (a) United States Patent Number 4,191,522, 4,033,408, 4,168,799 and 4,110,420 together with any modifications, improvements, corrections or substitutions thereto or thereof, and (b) any new patent applications, newly issued patents, patents pending or patent amendments, in any way associated therewith.

'Porous Pipe' means those Products, other than Applicable Hard Goods, which (a) are extruded, and (b) have a constant cross section, and (c) have porous walls.
