License Grant
Individual hereby grants for the term of this Agreement, a perpetual worldwide exclusive license to use the Invention to make, use and sell Licensed Products within the Licensed Territory.
License Property
A device for electrical energy storage and chemical synthesis known as Electroconversion cell.  A proprietary technology for energy generation based on the use of sodium borohydride.
Field of Use
Agreement Field as used herein, shall mean the Invention and all applications of the chemistry which the Invention is capable of carrying out. More precisely the body of knowledge disclosed to Licensee and (i) in a patent application filed with the United States Patent Office by Fish and Richardson P.C. on December 28, 1995 and assigned the Serial number 08/579781, and (ii) in a patent application filed worldwide by Fish and Richardson P.C. on December 26, 1996 (collectively, the Patents).

It is understood that the Agreement Field does not include other Inventions that Amendola owns or otherwise controls that are not electrochemical in nature.

It is further understood that this Agreement incorporates and supercedes all other agreements signed by Amendola and any other third party with respect to the Invention, the Patents and the Agreement Field.

License Grant
The assignor entered into a license agreement Licennsee and received a perpetual exclusive license to exploit the sodium borohydride patent.

The assignor will contribute substantially all of the assets of its Battery Technology Group to the assignee.

License Property
The proprietary technology for energy generation based on the use of sodium borohydride.

Proprietary system generates energy in the form of hydrogen or electricity. Hydrogen is the most energy-rich element occurring in nature and is highly regarded as a source of clean, efficient fuel for the alternative energy markets. We have invented, patented and developed a proprietary chemical process that generates pure hydrogen or electricity from sodium borohydride. Sodium borohydride is a derivative of borax, a naturally occurring hydrated crystalline compound used to make glass, detergents, ceramics and agricultural fertilizers. Our Hydrogen on Demand(TM) system consists of a tank of aqueous sodium borohydride solution, which is passed over a catalyst chamber via a pump. Once in contact with the catalyst, the sodium borohydride reacts to form hydrogen gas, which can be used immediately or stored in the tank.

Field of Use
This assignment agreement relates to the energy industry.
