License Grant
In connection with the Company being granted worldwide non-exclusive manufacturing and marketing rights for certain of the Purifiner products, a royalty agreement was entered into with a term equal to the life of the related patents or any improvements thereto. Additionally, the Licensor will receive a royalty on sales of replacement oil filter elements for the use of the U.S. trademark.

Licensor was the manufacturer and supplier of the products under a Distribution and Manufacturing Agreement.  A provision of the agreement stated that should the Licensor/Supplier become unable to supply the products to Licensee/Distributor, Licensee would automatically be entitled to commence manufacturing under the right to manufacture granted to Licensee and to use, and sell the products  in territories assigned.  This provision carried along with it the initiation of royalties to be paid.  Licensor did default and the royalty kicked in according to a letter dated June 18, 1990.

The Puradyn has been used successfully to substantially extend oil-drain intervals and to extend the time between engine overhauls.

Licensor owns rights to a new gas turbine engine system including an ignition system and component parts (called Detonation Cycle Gas Turbine Engine or Detonation Engine) that uses cyclic detonations, provided by a process called 'electromagnetic isothermal combustion' (EIC), for complete combustion of any fuel. The Detonation Engine may be designed and manufactured in many sizes and configurations that enable it to produce the desired horsepower and meet the design, weight and other special requirements for various discrete applications. Alpha Engines is in the business of licensing use of its technology for the Detonation Engine for many different applications.

The Company consented to the assignment of their sublicensing Agreement with Well to Wire Energy, Inc. dated September 29, 1999 to the Canadian Licensee.

This subLicense Agreement exclusively Licenses within Canada, the use of the Coates Spherical Rotary Valve (CSRV) system technology for industrial engines to be fueled by natural gas to generate electrical power for the oil and gas industry.

Additional provisions of the Canadian SubLicense Agreement are as follows

SubLicensee shall have the exclusive right to use, lease and sell electric power generators designed with the CSRV system technology within Canada.

SubLicensee will have a specified right of first refusal to market the electric power generators worldwide.

Upon commencement of the production and distribution of the electric power generators, the minimum annual number of generators to be purchased by SubLicensee in order to maintain exclusivity is 120.  

Until otherwise agreed between the parties, the price per generator shall be $159,000.  We have agreed to pass along to the Licensee savings we expect to realize from economies of scale inherent in high volume production of the CSRV units.

Field of Use
All Licensed rights under this subLicense Agreement related to the CSRV system technology will remain with the Company.  

Coates Spherical Rotary Valve system technology which is adaptable for use in piston-driven internal combustion engines of many types.

The CSRV system technology is designed to replace the intake and exhaust conventional “poppet valves” currently used in almost all piston-driven stationary, automotive, motorcycle and marine engines. Unlike conventional valves which protrude into the engine cylinder, the CSRV system technology utilizes spherical valves that rotate in a cavity formed between a two-piece cylinder head. The CSRV system technology utilizes only a small fraction of the moving parts in a conventional poppet valve assembly. As a result of the design improvements, management believes that CSRV Engines will last significantly longer and will require less lubrication over the life of the engine, as compared to conventional engines.

Turbopac essentially serves as an electronic supercharger. Turbopac can also be installed on turbocharger equipped engines. Unlike the Turbodyne System, Turbopac can be installed without the need for precision machining of a turbocharger. The Company believes that the most significant aspect of Turbopac is that it allows Turbodyne Systems to target much larger international markets because of its ability to be installed on non-turbocharged engines.
