License Grant

Grant of Rights Licensor hereby grants to the Corporation
     a. All right and title to the Invention, and to the present and future Patent Rights to the Invention.
     b. All rights to derivative or successive inventions, or adaptations to the current version of the invention, arising or continuing from the concept or the claims made in the patent application for the valving device and the associated attachments, whether or not said claims may be sustained by examination in the patent office of the United States, or in other jurisdictions;
     c. All rights to the commercial exploitation of the Invention, including exploitation by way of manufacturing, sales of units of the device, licensing, or otherwise;
     d. All other rights in any way connected with the device and arising from the work or thinking of Licensor, including but not necessarily limited to copyrights of printed material and design concepts; trademarks; (whether applied for or not); drawings; work in progress; literature; sales contacts; manufacturing contacts, and other material of a generally similar nature.

License Property

In addition know-how for the physical production of the invention, and the commercial exploitation thereof as a product was transferred.  The deal includes the acquisition of the title to the patent application and to all rights pertaining thereto, including the right to manufacture, sell, and improve the device.

An isolation valve for the resuscitation of patients which has an upper housing and a lower housing that snap together, rotate with respect to one another, and utilize a flexible diaphragm which extends into the small space between the upper housing and the lower housing to assure the establishment of an air-tight seal between the upper housing and the lower housing.  The upper housing begins with an upper tube that expands outward to create an upper chamber segment.  The lower housing has a lower chamber segment, the wall of which lower chamber segment establishing the snap-fit with the wall of the upper chamber segment.  The lower chamber segment is formed by the outward expansion of a lower tube.  Breath exhaled by a care provider proceeds along the upper tube to the upper chamber segment where it must pass through an upper filter segment, a lower filter segment, and a space between the two that provides a volume to retain any moisture which evades the filter segments. The exhaled breath from the care provider then passes through a check valve that precludes exhaled breath from the patient from traveling to the care provider and then into the lower tube. Breath exhaled by the patient is exhausted to the atmosphere through one or more apertures in the bottom of the lower chamber segment after having passed through an exhalation filter.

Field of Use

Technology transferred relates to an emergency cardio-pulmonary resuscitation assistance medical device, including the critical component, a certain configuration of valving called a rotary isolation valve.

License Grant

The Company entered into an agreement with an undisclosed Licensor to acquire the rights to certain intellectual property, which property includes title to the patent on a component of an emergency CPR assistance device, called a dual filtered rotary isolation valve. Rights pertaining thereto include the right to maintain, sell and improve the device, and to license those rights.

License Grant

For the Exclusive License, the Swiss Licensor grants an exclusive, even as to Licensor, worldwide license, with the right to sublicense, under all Licensor Intellectual Property, excluding intellectual property jointly developed by Licensor and a third party, and a nonexclusive sub-license under the Seiko License and Licensor Intellectual Property jointly developed by Licensor and a third party, to make, have made, use, sell, offer for sale, or import Licensor Pump System in the Field.

Simultaneously with the execution of this Agreement, the Parties shall enter into a parallel License, Joint Development and Manufacturing Assistance Agreement in connection ·with a micro-needle product of the Licensor.

License Property

The Intellectual property is all patents, copyrights, trade secrets, know-how and other intellectual property related to or useful to an externally-worn micro-pump utilizing MEMS technology owned by, developed by or licensed to Licensor.

Licensors Pump is an externally worn micro-pump system for the delivery of insulin incorporating a MEMS Chip and based upon Licensor Intellectual Property. In its initial configuration, Licensors Pump will comprise both a MEMS Pump and a Pump Controller according to the Specifications.

Licensors Pump System is a system incorporating Licensor Pump including Pump Accessories.

Field of Use

The Field is all uses of an externally worn micro-pumps relating to the administration of insulin which insulin may be administered through a single pump, alone or in combination with other medications, such as glucagon and insulin.

License Grant

Developer agrees to assign to Company the entire right, title, and interest in the BVM Bag Invention for the United States and its territorial possessions and for all countries foreign to the United States, including all rights to claim priority, in and to the BVM Bag Invention and all title and rights to all letters patent to be obtained for the BVM Bag Invention and, as to such letters patent all rights and title to any reissue; re-examination, or extension thereof and any related statutorily provided periods of market exclusivity.

Moreover, whenever a patent application is filed concerning the BVM Bag Invention, Developer agrees to execute a new assignment document which will identify such applications by serial number.

License Property

Developer has developed a new and useful Portable Emergency Safety Resuscitator. This device, itself, is designated the BVM Bag, and the BVM Bag plus technology developed from the BVM Bag are designated the BVM Bag Invention. The BVM Bag is the subject of the United States patent no. 6.062.217.

License Grant

The Licensor hereby grants to the Licensee an exclusive license to produce, use and sell the products covered by this License Agreement, and all patents and know how pertaining thereto, throughout the entire North American region.

License Property

All right and title in and to an anti-snoring device covered by United States Patent No. 5,003,994 issued April 2, 1991 and the invention claimed and disclosed therein and referred to in such patent as Oral Appliance For Improving Breathing And Methods Of Using And Making Same, and which is currently marketed as the Cook Anti-Snoring Device, and also Licensor owns all right, title and interest in and to the trade name for such device, all know how, technical information and drawings, associated goodwill, marketing and trade business information, contract rights and all other rights, properties and privileges associated with such device.

Field of Use

The rights granted apply to humans.

License Grant

The Inventor, an individual, hereby sells, transfers, assigns, conveys, sets over, grants and delivers to Buyer, the Existing Technology and all of the Inventors worldwide rights, title and interest in and to the Existing Technology for whatever purpose or purposes Buyer shall, in its sole discretion, determine, including, without limitation, the exclusive right to make, use, or sell products utilizing the Existing Technology, and also including any and all prototypes, components, patents, patent infringement claims, trademarks and trade-names relating to the Existing Technology, all to the end that Buyer, by virtue of such purchase, shall be the sole owner of the Existing Technology.

License Property

Inventor has designed, invented and produced an experimental model of a nitinol blood clot filter.

'Patent' means that U.S. patent #4,425,908—— nitinol blood clot filter (the 'Filter').

Field of Use

The agreement is for the medical industry.

License Grant

Licensor of Germany grants to Licensee of Israel an exclusive, perpetual, license in the Field, subject only to AKITA rights, non-exclusive with respect to AKITA rights, including the right to sublicense, to use the Device and utilize the Device Related IP and the Device Data
— in and for the development of Drug Products; and/or
— in pre-clinical and clinical trials of Drug Products; and/or
— in and for the registration, marketing, distribution and sale of Drug Products; and,

to advertise, market, distribute and sell the Device and any replacement parts thereof, worldwide, for use together with the Drug Product, including, without limitation, in pre-registration sale of Products for use by individual patients on a compassionate use basis.

Licensor grants an exclusive sublicense under TTPs IP Rights to exploit the Device in the Field in the Territory; provided that Licensee shall not make or have made the Device or any portion thereof.

License Property

This collaboration is for the development of an aerosolized form of Licensees injectible API drug product for administration through inhalation (the Drug Product), using the Device that is based on the eFlow®.

The Device shall mean the inhalation device proprietary to Licensor that
—  is based on the Present Device and perforated vibrating membrane technology and that shall include the eKeyTM System and other modifications and Improvements as may be necessary in order to meet the Specifications, to the extent accepted by Competent Regulatory Authorities; and
—  is customized for use with the Drug Product; and,
—  complies with the Specifications, including any Improvements.

The Device Related IP is any and all intellectual property rights, including, without limitations, the Licensor Patents, Know-How, technology, trade secrets and Improvements on the foregoing, covering and/or related to the Device.

The eFlow shall mean the nebulizer proprietary to Licensor that is based on perforated vibrating membrane technology and includes the mixing chamber and valve system associated with the device that is currently sold under the trade name EFLOW®.

The eKey System shall mean a method or system to discourage and/or prevent use of the Device with unauthorized medications, the initial specifications and performance features.

Licensees API is Alpha 1 Antitrypsin liquid drug produced through Licensee’s proprietary process from Fraction IV-1 or of any other source.

The Present Device shall mean the present model no. 78G1013 (configuration 30) of eFlow,

Collectively the AKITA Rights are the intellectual properly licensed by Licensor lo Activaero GmbH is limited to use with Activaeros AKITA 2 inhalation system, which system does not include the mixing chamber and the valve system associated with the Device, and which license
– only allows use of a very specific configuration of the nebulizer handset, incorporating TouchSpray Technology, licensed from TTP, in connection with the AKITA Controlled Breathing System,
– may be commercialized by either Activaero GmbH, in accordance with its agreement with Licensor, and,
– does not allow the use of the nebulizer handset without a controlled breathing system.

Field of Use

The strategic Collaboration Agreement to develop Licensee's Alpha-1 Antitrypsin (AAT) liquid drug candidate for inhalation through Licensor's eFlow for the treatment of patients suffering from Alpha-1 Antitrypsin deficiency.

The eFlow®rapid nebuliser system provides you with an efficient device for the treatment of respiratory diseases.  The eFlow Inline nebulizer system enables efficient aerosol delivery to mechanically ventilated patients in intensive medical care.

Alpha-1 antitrypsin deficiency (A1AD or AATD) is a genetic disorder that may result in lung disease or liver disease.

The Field of use is pulmonary delivery of the Drug Product for any indication whatsoever.

License Grant

Licensor grants to Licensee the exclusive worldwide right to make, use and sell the Property solely in association with the manufacture, sale, use, promotion or distribution of the Licensed Products.  This technology has resulted in a product called Pump N’ Pure which allows the user to draw filtered water from virtually any container or location.

License Property

The Company finalized a License Agreement for a product known as the 'Hand Held Pump Technology (pressurized technology to filter water), including all proprietary rights associated with this technology, including patent #6,136,188 and the trademark Aqua Gear(TM) (#75/838,293).
