License Grant
Licensor hereby grants to Licensee an exclusive world-wide license in the Licensed Territory under the Patent Rights,  Improvement Patents, Licensed Products, Confidential Data and Fawley Technology to

(i) manufacture, use, exploit and sell Licensed Products; and

License Property
The technology material/composite systems fall into the following main categories: 1) Composite Overlays for structural retrofits and 2) the Carbon Shell System (CSS) for new construction and infrastructure renewal. The Composite Overlay is a “structural skin” which may be continuous or segmented. The former is created by saturating fabric woven out of carbon, aramid (e.g., kevlar) or other aerospace-quality fiber with an epoxy-type resin. The latter takes the form of pre-manufactured FRP strips. The specific composition and application of these overlays is engineered by the Licensee to specific strength, stiffness, and ductility specifications based on the characteristics of the subject structure and use loads. The specified composite solution is then bonded (“wallpapered”) to a structural surface to provide significantly increased ductility and/or strength. The overlay technique has been found to be extremely effective for seismic retrofits, structural upgrades, structural repairs, and blast hardening. Typically only a few layers of a 1mm overlay are needed for such applications.

The CSS is a lightweight, high-strength plant-manufactured advanced carbon fiber-reinforced polymer (CFRP) shell (tube) of circular or non-circular cross-section. In new construction of buildings, bridges and other structures, the shell is typically filled with concrete; in this application it serves both as a stay-in-place form and reinforcement. As a result, this system substantially reduces the need for reinforcing steel and the use of heavy lifting equipment, which constitutes a significant part of system building costs. The CSS can be used for structural elements such as columns, beams and girders for buildings and bridges and for pilings for harbors and docks. In new construction of infrastructure systems, the CSS can be used for oil, gas, and water pipelines.

License Grant
Licensor hereby grants to Licensee a non-exclusive right and license, without the right to sublicense others except as provided herein, throughout the Licensed Territory under Licensor Technology and under Licensor Patent Rights, to make, use and sell Products in respect to Licensee's engines and engines sold under Licensee's trademarks and to practice processes in connection therewith.

The license granted shall include the sole and exclusive right to convert Licensee's engines and engines sold under Licensee's trademarks previously sold by Licensee to utilize aqueous fuel and the sole and exclusive right to manufacture, use and sell parts which can be used in the conversion of such engines and for the repair and replacement of parts thereof. The right in Licensee to convert shall include the right to sell parts or kits to accomplish such conversion and to allow Licensee's authorized dealerships to convert engines previously sold by Licensee, as aforesaid.

License Property
Products shall mean articles, including engines and converted engines, in the Field of the Agreement which are produced using and/or utilize Licensor Technology and/or are covered by Licensor Patent Rights.

Licensor has the right to license Licensor Technology and Licensor Patent Rights which relate to and/or use aqueous fuel defined as comprising a mixture of water and carbonaceous material for combustion in an internal combustion engine and the use thereof.  Licensee desires to obtain and Licensor is willing to grant a worldwide license under Licensor Patent Rights and Licensor Technology upon the terms and conditions.

Licensor Technology means all proprietary and confidential Technology, owned or licensable by Licensor, now and during the continuance of this Agreement.

Licensor Patent Rights means (a) patents and pending patent applications in the Field of this Agreement, including, without limitation, patents, applications and patents issuing on patent applications listed in this agreement; (b) future patents and patent applications owned or licensable by Licensor to the extent the claims thereof cover subject matter in the Field of the Agreement and (c) any national and foreign filings, continuations, continuations-in-part, divisions, reexamination certificates, reissues or extensions thereof.
