The Canadian Licensor hereby grants to Licensee an exclusive license to use the Technology, the Present Technology and Developed Technology anywhere in the world for the term of this Agreement for the purposes of conducting research and development.

The patented technology enables the Licensee to manufacture unique, stable and natural enzymes and specialty end products.  This technology solves a major environmental problem and provides unique, stable and natural enzyme products.  

The 3SF Technology embodies the Licensor's DuroZyme Process, a unique process with the following key features – Selective, aerobic, high temperature (50-90C) microbial culturing process applicable to any scale – Odour free – Continuous process wherein culture media overflows from the last fermentation vessel, connected in series, as raw material is added to the first – Rapid throughput of as little as 18 hours – Selectively carried out as, but not limited to, a 3-stage process any number of fermentation vessels can be connected in series – Input raw organic materials derive from specific sources to ensue a pure food supply for the microorganisms being cultured – Input of specific raw organic materials leads to selection of specific high temperature microorganisms – from the mixed number that are in or on the raw materials themselves – that favour the specific inputted organic materials as food sources – In utilizing the specific input raw organic materials as food, specific enzymes are produced – Enzyme products are stable to prevailing culturing conditions, and especially to high temperatures (50-90C) – Specific enzymes produced are recovered from the fermented end product first by separation of solids from liquid, then recovery of enzymes from the liquid fraction.

Licensed Product means Veretase or any Xylanase Product.

Veretase means the proprietary and patented form of alpha-amylase enzyme marketed under the trade name Veretase® alpha-amylase, having the amino acid sequence SEQ ID N02 of U.S. Patent Number 7,666,633, which is approved for use in the hydrolysis of edible starch to produce starch hydrolysis products, including glucose syrup, high fructose corn syrup (HFCS) and crystalline glucose (dextrose), and distilled ethanol for food and beverage use, and any codon-optimized variant of such enzyme that preserves the same protein sequence as such enzyme.

Xylanase Products means the proprietary and patented form of xylanase enzyme, having the amino acid sequence SEQ ID NO382 of U.S. Patent Number 8,043,839, and any codon-optimized variant of such enzyme that preserves the same protein sequence as such enzyme, and the proprietary and patented form of xylanase enzyme, having the amino acid sequence SEQ ro NO482 of U.S. Patent Number 8,043,839, and any codon-optimized variant of such enzyme that preserves the same protein sequence as such enzyme.

Field of Use
Licensees Field means all fields of use, excluding the Oil Seed Processing Field. For clarification, the Licensees Field includes the BP Field.

BP Field means the researching, development, manufacture and commercialization, including without limitation to make or have made, use or have used, practice or have practiced, improve or have improved, import or have imported, export or have exported, market or have marketed, distribute or have distributed, license, sell, offer for sale or have sold of lignocellulosic ethanol and other lignocellulosic biofuels and lignocellulosic, lignocellulosic butanol and lignocellulosic diesel biofuels, including without limitation conversion of cell wall sugars and/or cell wall sugar compounds into biofuels or bioproducts, and for the avoidance of doubt excludes starch to ethanol, starch to other biofuels and starch to bioproducts.

The parties have developed certain complementary (and, in some cases, blocking) technology for the production, refining, and blending of arachidonic acid for use in infant formula to meet the nutritional needs of infants and as a potential nutritional supplement and/or food ingredient for young children, pregnant and lactating women, and adults generally. Licensor owns technology related to the manufacture and use of arachidonic acid and has certain issued patents and patents pending throughout the world, claiming certain processes for the manufacture of arachidonic acid, certain compounds and certain uses; and Licensee owns technology related to the manufacture of arachidonic acid and has certain issued patents and pending patent applications throughout the world, claiming certain processes for the manufacture of arachidonic acid, certain formulations for that product, certain compounds and certain applications. Licensor has also obtained certain governmental regulatory approvals for the use of arachidonic acid in infant formula.

Licensee shall use Licensors brand names and the Licensor trade name, solely on Licensors behalf and for Licensors benefit, on all shipments of ARA Products by Licensee to Licensor or any Licensor customer, pursuant to delivery or order instructions by Licensor to Licensee, and Licensee shall not attach any additional brand names, trademarks, trade names, logos or designations to any such shipment.

Licensors Proprietary Technology shall mean, collectively, all Licensor Patents and all Know-how necessary for or useful to the manufacture, processing or use of ARA Products that are, owned by Licensor or any Licensor Affiliate, and disclosed or required to be disclosed hereunder to Licensee including without limitation technology for the Extraction and RBD processing steps.

Process designates the processes for the bioconversion of lactose and other fermentescibles sugars used uniquely for the production of a biomass of yeast of the type Kluyveromyces Maxiamus without the generality of the foregoing, the Process includes the use of a bioreactor using immortalized cells of Kluyveromyces Maxiamus, fuelled in continued Process with the appropriate by Products, thus producing a biomass of yeast of the Kluyveromyces Maxiamus types with a good nutritional value.

Products designates any plant, series of Processes or industrial mapplications using the Process with the Patents, totally or partially using the yeast or biomass produced.

The process provides for the bioconversion of lactose and other sugar into high proteins biomass, literally transforming waste and by-products into water and yeast to be used in animal feed.  The process relies on the capacity of yeast to absorb and digest components of polluting elements dissolved in liquids.  Main elements researched are carbon and nitrogen under a special form which allow yeast to reproduce.  Multiple agricultural food rejects contain either nitrogen or carbon or even both.  These food by-products have no value and create problems for disposal. Yeast produced from the waste materials can be sold based on grade and composition at various pricing. This value is variable and can be ranged, for example, from animal food to pharmaceutical applications.  A very high amount of yeast organisms (Billions by square Meters) are placed in the bioreactor of the ProLactis process. They are called Mother cells. The bioreactor is fed continuously (24h/day, 7 days a week) from the top with the liquid to be treated which has been mixed with nutritive complements. This mixture provides the yeast a balanced nutrition necessary for an optimal production. The daughter cells resulting from the growth and subdivision of the mother cells placed in the bioreactor free themselves and are transported by the flowing liquid. As a result, the liquid exiting from the bioreactor is less pollutant and contains a great number of new yeast cells.
