Bearings means the various models of basal laminated isolated seismic rubber bearings. The Bearings are a patented energy dissipation system that is used at the base, or near the base, of a structure or, to a lesser extent, in the interior of a structure to avoid completely, or to reduce substantially, the harmful effects of ground movement caused by earthquakes, and the energy waves produced by earthquakes, on the structure, attachments to the structure such as flooring, walls, facing and windows and the contents of structures.  Bearings may be installed in buildings, bridges, water and electrical and water transport systems, trains, subways and other structures.

When integrated with windows, skylights, light tubes, doors, interior partitions and other products, SPD-Smart film gives users the ability to rapidly, precisely and uniformly control the amount of light, glare and heat passing through glass or plastic.

'Licensed Product' means a Light Valve Architectural Window Product incorporating a Light Valve. The term 'Licensed Product' shall not include Light Valves used or intended for use in any product other than as specifically defined herein, such as but not limited to, other window products not specifically defined herein, such as windows for transportation vehicles, including, but not limited to passenger cars, recreational vehicles, trucks, mobile cranes, trains, monorails. aircraft, boats, vans, sport utility vehicles, space craft and space-stations, and non-window products such as but not limited to displays, eyewear, sunvisors, toys, mirrors or filters for scientific instruments, lamps or contrast enhancement of displays. The term 'display' means any device for displaying letters, numbers, images or other indicia or patterns. Nothing contained herein shall permit LICENSEE to sell, lease, or otherwise dispose of a Light Valve which is not incorporated or intended to be incorporated as described above into a Light Valve Architectural Window Product.

'Light Valve' means a variable light transmission device comprising a cell including cell walls, containing or adapted to contain an activatable material, described hereinafter, such that a change in the optical characteristics of the activatable material affects the characteristics of light absorbed by, transmitted through and/or reflected from the cell; means incorporated in or on the cell, or separate therefrom for applying an electric or magnetic field to the activatable material within the cell; and coatings (including, but not limited to, electrodes), spacers, seals, electrical and/or electronic components, and other elements incorporated in or on or combined with the cell. The activatable material, which the cell contains or is adapted to contain, includes in it solid suspended particles, which when subjected to a suitable electric or magnetic field, orient to produce a change in the optical characteristics of the device, and may be in the form of a liquid suspension, gel, film or other material.

'Light Valve Architectural Window Product' means a Light Valve used or intended for use solely as a window integrally incorporated in, or attached as a fixture to the external structure or internal structure of any building, whether permanent or temporary, and whether above or below ground.

License Grant
We have entered into certain transactions with affiliates with respect to a license of the EPS System.  By utilizing revolutionary patented technology, the Company will seek to become the preferred and specified source for waterproofing all concrete, masonry and brick structures (the Structures) in the commercial market (the Market).
License Property
The revolutionary technology – the Electro Pulse Shield System (the EPS System) – is the only waterproofing system available for Structures that provides a permanent total solution by preventing water intruding into and protecting the structural integrity of Structures, and drying out and reducing the relative humidity within Structures.

The technology material/composite systems fall into the following main categories 1) Composite Overlays for structural retrofits and 2) the Carbon Shell System (CSS) for new construction and infrastructure renewal. The Composite Overlay is a “structural skin” which may be continuous or segmented. The former is created by saturating fabric woven out of carbon, aramid (e.g., kevlar) or other aerospace-quality fiber with an epoxy-type resin. The latter takes the form of pre-manufactured FRP strips. The specific composition and application of these overlays is engineered by the Licensee to specific strength, stiffness, and ductility specifications based on the characteristics of the subject structure and use loads. The specified composite solution is then bonded (“wallpapered”) to a structural surface to provide significantly increased ductility and/or strength. The overlay technique has been found to be extremely effective for seismic retrofits, structural upgrades, structural repairs, and blast hardening. Typically only a few layers of a 1mm overlay are needed for such applications.

The CSS is a lightweight, high-strength plant-manufactured advanced carbon fiber-reinforced polymer (CFRP) shell (tube) of circular or non-circular cross-section. In new construction of buildings, bridges and other structures, the shell is typically filled with concrete; in this application it serves both as a stay-in-place form and reinforcement. As a result, this system substantially reduces the need for reinforcing steel and the use of heavy lifting equipment, which constitutes a significant part of system building costs. The CSS can be used for structural elements such as columns, beams and girders for buildings and bridges and for pilings for harbors and docks. In new construction of infrastructure systems, the CSS can be used for oil, gas, and water pipelines.
