License Grant
The parties entered into an exclusive license agreement for anti-corrosion technology products and services as they may relate to corrosion prevention and maintenance of sump pumps at gasoline and diesel dispensing locations, including, but not limited to gas stations, convenience stores, trucking companies, bus companies, and any other locations where gasoline and/or diesel is dispensed.

The anti-corrosion technology Corrosion Pro is a single layer non-flammable, hydrophobic compound that can be easily sprayed inside of STP sump pumps, and significantly decreases the need to either maintain or replace fuel storage tank sump pumps that dispense gasoline, particularly gasoline containing ethanol. Simply painting or scraping the pumps to remove/cover rust is not enough to prevent future corrosion. The Corrosion Pro anti-corrosion application for STP sump pumps is a simple four-step process that includes brushing to remove rust, converting the remaining rust, applying the Corrosion Pro compound, and installing a vapor emitter.

Being underground, STP sump pumps nationwide are constantly subjected to heat and humidity related condensation. Metal corrosion in STP sump pumps results from the interaction of gasoline-ethanol blends with water and the existence of Acetobacter aceti — a strain of bacteria that is able to convert ethanol to acetic acid, a highly corrosive agent. This acid corrodes sump pump metals resulting in equipment failure and leaks, equipment downtime, and/or compliance violations.

License Grant
Licensor grants to the English Company which it has 50% ownership interest, an exclusive, non-transferable right and license under Licensor’s Intellectual Property Rights to make, have made, use, sell or otherwise dispose of the Product incorporating the Materials and Masterbatch under the Trademark within the Territory.  

The Licensee hereby grants to Licensor an exclusive, non-transferable, worldwide right and License under any intellectual property rights, trade secrets and know-how owned, controlled, acquired or which may otherwise be transferred or granted by the Company during the term of this Agreement to make, have made, use, sell or otherwise dispose of products incorporating any or all improvements to Licensor Intellectual Property Rights and to subLicense third parties to do the same.

License Property
Masterbatch means any formulation of the Materials which shall be designated by Licensor as appropriate to be applied to the specific requirements for corrosion protection, as afforded by the Product, of a known customer desirous of protecting an identified object which are to be subjected to an anticipated certain range of corrosive influences.

The Licensor Intellectual Property Rights means the Know-how, Materials, Process, Licensor Trade Secrets, Product, Masterbatch and Trademark, collectively, as such currently exist and shall hereinafter be modified, developed and/or acquired by Licensor.

The Licensor Trade Secrets means all information deemed and designated confidential, in this Agreement and/or in the Ancillary Agreements and hereafter, including but not limited to information regarding the Product, Know-how, Process, Materials, Masterbatch, technology, customers, research, techniques, processes, applications, formulae, cost data, customer lists, suppliers, competition, marketing strategy, supply relationships, costs and cost accounting, memoranda, diagrams, pictures, computer software and programs and records contained therein, sales information, financial information, costs, pricing data and profits, relating to the business of Licensor, the Licensee and Licensor Affiliates both in the territory and elsewhere.

Trademark means the names and styles Zerust, The Zerust People and the colour yellow in relation thereto which includes trade literature, technical specifications and application instructions, and promotional material.
