License Grant
A  former contract employee, is the holder of the patents License to the Company.  Inventor hereby grants to Licensee, and Licensee hereby accepts from Inventor, an exclusive license to make, use, sell, copy, distribute, lease, modify, improve and in any and every way commercialize the Invention (the 'License').
License Property
Inventor has invented, conceived, developed and reduced to practice a certain invention relating to the use of polymers as a soil additive. The polymers improve moisture retention of the soil and reduce fertilizer consumption of agricultural crops. This invention is referred to in this Agreement as the 'Invention.'  The Invention also includes any and all improvements, enhancements and variations of the Invention heretofore or hereafter made or acquired by Inventor.  The Invention has been patented by Inventor. The patents (referred to herein as the 'Licensed Patents') covering the Invention are United States Patent Nos. 5,649,495 and 5,868,087.
Field of Use
The Company is primarily engaged in the marketing of polymer and other soil amendments to the agricultural turf and horticulture industries. The Company's products are used to decrease water usage, increase nutrient retention in soil, enhance seed germination and sprout emergence, clarify ponds and increase the effectiveness of chemical fertilizers and biological additives.

License Grant
The Company has obtained exclusive rights to several microbes.
License Property
The Licensor has developed and patented a device that automatically cultures microorganisms in an enclosed tank and then regularly injects these organisms and their byproducts, along with other compatible products, into an irrigation line for distribution into the area being irrigated; thereof may collectively be referred to as 'BioJect' or the 'BioJect System'.

The Company has developed its patented BioJect system for the distribution of naturally occurring microbes that complement or reduce the need for many chemical fungicides, herbicides, insecticides and fertilizers (chemical products) currently used in golf and agricultural markets.  By utilizing microbes that occur naturally in the environment, the BioJect system overcomes many of the problems associated with traditional chemical products.  Traditional chemical products require repeated applications, which reduce the long-term effectiveness of such products and have been shown to have adverse environmental effects.  The BioJect system reduces the need for repeated chemical product applications, resulting in lower overall product and labor costs and increases the effectiveness of traditional chemical products. In addition, the Company believes that the use of microbes distributed through the BioJect system provides environmental benefits as compared to chemical product applications by limiting the exposure of humans to chemical products, reducing residual pesticide contaminants in plants and soil, and minimizing groundwater pollution.

Field of Use
The companies agree that Licensee’s developmental efforts for the Licensor will be targeted specifically to commercializing and adapting microorganisms so that they can be effectively introduced to the soil and to turf and crops through the BioJect System.

License Grant
Licensor of Taiwan who developed the technology, hereby grants and Licensee of Hong Kong hereby accepts a worldwide exclusive License with respect to all Intellectual Property Rights in and to the Patentable Technology.

Licensee of Hong Kong wishes to acquire the exclusive right and License to manufacture, sell and use apparatus embodying, employing and containing the Patentable Technology and for commercialization of this technology globally.

License Property
Taiwan Fast Plant Propagation Technology has developed copyrightable and patentable technologically improved aeroponic equipment to facilitate aeroponic spraying and misting. Aeroponics has contributed to advances in root morphology, nutrient uptake, drought and flood stress. This high performance of Aeroponics Systems together with formulated organic fertilizer from Taiwan Fast Plant Propagation Technology will rapidly grow plants and crops ecologically by using less water, nutrients, energy and labor while significantly shortening the cultivating cycle.

Aeroponics is the process of growing plants in an air or mist environment without the use of soil or an aggregate medium (known as geoponics. The word 'aeroponic' is derived from the Greek meanings of 'aero' (air) and 'ponos' (labour). Aeroponic culture differs from both conventional hydroponics and in-vitro (plant tissue culture) growing. Unlike hydroponics, which uses water as growing medium and essential minerals to sustain plant growth, aeroponics is conducted without a growing medium. Because water is used in aeroponics to transmit nutrients, it is sometimes considered a type of hydroponics.

The basic principle of aeroponic growing is to grow plants suspended in a closed or semi-closed environment by spraying the plant's dangling roots and lower stem with an atomized, nutrient-rich water solution. The leaves and crown, often called the 'canopy', extend above.

License Grant
The Corporation entered into a licensing agreement with an undisclosed shareholder for the use of patent rights.  Utilizing its proprietary technology, the Company develops and markets new agricultural products that significantly increase the effectiveness of fertilizers and is developing a similar class of products designed to enhance the efficiency of pesticides.  In each case, TPA is not absorbed by the plant.
License Property
The Company also develops products that management believes provide environmentally superior alternatives to certain existing specialty chemicals used in many consumer and industrial applications.

IPSCIO Record ID: 5797

License Grant
The Company was granted the Exclusive worldwide marketing rights for any product developed for development of a nutrient delivery system using proprietary aeroponic technology which could be used in a low cost consumer product.  Subsequently, the Company developed a fractionator bar technology, applied for two patents, and was granted one patent.
License Property
The fractionator bar technology uses a spinning cylinder to disperse water to the roots of plants in an aeroponic growing system. The patent applications include aeroponic technological advances described below as well as product, nutrient and seed pod inventions designed to enhance plant growth. Aeroponic technology is derived from hydroponics and occurs when plant roots are suspended in an air chamber and bathed at regular intervals with nutrient solution.
Field of Use
The Company believes that the aeroponic technology used in its kitchen garden systems is a technological advance over hydroponics because plant roots are suspended in a near 100% humidity enclosed air chamber and bathed in a nutrient-rich solution. We believe aeroponic methods ensure the plants not only have sufficient water, nutrients and oxygen, but the temperature inside the root chamber can be easily controlled, ensuring temperature stress of the plant does not limit growth. For this reason, we believe the use of a well designed and maintained aeroponic system can yield increases in growth rate and plant survival when compared to hydroponics systems.
