License Grant
For the Software License Grant, Licensor grants Licensee of Cayman Island a perpetual, nonexclusive, and nontransferable license to use and reproduce the Licensor Software as may be reasonably necessary for Licensee to incorporate such Licensor Software into one or more Licensed Products that Licensee, in its sole and complete discretion but subject to the terms and conditions hereof, deems appropriate. Licensor has developed and patented technology that is designed to address certain limitations in applying traditional approaches to RF transmission, reception, and power amplification.

Chipset means a chip or a group of chips designed to work as a unit to perform a function. For example, a modem chipset contains all the primary circuits for modulating and demodulating a signal.

d2d Technology means Technology developed by Licensor that is designed  to address certain limitations in applying the currently widely used approaches to RF reception.

d2p Technology means Technology developed by Licensor that is designed to address certain limitations in applying the currently widely used approaches to RF transmission and power amplification.

Licensed Product means Tx Licensed Product, Rx Licensed Product and Tx/Rx Licensed Product.

Rx Licensed Product means a Chipset that incorporates or is based on any or all of the Licensed Technology, but does not include d2p Technology, and does include at least the functions of RF signal down conversion; final filtering of the baseband signals, such as for example matched filtering; conversion of the receive signal to digital information, and; the baseband modem functions of

– physical channel decoding (the lowest level of error correction decoding dictated by the standards, such as for example convolutional decoding or turbo decoding).

Tx Licensed Product means a Chipset that incorporates or is based on any or all of the Licensed Technology, but does not include d2d Technology, and does include at least the functions of RF signal up conversion and power amplification, the analog DAC functions to control the d2p modulator, and the baseband modem functions of spreading code generation (if applicable to the standard); physical layer modulation (i.e., the application of the lowest-level information-bearing symbols according to a modulation scheme as dictated by the standard); physical channel encoding (the lowest level of error correction coding dictated by the standard, such as for example convolutional encoding or turbo encoding); and Tx filter shaping (i.e, baseband pulse shaping according to the standard, such as for example the 48-tap FIR specified in IS-95).

Tx/Rx Licensed Product means a Chipset that incorporates or is based on any or all of the Licensed Technology and contains both d2p Technology and d2d Technology, and includes all of the functional elements named in the definitions of both Rx Licensed Products and Tx Licensed Products.

Licensor Software means any software included within the definition of Licensed Technology or developed on behalf of Licensee pursuant to any SOW, including without limitation the Licensor RF Communications Technology software engine and any software included within the Development Tools.

Vector Synthesis Engine means the portion of the Licensor Software consisting of logic implemented in digital gates that transform baseband UQ data vectors into proprietary control and baseband signals for the purpose of operating the d2p RF IC such that the RF IC creates at the RF output amplitude and phase modulated RF waveforms.

Field of Use
Licensee Exclusive Field of Use means radio communications systems and devices that are specifically designed, developed and adapted to meet the specifications of the Preexisting Exclusivity Standards and Updates thereto for use in commercial portable communications devices. However, Licensee Exclusive Field of Use shall not include radio communications systems and devices that are specifically designed, developed and adapted to meet the specifications and standards specifications and standards unique to U.S. and foreign governments for military, police, civil defense, or other non-civilian uses. Licensee Exclusive Field of Use shall include the marketing, sale, lease and/or procurement of such Preexisting Exclusivity Standard radio communications systems and devices.

Licensee Non-Exclusive Field of Use means radio communications systems and devices that are specifically designed, developed and adapted for use in commercial portable communications devices, but specifically excludes radio communications systems and devices that are specifically designed, developed and adapted to meet the specifications and standards specifications and standards unique to U.S. and foreign governments for military, police, civil defense, or other non-civilian uses. Licensee Non-Exclusive Field of Use shall include the development, manufacturing, marketing, sale, lease and/or procurement of such radio communications systems and devices. For Sales by Licensee,  Licensor grants a nontransferable, nonsublicenseable, nonexclusive license, under Licensors Intellectual Property Rights in and to IC Design and IC Design File, to offer for sale, sell, and import Products, either on a standalone basis or bundled with other Licensor semiconductor products, solely in accordance with this Agreement.

Licensor will design the foregoing integrated circuits and develop certain hardware and software to help bring such integrated circuits into production, and will deliver and license a GDSII design file for the same to  Licensee of the Netherlands for Licensee to manufacture and sell such integrated circuits to customers of Licensee.

D. SIMULATION ENVIRONMENT All test benches/simulation suites used to stimulate the GECKO design in either behavioral or gate level verification. These test benches consist of Verilog or C-Model or other modules used for stimulation or verification of the design. These files can be found on pages 1-11 in the attached 'LIST OF FILES.'

E. MICROCODE The code I) required to exercise the design for the purpose of design verification; ii) required to enable the GECKO chip to perform any and all functions pursuant to its design. F.
