Licensee will construct and operate ten facilities for the growing and harvesting of algae for the production of oil and biomass which utilize and incorporate the Licensed Technology.
Fuel Products shall mean any and all products generated by the Licensed Technology that possess the characteristics of petroleum and petroleum bi-products created from the processing and refining of crude oil.
Licensed Products shall mean any oil, biomass, or other saleable item produced by Licensee, its Affiliates, any Sublicensee, or any unauthorized party related to Licensee, its Affiliates or Sublicensees using the Licensed Technology.
Meal Products shall mean any and all co-products created by the Licensed Technology that are remaining after the removal of the Fuel Products.
Software shall mean the computer programs required to operate the System. The System utilizes a custom suite of software, the Software.

“Fuel Products†shall mean any and all products generated by the Licensed Technology that possess the characteristics of petroleum and petroleum bi-products created from the processing and refining of crude oil.

The Licensor has developed the Licensed Technology into a proprietary production system for the growth and harvesting of micro-crops for the production of biomass and a protein concentrate, including a protein by-product.
The Licensee is desirous of collaborating with the Licensor to commercially utilize the Licensed Technology in Egypt and Morocco. The Licensee will seek to obtain SubLicensees to construct and operate facilities for the growth and harvesting of organisms for the production of oil and biomass which utilize and incorporate the Licensed Technology. Each Unit would utilize five thousand hectares, and would each be constructed in increments of five hundred hectares. Licensee shall have the right to subLicense to any Affiliates. Software shall be licensed in a separate agreement.

Licensed Product means (a) all forms of Crude Oil, Petroleum, or other hydrocarbon products extracted or produced from tar sands, oil sands, gilsonite and oil shale, and (b) all commercially salable sand or silica products that may be produced at or in an Oil Sands Plant by a device(s), process(es) or other means covered by a Valid Claim.
Crude Oil means A mixture of hydrocarbons that exists in liquid phase in natural underground reservoirs and remains liquid at atmospheric pressure after passing through surface separating facilities. Depending upon the characteristics of the crude stream, it may also include
1. Small amounts of hydrocarbons that exist in gaseous phase in natural underground reservoirs but are liquid at atmospheric pressure after being recovered from oil well (casing head) gas in lease separators and are subsequently comingled with the crude stream without being separately measured. Lease condensate recovered as a liquid from natural gas wells in lease or field separation facilities and later mixed into the crude stream is also included; 2. Small amounts of nonhydrocarbons produced with the oil, such as sulfur and various metals; 3. Drip gases, and liquid hydrocarbons produced from tar sands, oil sands, gilsonite, and oil shale.
Petroleum Products means oil or hydrocarbon products obtained from the processing of Crude Oil (including lease condensate), natural gas, and other hydrocarbon compounds and include unfinished oils, liquefied petroleum gases, pentanes plus, aviation gasoline, motor gasoline, naphtha-type jet fuel, kerosene-type jet fuel, kerosene, distillate fuel oil, residual fuel oil, petrochemical feedstocks, special naphthas, lubricants, waxes, petroleum coke, asphalt, road oil, still gas, and miscellaneous products.
Petroleum means a broadly defined class of liquid hydrocarbon mixtures, including crude oil, lease condensate, unfinished oils, refined products obtained from the processing of Crude Oil and natural gas plant liquids.
Crude oil is a naturally occurring, unrefined petroleum product composed of hydrocarbon deposits and other organic materials. A type of fossil fuel, crude oil can be refined to produce usable products such as gasoline, diesel, and various other forms of petrochemicals.
Hydrocarbon is an organic compound (such as acetylene or butane) containing only carbon and hydrogen and often occurring in petroleum, natural gas, coal, and bitumens.

We believe strongly that our Organosolv process technology can drastically alter the biomass processing industry by opening up new opportunities for lower value sources of biomass to generate previously unthought of revenue.â€
Technology uses organic solvents to separate the biomass into fractions in lieu of sodium-based solvents. These organic solvents can be recovered and reused without incineration, allowing for the recovery of nearly 100 percent of the biomass constituents. The cellulose, hemicellulose and lignin can all be recovered and converted into high-value materials whereas traditional methods only recover cellulose.
AST’s proprietary organosolv process produces high quality pulp demonstrating very similar properties to pulp produced by other traditional methods such as Kraft or sulfite. The AST organosolv process also produces pure lignin, as a byproduct, which has been successfully blended with other polymers to produce plastic parts and products, without compromising their mechanical properties.

Licensor grants to each Licensee
— the exclusive right to market the use of the Licensor Technology in connection with the construction and operation of Ethanol Projects;
— the exclusive right to market use of the Licensor Technology in connection with the construction and operation of Sugar Projects;
— the exclusive right to market Selected Non-Ethanol Technology to Qualified Companies (excepting the Excluded within the Territory; and
— the non-exclusive right to market the Licensor Technology within the Licensee Sales Market.
The patents include Ethanol production by recombinant hosts, and, Recombinant organisms capable of fermenting cellobiose, and, Ethanol production by Escherichia coli strains co-expressing Zymomonas PDC and ADH genes, and, Recombinant glucose uptake system.
Celunol’s patented and proprietary technology and process know-how enable the production of fuel-grade ethanol from low-cost, abundant cellulosic biomass materials, such as agricultural and forestry wastes, dedicated energy crops, and wood.

The membrane is used in for the upgrading of heavy crude oil into light crude oil. The Licensee has negotiated with the Licensor an exclusive License to market their membrane separation technology for the refining of heavy crude oil into light sweet crude oil. The potential markets for our technology include countries with significant oil producing or oil refining activities.

The Licensor Parties and their Affiliates grant to Licensee, and Licensee accepts, an exclusive, royalty-bearing, sublicensable license under and to use the Biofuel IP to research, develop, make, have made, use, import, export, offer to sell and sell Licensed Products in the Field and in the Territory (the Commercialization License).
Biofuel Patent Rights means (a) the Existing Biofuel Patent Rights, (b) any and all Patent Rights that claim Biofuel Know-How and that are Controlled by the Licensor Parties or their Affiliates as of the Effective Date and/or during the Term, including the Licensor Parties’ and their Affiliates’ interest in any Joint Patent, and (c) Licensor Improvement Patent Rights.

Licensed Products means any product in the Field that incorporates, contains, utilizes, is enabled by or otherwise exploits the Biofuel IP, or the making, using, selling or importing of which would, absent the Licenses granted hereunder, infringe the Biofuel IP.
Licensor Improvement Patent Rights means any and all Patent Rights that claim Technology created by or on behalf of a Licensor Party or its Affiliates in the course of performing research or development outside of the Field during the Term and which Technology (i) is an improvement to the Existing Technology or any Developed Technology, and (ii) is applicable to plants and plant products (including plant organisms, progeny, cells, seeds, grain, grain component, tissue, and other parts of plants, but excluding Excluded Products).
Technology means all ideas, inventions, discoveries, biologic and other materials, trade secrets, data, instructions, formulae, designs, specifications, methods, processes, formulations, assays, techniques, know-how, technical information (including structural and functional information), and manufacturing process information, patentable or otherwise.
Developed Technology means any and all Technology that is (a) created by or on behalf of the Licensor Parties or their Affiliates in the course of performing research or development in the Field during the Term, or (b) created pursuant to the Services provided by the Licensor Parties’ or their Affiliates’ employees pursuant to this Agreement (excluding Licensee Owned Service Improvements), in each case that is Controlled by a Licensor Party or its Affiliates during the Term.
Field means any and all (a) plants and plant products (including plant organisms, progeny, cells, seeds, grain, grain component, tissue, and other parts of plants) suitable for use in the production of biofuel and/or biofuel feedstock, including all species of algae and all species in the genus Miscanthus, but excluding the Excluded Products; (b) biodiesel, bioethanol and other biofuels derived from the plants and plant products described in clause (a) above; and (c) other products derived from the plants and plant products described in clause (a), other than pharmaceutical, nutraceutical and food products, provided that the foregoing exclusion of food products shall not apply to algae.
