License Grant

Seller shall sell, transfer, assign and convey exclusively to Buyer, and Buyer shall purchase from Seller, free and clear of all liens, claims and encumbrances, all of Seller’s right, title and interest in and to all of the Intellectual Property in consideration for the performance by Buyer of its obligations under this Agreement.

License Property

1. U.S. Patent No. 6,181,367 (issued 1/30/2001) – Video image viewing device and method
2. U.S. Patent No. 5,973,727 (issued 10/26/1999) – Video image viewing device and method
3. China patents derived from U.S. Patents No. 6,181,367 and/or No. 5,973,727, including any extensions (pending or issued) , divisionals, patents of addition of the United States or any other country or political subdivision thereof, all registrations and recordings thereof, and all patents to issue in such applications of the United States or any other country or political subdivision thereof, including, without limitation, registrations, recordings and applications in the United States Patent and Trademark Office or in any similar office or agency of the United States, any State thereof or any other country or political subdivision thereof, including, without limitation, improvements, divisions, renewals, reissues, extensions, continuations, and continuations-in-part or extensions thereof that are used or useable in any respect in connection with or that relate to Video Image Viewing Devices And Methods.
These patents cover an extremely compact head-mounted virtual reality display using total internal reflection, a switching means such as a liquid crystal layer, and a holographic optical element (HOE) or other beam-directing means (together, the Technology).

Products Head-mounted display products sold by or on behalf of Buyer, Buyer’s licensees or Buyer’s transferees that incorporate the Intellectual Property and that are sold by or on behalf of Buyer, its licensee and its transferees.

Intellectual Property means
(a) The Patents;
(b) Any and all other intellectual property rights belonging to Seller as of December 23, 2005 that are used or usable in any respect in connection with or that relate to Video Image Viewing Devices And Methods, said other intellectual property rights including specifically all of any of the following copyright rights, copyright applications, copyright registrations, copyright recordings and like protections in each work of authorship and derivative work thereof, whether registered or unregistered or published or unpublished and whether or not the same also constitutes a trade secret, held pursuant to the laws of the United States, any State thereof or of any other country or political subdivision thereof;
(c) Any and all income, royalties, damages, claims, and payments now and hereafter due and payable, including, without limitation, all claims for damages and payments by way of past, present and future infringement, misappropriation, or dilution of any of the rights included above, with the right, but not the obligation, to sue for and collect such damages for said use or infringement of the Patents or other intellectual property rights identified in a) and b) above;
(d) All licenses or other rights to use any of the intellectual property rights identified in a), b) and c) above, all license fees and royalties arising from such use to the extent permitted by such license or rights and not prohibited by applicable law;
(e) All amendments, continuations, renewals and extensions of any of the Intellectual Property described above; and
(f) All know-how, show-how, prototypes, drawings, designs, diagrams, computer programs and their sources, design assurance data and other tangible technical information used by Seller in connection with the Intellectual Property described above.

Field of Use

Field of use is for Video Image Viewing Devices and Methods that are used or usable for the viewing of video images, and devices that can be employed to view such images.

The products (known commercially as Video Eyewear, but also commonly referred to as virtual displays, wearable displays, personal viewers, head mounted displays (or HMDs), or near-to-eye displays (or NEDs)) are used to view high-resolution video and digital information primarily from mobile electronic devices (such as cell phones, portable media players, gaming systems and laptop computers) and from desktop computers.

License Grant

The amendment added the definition for Intellectual Property (1) all knowledge and information, in whatever form or medium that may or may not be generally known, that gives to one the ability to produce or market something that one otherwise would not have known how to produce or market with the same accuracy or precision, including without limitation, techniques, concepts, ideas, algorithms, processes, procedures, improvements, discoveries, inventions and invention disclosure (whether patentable, unpatentable or reduced to practice); business, engineering and other plans; formulae, designs, masks, data, databases, writings and works of authorship regardless whether such is protected; all information in any form relating to the design, manufacture, production, operation, maintenance and utilization of any product; computer programs, including object codes and source codes; standard work procedures; bills of material; vendor information; parts, jig, fixture, tool and component lists; equipment information; test procedures; and operations, maintenance, user and service manuals and catalog data; (2) original works of authorship in any tangible medium of expression; and (3) any and all intellectual property rights known or hereafter arising or recognized in any jurisdiction in the world (regardless of whether such rights are registered or unregistered) relating the foregoing, including without limitation (a) mask works rights (including, not limited to any rights arising under the United States Semiconductor Protection Act); (b) rights associated with works of authorship throughout the universe, including, but not limited to, copyrights and moral rights; (c) trademark, trade name or similar rights; (d) trade secret rights; (e) patent, invention, design, any other industrial rights; (f) all other intellectual property rights (of every kind and nature throughout the universe and however designated) whether arising by operation of law, contract, License, or otherwise; (g) all disclosures, applications, registrations, renewals, extensions, continuations, divisions, or reissues hereof now or hereafter in force (including any rights in any of the foregoing); and (h) the right to bring suit (under any of the foregoing rights) for monetary, injunctive or other relief against any past, present or future infringer.  Licensor hereby grants to Licensee a limited, non-transferable, non-exclusive license to use the Licensor's Intellectual Property to sell, offer to sell and import the PLPs (Private Label Products) under the terms of this Agreement. In addition, the Licensor hereby grants to Licensee a limited, non-transferable, non-exclusive license to make PLPs under the Restricted Patents under the terms of this Agreement.

License Property

Products shall mean all FLC (Ferroelectric Liquid Crystal) micro-display glass-on-silicon and glass-on-glass devices which are based on or incorporate or include Licensor Intellectual Property and all other products, if such products and devices are agreed to be incorporated into this Agreement by the parties, manufactured by or for Licensee for or on behalf of Licensor, from time to time. The Agreement shall not apply to any products or devices that are not manufactured by or for Licensee.

Field of Use

The Licensor designs, develops and markets microdisplays used today primarily as electronic viewfinders in digital still cameras and video camcorders. Microdisplays are an emerging display technology based on very small display panels that are magnified or projected through the use of optics. The microdisplays use the Licensor's proprietary ferroelectric liquid crystal on silicon, or FLCOS, technology, which offers an image quality in the viewfinder of digital still cameras and video camcorders that is superior to other available electronic viewfinders. The Licensor's viewfinders also have several advantages over standard optical viewfinders, including the ability to properly frame images on the viewfinder of a camera with high optical zoom. Additionally, the microdisplays incorporate proprietary controller and interface features that provide our customers with a highly integrated microdisplay solution that is small in size, low in cost, low in voltage and shortens their product design times. Many of the leading digital still camera and video camcorder brands, including Concord Camera, Hewlett-Packard, JVC, Kyocera, Minolta and Sony, use or have used the Licensor's microdisplays in their electronic viewfinders.

License Grant

Licensor grants an irrevocable, perpetual, exclusive license, including a limited right to sublicense, under Licensors Intellectual Property to make, use, offer for sale or sell products or services using the Licensed Technology, including but not limited to the right to Process, Host and Distribute Virtual Tours, only in the United States Residential Real Estate Market, hereinafter the U.S. License, subject to the limitations set forth in the Deposit Material License.

License Property

The Virtual Tour Technology includes Software, source code and related documents, object code, pseudo code, including technology, algorithms, and other processes, tools, and utilities relating to capturing, creating and viewing Virtual Tours, including but not limited to capturing, processing, editing, sequencing, viewing, interacting with, displaying, navigating, and correcting the perspective of Virtual Tours.

The Key is a digital code that enables an end-user to create a single image for a Virtual Tour.

Field of Use

This agreement is for a software and technology product for the real estate industry.

Residential Real Estate Market Residential Real Estate Market means (i) the marketing of new and/or existing Residential Real Estate that are for sale, lease or rent through display (electronic or otherwise) on the Internet or otherwise, (ii) the sale of products and/or services to residential real estate professionals such as agents, brokers and lenders for display (electronic or otherwise) on the Internet or otherwise, (iii) the display (electronic or otherwise) or offering for sale on the Internet or otherwise of any products and/or services relating to moving to or from any Residential Real Estate, (iv) the display (electronic or otherwise) or offering for sale on the Internet or otherwise of any products and/or services relating to renovation, home improvement, repair or maintenance of any Residential Real Estate, (v) the display (electronic or otherwise) or offering for sale on the Internet or otherwise of any products and/or services relating to financial matters relating to the ownership, lease or renting of any Residential Real Estate, including making or obtaining loans or other financing and tax matters, (vi) the display (electronic or otherwise) or offering for sale on the Internet or otherwise of any products and/or services relating to interior furnishing, decoration and design, including planning, room and floorplan design, style, furniture, fixtures and hiring of design professionals in respect of the Residential Real Estate or (vii) the display (electronic or otherwise) or offering for sale on the Internet or otherwise of any products and/or services relating to outdoor living, lawn and gardening, including growing basics and tips, plants, lawn and landscaping and hiring of related professionals in respect of Residential Real Estate.

License Grant

A Hong Kong Licensee entered into a License Agreement with the Hong Kong Licensor in respect to the sharing of income arising from the intellectual property rights in the video encoding and transmission worldwide. The agreement provides Licensee and its affiliates for the term an exclusive and royalty-bearing license under the patent rights owned by Licensor, to develop, make, have made, use, sell, offer to sell, lease, import, export or otherwise dispose of licensed product in 3D video encoding and transmission worldwide and with the right to grant sublicense pursuant to the terms of the agreement.

Field of Use

This agreement pertains to the media / entertainment industry relating to 3D autostereoscopic display technology for videos.

License Grant

Licensor wishes to grant the Licensee the worldwide exclusive right to sell, assign, and transfer all of its right, title and interest in any inventions related to the Patents to the Licensee;  including the exclusive right to sublicense.

License Property

This technology is remote, real time two-way audio with video communication, which incorporates a camera, built-in Web server and network interface.  The technology will manage areas of importance independently by providing programmable audio or by alerting designated users via an audio/video transmission to a smart phone or other compatible device.

Field of Use

Licensee wishes to engage in the business of developing as well as marketing products and services protected by the Patents.

License Grant

Seller shall sell, assign, transfer and convey to Buyer (or such Affiliates of Buyer as Buyer may direct), and Buyer (or such Affiliates of Buyer as Buyer may direct) shall purchase, acquire and accept from Seller, all of Seller’s right, title and interest to and in all of the Assets of Seller that are primarily used in or held for use in, or necessary for, the operation of the Business, of every kind and description, wherever located, real, personal or mixed, tangible or intangible, as the same shall exist at the Effective Time, free and clear of all Liens other than Permitted Liens (the Purchased Assets).

License Property

Business means the business of developing, commercializing, distributing, marketing, selling and servicing of medical devices used in the diagnosis or treatment of cancer in human beings, but does not include Seller’s businesses (i) of distributing, marketing, selling and servicing blood flow monitoring devices, (ii) of developing, commercializing, marketing, distributing and selling biologics or pharmaceuticals, or (iii) of developing and commercializing personalized cell processing technology; or (iv) that require the use of any asset described in Agreement.

Product or Products means instruments, devices and related accessories developed, manufactured, marketed or sold by (or on behalf of) the Business, including but not limited to the instruments, devices and accessories set forth

Purchased Assets include but not limited to tangible personal property, books, records, all Intellectual Property, Accounts Receivables, Inventory and Contracts.

Intellectual Property means (i) Patents, (ii) Trademarks, (iii) Trade Names, (iv) rights in trade dress and packaging, (v) shop rights, (vi) copyrights and copyright registrations and applications for registration, (vii) inventions and invention disclosures, (viii) trade secrets, (ix) domain name registrations, (x) utility models, (xi) rights in industrial designs, (xii) software, (xiii) Know-how, and (xiv) all other intellectual property rights, whether granted or registered or not, in each case wherever such rights exist throughout the world, and including the right to recover for any past infringement, misappropriation or other violations thereof.

Patents means all pending, abandoned, expired, completed, and issued U.S. and foreign patent applications and patents therefor (including all reissues, re-examinations, divisions, continuations, continuations-in-part and extensions thereof, foreign equivalence thereto, provisional and non-provisional applications, including Patent Cooperative Treaty (PCT) and regional patent applications), as well as all files and documents relating to any of the foregoing.

Trademarks means all pending, expired, abandoned, registered, unregistered, and common law U.S. and foreign trademark applications and trademarks, service mark applications and service marks, designs, logos, and trade dress, including the goodwill related to the foregoing, and all federal and state registrations thereof.
