License Grant
Licensor of Japan grants a non-exclusive, non-transferable, worldwide license to
— use, copy, modify, only to the extent reasonably necessary to incorporate the Licensed IP Core into Target Devices, the Licensed IP Core solely for the purposes of designing and developing Target Devices by exercising the Single Use License;
— manufacture the Target Devices designed and developed above;
— directly or indirectly through its resellers, distributors, and other intermediaries sell, distribute and otherwise dispose of the Target Devices manufactured above; and

License Property
Licensed IP Core means the IP core, consisting of such Deliverables specified. The modifications of the Licensed IP Core as delivered by Licensor to Licensee hereunder, if any, shall be considered as the Licensed IP Core.

Licensed Documentation means the documentation relevant to the Licensed IP Core, consisting of such Deliverables.

Licensed Technology means the Licensed IP Core and the Licensed Documentation, collectively.

Target Device means a single chip ISDB-T 1 Seg Tuner IC designed and developed by or for Licensee and manufactured by or for Licensee hereunder incorporating both the Licensed IP Core and the Licensee IP Core only.

Single Use License means the right to use the Licensed IP Core in initial and one time implementation for the design and development of a Target Device.

Reuse License means the right to use the Licensed IP Core, in a new or different Target Device from the initial and any subsequent Target Device.

Field of Use
License relates to demodulator technologies that are licensed specifically for the use in our products for cable set top boxes and mobile television handsets for the ISDB-T segment market.

License Grant
For the Grant for Licensed Technology, Licensor grants a worldwide, perpetual, irrevocable, non-exclusive license under Licensors Intellectual Property Rights in and to the Licensed Technology to reproduce, execute, display, perform, import, offer to sell, sell, distribute and have distributed, use, design, and manufacture and have manufactured Products and related Reference Designs using the Licensed Technology and modify the Licensed Technology solely to the extent reasonably necessary to incorporate Licensors DOCSIS/DVB-C QAM core into Products.

License Property
Licensor has expertise in developing, manufacturing, and marketing semiconductor products; and has  certain know-how and technology relating to Licensors DOCSIS/DVB-C QAM core.

Licensed Technology means the information, technology, creative expression, and know-how embodied in the certain items, which includes Tls DOCSIS/DVB-C QAM core.   The certain items include

Associated Technology means technical data, software programs, and hardware, if any, and provided to Licensee to assist Licensee in meeting its obligations or exercising its rights hereunder.

The Collective Technology (the Licensed Technology and the Associated Technology) licensed  includes software provided by Licensor to Licensee hereunder (the Licensed Software).

Products means tuners developed by Licensee containing Licensors DOCSIS/DVB-C QAM core.

Initial Product, called xx-241 SF, means the first Product made by Licensee, which must be compatible with Licensors Puma-5 technology.

Licensor-based System means a system that incorporates a Puma-5 device or any other Licensor DOCSIS MAC solution.

Field of Use

License Grant
United Kingdom Licensor and Hong Kong Licensee amend the terms and conditions for the ARM7TDMI-S annex (document number LEC-ANX-01223) (the Annex) to the technology license agreement document number LEC-TLA-00547 to include revision of the royalty rates.

Test Chips (xv) use, copy and modify; (a) the Test Chip Functional Test Vectors (solely for the purposes of and to the extent necessary to run the vectors on a simulator or tester; (b) the Test Chip Synthesisable RTL (solely for the purposes of scan insertion, buffer insertion, timing closure, targeting standard cell libraries, direct instantiations of cells for speed and power optimisation, and use of licensee specified BIST and (c) the Test Chip Synthesis Scripts, only for the purposes of designing, having designed (subject to the provisions of the TLA) Test Chips; (xvi) use and copy the Test Chip Documentation, only for the purposes of designing and having designed (subject to the provisions of the TLA) Test Chips; (xvii) manufacture and have manufactured (subject to the provisions of the TLA) the Test Chips created under the licenses granted in agreement.

Licensor hereby grants and the Licensee hereby accepts a non transferable and non-exclusive license to use the Model solely for the purpose of developing a product which incorporates a CPU manufactured under Licensor’s license from Licensor.

License Property
Licensor Compliant Product means an integrated circuit incorporating an Licensor Compliant Core.

Licensor Compliant Core means the ARM7TDM1-S microprocessor core.

ARM7TDM1-S core is a general-purpose 32-bit microprocessor.

Test Chip means for each Licensor Compliant Core a device which complies with the relevant Test Chip Documentation.

Field of Use

Licensee intend to incorporate Licensor's technologies into our proprietary display processing solutions to create a video solution for the mass television market by combining Licensor's decoding, deinterlacing and image algorithms with our technology.

Licensee designs, develops, manufactures and markets application specific integrated circuits primarily for the flat panel display market.
