Licensor grants to Licensee the exclusive right and license throughout the Territory to use and employ the Intellectual Property to manufacture, use, operate, offer to sell, and sell, directly or through sublicensees, the Licensed Products for the term hereof and subject to the provisions of this License Agreement. The rights and licenses granted shall specifically include the right of Licensee to grant sublicenses throughout the Territory. Any sublicense granted by Licensee shall be consistent with the terms of this License Agreement and shall grant to Licensor rights parallel to those contained herein including, but not limited to, the right to receive Royalties from Licensee and Sublicensees. Any sublicense granted that varies the terms of this License Agreement shall require the prior written approval of Licensor. Licensee shall provide Licensor with copies of all documents or contracts regarding any sublicense hereunder. â€œAlgae Biomass Technologyâ€ shall mean any technologies for the commercial production of a high yield algae based biomass for industrial, commercial and retail applications including but not limited to, bio-fuel, food, health, pharmaceutical, and agricultural feedstock.
The â€œLicensed Technologyâ€ shall mean a technology that involves the use of a series of thin membrane photo-bioreactors that are configured in a manner to facilitate rapid growth of various forms of micro-algae. Each photo-bioreactor is designed to allow the proper flow of nutrient rich food source and carbon dioxide (CO2) enhanced gases and water through the thin membrane photo-bioreactors. The gas is mixed in the reactor by the design elements that are employed. Further, the design of the photo-bioreactor allows the reactors to be closely stacked in a manner that allows sunlight to penetrate to all levels of the reactor. The overall design of the system allows the high yield, rapid production of various forms of algae biomass.
The algae biomass is then harvested and the target oil extracted. Depending on the species and strain of algae used, a yield of as much as 50% of the dry weight of the algae biomass is high quality recoverable oil. The oil is of a quality suitable as a feedstock for production of bio-diesel and bio-fuels.
The algae biomass, depending on the species and strain of algae, will produce biomass which can be used as raw material feedstock for other applications, including but not limited to, pharmaceutical, health, food, cosmetic and agricultural applications.

The MagneGas(TM) technology permits fuel production with a sufficient energy density to be used as a combustible fuel in a compressed form. The Company believes that MagneGas(TM) can be cost competitive to other liquid fuels when produced in large quantities.
The Company expects that revenues can also be generated from both the elimination and processing of liquid waste. It is intended that MagneGas(TM) be sold for any fuel application including metal cutting, automotive, electric generators, cooking and heating. MagneGas(TM) is produced by processing liquid wastes of fossil or biomass origin utilizing PlasmaArcFlow(TM) reactors. These reactors flow liquids through a submerged electric arc. The arc essentially decomposes the liquid molecules into a plasma at 7,000 to 10,000 degrees Farenheit ('F') composed of ionized hydrogen (H), oxygen (O) and carbon (C) atoms, plus solid precipitates. The technology then controls the recombination of H, O and C into clusters of molecules under new internal bonds.

Licensee will construct and operate ten facilities for the growing and harvesting of algae for the production of oil and biomass which utilize and incorporate the Licensed Technology.
Fuel Products shall mean any and all products generated by the Licensed Technology that possess the characteristics of petroleum and petroleum bi-products created from the processing and refining of crude oil.
Licensed Products shall mean any oil, biomass, or other saleable item produced by Licensee, its Affiliates, any Sublicensee, or any unauthorized party related to Licensee, its Affiliates or Sublicensees using the Licensed Technology.

(1) Market Reactor Skid Units that are (1) operated by Site Users for the sole purpose of producing and/or processing Vegetable Oils, including without limitation aiding in or facilitating the production of degummed vegetable oils, either as standalone units or in connection with the operation of Vegetable Oil Processing Facilities, or in connection with other processes involving or relating to Vegetable Oils, and (2) located within the Licensed Territory.
(2) Include or incorporate the System into Licenseeâ€™s process design packages for Vegetable Oil Processing Facilities for the purpose of integrating Reactor Skid Units into or part of Vegetable Oil Processing Facilities or any process or processing equipment comprising a part thereof; will be installed and operated within the Licensed Territory for the sole purpose of making or aiding in the production of oils (triglycerides), including without limitation the production of degummed vegetable oils, either as standalone Units or in connection with or as part of any vegetable oil refining facility or other oils processes.
(3) Assist Site Users in the inspection, installation, testing, startup, operation and maintenance of each Reactor Skid Unit under the terms of this Agreement and each Site User License.
Licensor shall provide to Licensee, at the rates and compensation (per man day) specified in this Agreement hereto, any consultation, technical assistance and support services that Licensee may reasonably request from time to time, whether by telephone, in written communications, or in person, in (a) installing, operating or troubleshooting for any Reactor Skid Unit, (b) testing, startup or maintenance of any Unit or any problems associated therewith, and (c) providing training to Licensee and/or any Site User (or any of their respective employees, contractors and representatives).
During the term of this Agreement, Licensee shall be entitled to use Licensorâ€™s name, marks and logos in materials prepared or used by Licensee to advertise, promote or market the System or any Reactor Skid Unit under and within the scope of the rights and license granted to Licensee under this Agreement. The Licensor designs and engineers environmentally friendly NANO technology based systems. These systems have potential commercial applications in markets such as vegetable oil refining, renewable fuels, water purification, alcoholic beverage enhancement, algae oil extraction, water-oil emulsions and crude oil yield enhancement.
The Green D+ Plus NANO Refining System uses a patented NANO Refining Technology that is designed to be used in the vegetable oil refining process to process crude or de-gummed vegetable oils such as soybean, rapeseed, and canola into high quality de-gummed oils at lower costs.

We believe strongly that our Organosolv process technology can drastically alter the biomass processing industry by opening up new opportunities for lower value sources of biomass to generate previously unthought of revenue.â€
Technology uses organic solvents to separate the biomass into fractions in lieu of sodium-based solvents. These organic solvents can be recovered and reused without incineration, allowing for the recovery of nearly 100 percent of the biomass constituents. The cellulose, hemicellulose and lignin can all be recovered and converted into high-value materials whereas traditional methods only recover cellulose.
ASTâ€™s proprietary organosolv process produces high quality pulp demonstrating very similar properties to pulp produced by other traditional methods such as Kraft or sulfite. The AST organosolv process also produces pure lignin, as a byproduct, which has been successfully blended with other polymers to produce plastic parts and products, without compromising their mechanical properties.

The Licensor has developed the Licensed Technology into a proprietary production system for the growth and harvesting of micro-crops for the production of biomass and a protein concentrate, including a protein by-product.
The Licensee is desirous of collaborating with the Licensor to commercially utilize the Licensed Technology in Egypt and Morocco. The Licensee will seek to obtain SubLicensees to construct and operate facilities for the growth and harvesting of organisms for the production of oil and biomass which utilize and incorporate the Licensed Technology. Each Unit would utilize five thousand hectares, and would each be constructed in increments of five hundred hectares. Licensee shall have the right to subLicense to any Affiliates. Software shall be licensed in a separate agreement.
