License Grant
Seller hereby agrees to sell, convey, transfer, assign, grant and deliver to Purchaser, and Purchaser hereby agrees to purchase, acquire and accept from Seller at the Closing (as hereinafter defined) all of Seller’s right, title and interest in and to the Intellectual Property, free and clear of all liabilities, obligations, pledges, security interests, liens, defenses, contractual commitments, claims, setoffs, equities or other encumbrances or charges (collectively, the Encumbrances) other than as expressly set forth herein.

4. Integrations – software implemented to allow interaction with systems and data from labs, partners and customers
5. Products – Application software and product meta-data to generate reports and user interactions for commercial use. Products exist in the Licensor Technology in various states for
a. Cannabis – genetic interpretation and dosing for individuals;
b. Genetic Analysis – interpretations, reporting and web-based interactions of more than a dozen additional areas of analysis for individual genetics; and

Intellectual Property with respect to the above shall include, without limitation (i) all information, intellectual property inventions, patent applications, patents, trademarks, works of authorship, designs, copyrights, copyright applications, copyright registrations, Trade Secrets and Confidential Information, know-how, show-how, substances, recipes, formulas, compositions, equipment, apparatuses, techniques, samples, prototypes, models, methods, practices, processes, processes, process parameters, research and development information, notes, books, writings or other documents, software, algorithms, flow charts, data flow diagrams, state transition diagrams, contact diagrams, technical plans and designs, data, blueprints, technical information, ideas, specifications, strategies, drawings, computer programs, client or third party information, methods of manufacture, distribution, marketing, strategy and sale, and general business operations, including customer lists, pricing data, financial statements, and business plans including, but not limited to, improvements, changes, and modifications to the foregoing, relating to the Intellectual Property, which is not generally known or readily ascertainable and/or not already known to Purchaser, and which is provided to Purchaser by Seller; (ii) any right to use or exploit any of the foregoing, and (iii) any other proprietary right, whether arising under the laws of the United States or any other country.

Trade Secret shall mean Seller’s formula, pattern, compilation, device, method, technique, or process, tangible or intangible, in connection with the Intellectual Property, wherein Seller derives independent economic value, actual or potential from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use, and is the subject of efforts that are reasonable under the circumstances to maintain its secrecy and/or which qualifies as a trade secret within the meaning of the California Uniform Trade Secrets Act and the Defend the Trade Secrets Act.

– Provides predictive dosing, strain selection and timing using a 48-hour chip read data set.
– Provides a pipeline for faster recommendation via use of 'Short' data. Interfaces with Pre-Trained AI algorithms to advance 'Short' data.
– Includes large data tool set where applicable.
– Uses Whole Genome as Training Set reference to Impute AI based FGX for short reads.

License Grant
Licensor hereby grants to Licensee, a subsidiary, a non-exclusive license to use the Licensed IP to market, sell, and distribute Licensed Products solely in the Territory. The License includes, without limitation, Licensor’s granting to Licensee (a) a non-exclusive right and license to use any strain or trade names used in connection with Licensed Products, and (b) a non- exclusive right and license to use any Licensor Trademarks in connection with the sale of the Licensed Products in the State of California. No rights are conveyed or licensed to Licensee for any activities or conduct occurring directly or indirectly outside the Territory.
License Property
Licensed Products means the goods which may be sold with the aid of Licensed IP including (i) those commercial cannabis products typically sold by Licensor and its affiliates as of the Effective Date, or (ii) commercial cannabis products to be branded with Licensor Marks, including on the Packaging Materials.

Licensed Intellectual Property (IP means (a) any rights that Licensor and Licensor affiliates (including without limitation Nug Avenue, https//nugavenue.com/, SugarRush, or the Lemon Glow Company) may have to the ownership, licensing, sub-licensing, or marketing rights to the brands and trademarks, which may include third party products and brands sold by Licensor and its affiliates as of the Effective Date, and any variations thereof and permitted Improvements thereto; (b) all trademark applications and registrations owned or controlled by Licensor or its affiliates and listed in this Agreement (as may be amended from time to time by mutual agreement of the Parties) (Licensor Trademarks) and all Intellectual Property derived from such Licensor Trademarks, together with any and all Improvements thereto, and any Licensor Trademarks applied for or registered therefrom, and (c) with respect to all other Intellectual Property of Licensor or its directly controlled affiliates, all Know-How, Marks, Trade- Secrets and Works that are provided by Licensor to Licensee, pursuant to the terms of this Agreement, reasonably required to enable the marketing, distribution, use and/or sale of Licensed Products, together with any and all Improvements thereto, including without limitation, Trade Secret customer lists and customer information, or other proprietary and confidential product pricing, marketing and customer experience/management methods.

Intellectual Property (or IP) includes the following

(a)
Work product, including without limitation, test results, databases and notebook entries developed or made as a result of the performance of the Agreement (Data);
  
(b)
Any art or process, method, machine, manufacture, design, formulation, or composition of matter, or any new and useful improvement thereof, or any variety and/or strain of plant, which is or may be patentable under the patent laws of the United States (Inventions);
  
(c)
Standard operating procedures, procurement strategies, product pricing, formulation, recipes, technical information, blueprints, production technology, packaging methodologies, information, distribution and sales networks and skills, including without limitation product cost, markup and profit margins (Know-How);
  
(d)
Brands, trademarks, logos, slogans, trade dress and service marks, whether registered or unregistered (Marks);

(e)
Any information whatsoever that derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by other persons who can obtain economic value from its disclosure or use, and is the subject of efforts that are reasonable under the circumstances to maintain its secrecy and/or which qualifies as a trade secret within the meaning of (i) California Uniform Trade Secrets Act, as amended, or any successor thereto; and (ii) United States Defend Trade Secrets Act of 2016 (“DTSA” at 18 U.S.C. §1832 et seq.), or any successor thereto (Trade Secret);

(f)
Original works of authorship fixed in a tangible medium of expression under the copyright laws of the United States (Works).

Field of Use

The objective is for Licensee to utilize the Licensed IP to obtain and maintain all required cannabis licenses and permits and operate the Licensee’s commercial cannabis business through consultation with Licensor or its designated affiliates for exploitation in Licensee’s branded channels. The Licensed Products will be sold at retail to customers pursuant to Applicable Laws for the purpose of increasing the presence of the Licensed Products and Licensee’s goodwill in the Territory. Licensor shall be permitted to set minimum or maximum suggested retail prices for Licensed Products bearing the Licensed IP at its reasonable discretion and in accordance with past commercial experience and practice.

High Times may be applied to Cannabis Products.

Culture, or upon Parties’ agreement, a new mark in substitution or in addition to Culture, may be applied to CBD Products.

Cannabis Product means Cannabis Inputs and Other Inputs that have been prepared, packaged and labelled as a consumer packaged good for sale to a consumer at the retail level.

Cannabis Input means any cannabis flowers, leaves, extract, synthesized phytocannabinoids or other cannabis used with the Other Inputs in the manufacture of a Cannabis Product.

Branded Products means any Products that carry the Licensor Branding.

CBD Product means CBD Inputs and Other Inputs that have been prepared, packaged and labelled for as a consumer packaged good for sale to a consumer at the retail level.

CBD Input means cannabidiol or cannabidiolic acid inputs that are from any flowers, leaves, extract or other sources of cannabidiol or cannabidiolic acid that are sourced from industrial hemp plants and that are not sourced from cannabis plants that are prohibited by federal law. The CBD Input is used with the Other Inputs in the manufacture of a CBD Product.

Branding means all trademarks, trade dress, trade and business names, brand names, logos, design rights, corporate names and domain names and other similar designations of source, sponsorship, association or origin, together with the goodwill symbolized by any of the foregoing, which are developed, licensed or otherwise accessed by Licensee for branding and promoting the Branded Products.

Licensor Technology means know-how, methods, trade secrets and other Confidential Information held by Licensor and protected by HT Intellectual Property Rights, including formulations for manufacturing cannabis extracts, edible cannabis and other Cannabis Products and including methods cultivation, processing and other supply chain management.

Intellectual Property Rights means all industrial and other intellectual property rights comprising or relating to (a) Branding; (b) internet domain names, whether or not Branding, registered by any authorized private registrar or Governmental Authority, web addresses, web pages, website and URLs; (c) works of authorship, expressions, designs and industrial design registrations, whether or not copyrightable, including copyrights and copyrightable works, software and firmware, data, data files, and databases and other specifications and documentation; (d) inventions, discoveries, trade secrets, business and technical information, know-how, databases, data collections, patent disclosures and other confidential or proprietary information; (e) plant varieties, strains or cultivars; and (f) all industrial and other intellectual property rights, and all rights, interests and protections that are associated with, equivalent or similar to, or required for the exercise of, any of the foregoing, however arising, in each case whether registered or unregistered, such registered rights including patent, registered plant breeders’ rights, trademark, industrial design, copyright, Plant Varieties Protection Act registrations and including all registrations and applications for, and renewals or extensions of, such rights or forms of protection under the Applicable Law of any jurisdiction in any part of the world.

License Grant
