License Grant

The Licensor Intellectual Property Rights means the Know-how, Materials, Process, Licensor Trade Secrets, Product, Masterbatch and Trademark, collectively, as such currently exist and shall hereinafter be modified, developed and/or acquired by Licensor.

The Licensor Trade Secrets means all information deemed and designated confidential, in this Agreement and/or in the Ancillary Agreements and hereafter, including but not limited to information regarding the Product, Know-how, Process, Materials, Masterbatch, technology, customers, research, techniques, processes, applications, formulae, cost data, customer lists, suppliers, competition, marketing strategy, supply relationships, costs and cost accounting, memoranda, diagrams, pictures, computer software and programs and records contained therein, sales information, financial information, costs, pricing data and profits, relating to the business of Licensor, the Licensee and Licensor Affiliates both in the territory and elsewhere.

Field of Use
Zerust® products work by releasing a harmless, non-toxic, odorless, colorless vapor into the air around your metal item. Protective molecules settle on all exposed metal surfaces, forming a very thin protective layer that is just a few molecules thick. This molecular layer inhibits electrochemical reactions on the surface of the metal that cause corrosion. Exposed metal surfaces protected by Zerust® benefit from a long-lasting shield against rust, tarnish and corrosion.

Product is the corrosion inhibiting polyethylene film and solid substances of polyethylene in the form of boxes, tubes and other containers, which may include other volatile corrosion inhibiting host packaging substances such as paper, manufactured by means of the Process, incorporating the Materials and utilizing the Trademark, all of which have been developed and are owned by Licensor.

Masterbatch is any formulation of the Materials which shall be designated by Licensor, as appropriate, to be applied to the specific requirements for corrosion protection, as afforded by the Product, of a known customer desirous of protecting an identified object (or objects) which are to be subjected to an anticipated certain range of corrosive influences.  In addition to Materials, Masterbatch shall generally also contain other substances for the purpose of facilitating the manufacture of Product utilizing the Process.

Trademark is the name and style Zerust, which includes trade literature, technical specifications and application instructions, and promotional material pertaining thereto, together with any ancillary trademark registrations, which may differ between various jurisdictions.

NeoMetx(tm) technology offers metal surface coating to reduce friction, wear, and corrosion of mechanisms with direct metal-to-metal contact.  Conventional methods of metal coating generally consist of thermal spray of layers of material onto the surfaces to reduce friction and wear, which subsequently require maintenance as surface treatments often crack, chip, peel and delaminate.  

The NeoMetx(tm) technology creates an entirely new surface, which alters the molecular structure of the surface metal, by dispersing dry chemical compounds into the substrate of the treated piece.  The end product becomes part of the metal and is unlike conventional treatments where layers have to adhere to the surface.
