The Company entered into an Asset Purchase agreement dated June 27, 2013 to purchase a license, and certain assets of the Seller, an individual.

License Property

The license that was purchased pertains to the patent in Enhanced Broad-Spectrum UV Radiation Filters and Methods as disclosed and claimed in U.S. Patent No. US Patent # 6,117,846 – Nucleic acid filters and US Patent Application # 20080233626 – Enhanced broad-spectrum UV radiation filters and methods, and the following international filings European Application # 07811023.6, and Australian Application # 2007281485 and as trade secrets associate with the above listed intellectual property and trade secrets and potential patent applications for an anti-aging skin rejuvenation cream, an acne OTC treatment, a wrinkle reduction cream, BioSalt redistribution technology using supplements.  The License Agreement, as of June 25, 2013 has added an addendum to it allowing the Seller to transfer the license agreement to the Buyer in the Asset Purchase Agreement.

The various patented skin products acquired include all the patented technologies that strips out the four nucleotide code molecules from DNA strands and uses them in a system that can provide up to 99% protection from DNA damage, which is the cause of aging and skin cancer.  A second technology is the delivery system to house the nucleotides, and also, a hydration agent that is time released to infuse uniform hydration into the skin for up to 10 hours.  The resulting products are a DNA based SPF-30 day cream; an anti-aging and rejuvenating night cream featuring the hydration system, Chinese herbs, and aloe; a medical radiation protection and healing cream for use by dermatologists in radiation therapy for skin cancer and a rejuvenating DNA protection cream for the tanning bed industry for DNA damage protection.

License Grant

Licensor hereby grants to Licensee a royalty-bearing worldwide, non-exclusive right and license under the Patent Rights to make and have made, use,  import, offer to sell, sell, or otherwise exploit or dispose of any article of manufacture, product, service, component or matter, and to practice and have practiced any method, process or procedure within the Patent Rights, provided that Licensee may not exercise it's have made and have practiced rights with any Lumenis Competitors.

License Grant

For good and valuable consideration, the adequacy of which is hereby acknowledged, the parties, intending to be legally bound, hereby agree to amend certain sections of the original agreement.  Royalty payments in consideration for the license granted has been amended.

License Property

The amended sections include but not limited to

Channel of Trade with respect to products containing glycolic acid shall mean the mail order, multi level, and direct door-to-door markets and to products containing gluconolactone shall mean any market or channel of distribution.

Licensed Products shall include any cosmetic and/or dermatologic preparation covered by the Licensed Patent Rights (a) containing glycolic acid and/or its salts (1) for the treatment of human skin wrinkles and/or fine lines on the human skin; (2) the treatment of dry skin; (3) as a skin cleanser; (4) as a hair conditioner; (5) as a shampoo; or (b) cosmetic and dermatologic preparations containing glycolic acid and/or its salts, in combination with salicylic acid for the treatment of acne; or (c) cosmetic and dermatologic preparations containing glycolic acid and/or its salts in combination with two percent (2%) or less of hydroquinone for the treatment of pigmented spots on human skin; or (d) cosmetic and dermatological preparations containing gluconolactone for alleviating or improving the signs of dermatological aging of the human skin, including the reduction of human skin wrinkles.

Licensed Patent Rights shall mean, subject to the specific exclusions set forth  (as amended herein), and all divisions, continuations, continuations-in-part, reissues, reexaminations and extensions thereof (a) covering only cosmetic and dermatologic preparations containing glycolic acid and/or its salts for (1) the treatment of human skin wrinkles and/or fine lines on the human skin; (2) the treatment of dry skin; (3) as a skin cleanser; (4) as a hair conditioner; (5) as a shampoo; (b) covering only cosmetic and dermatologic preparations containing glycolic acid and/or its salts, in combination with salicylic acid for the treatment of acne; (c) covering only cosmetic and dermatologic preparations containing glycolic acid and/or its salts in combination with two percent (2%) or less of hydroquinone for the treatment of pigmented spots on human skin; and (d) covering only cosmetic and dermatological preparations containing gluconolactone for alleviating or improving the signs of dermatological aging of the human skin, including the reduction of human skin wrinkles.

In this related party agreement, the parties entered into this agreement regarding the manufacture and sale of a product called Sootheâ„¢.  This agreement is for the right to manufacture (or have manufactured), market, import, export and sell this product worldwide.

License Property

Sootheâ„¢ is a beauty product.  This product is  to help improve skin health and bring an appearance of youthful vibrancy. This product line includes anti-aging and hydrating cleansers, creams, lotions, serums and toners to moisturize, protect and improve the appearance of skin.
