License Grant
Licensor hereby grants to Licensee
(A) an exclusive, royalty-bearing right and license, with the right to grant sublicenses as set forth in this Agreement, under the Licensor Technology, the Licensor Collaboration Technology and the Joint Collaboration Technology, in each case solely to  (1) sell, offer to sell, import, use, and otherwise Commercialize Non-Co-Promoted Products (other than MDX-1379) for any purpose in the Field in the United States; and
(2) sell, offer to sell, import, use and otherwise Commercialize Products for any purpose in the Field in the Royalty Territory; including, in each case ((1) and (2)), for use as monotherapy or for use together or in combination with Agents, other Immunotherapeutic Agents, or other vaccines, biologics or compounds; (3) sell, offer to sell, import, use and otherwise Commercialize MDX-1379 for all uses permitted by the PHS License for use in the Field in the Royalty Territory; and (4) make and have made Non-Co-Promoted Products (other than MDX-1379), Products and MDX 1379 for use in the activities set forth in this Agreement.

(B) a co-exclusive (with Licensor and its Affiliates), royalty-bearing right and license, with the right to grant sublicenses as set forth in this Agreement, under the Licensor Technology, the Licensor Collaboration Technology and the Joint Collaboration Technology, in each case solely to (1) sell, offer to sell, import, use and otherwise Commercialize Products (other than Non-Co-Promoted Products) for any purpose in the Field in the United States, including in each case for use as monotherapy or for use together or in combination with each Agent with respect to which the Co-Promotion Product is Developed in accordance with this Agreement; and (2) sell, offer to sell, import, use and otherwise Commercialize MDX-1379 for all uses permitted by the PHS License for use in the Field in the United States (but which license shall be exclusive if MDX-1379 is a Non-Co-Promoted Product); and
(3) make and have made Products and MDX-1379 (other than Non-Co-Promoted Products) for use in the activities set forth in this Agreement.

MDX-1379 means that certain gp100 peptide vaccine being Developed by Licensor as of the Execution Date for use together, or otherwise in combination, with MDX-010 for the treatment of metastatic melanoma.

MDX-010 is a fully human antibody against human CTLA-4, a molecule on T cells that is believed to be responsible for suppressing the immune response. MDX-010 also has the potential to enable the immune systems of cancer patients to more effectively fight tumors.

Lead Antibody means MDX-010, which has the amino acid sequences for CDR 1, 2 and 3 of the heavy chain variable region as Previously Disclosed.

Antibody means any antibody, or fragment thereof, whether human, humanized, chimeric, murine or from any other source (and including bispecific antibodies, single chain antibodies, and immunoconjugated antibodies), that (a) has been raised, engineered or otherwise optimized to bind specifically and directly to the Target (whether exclusively or in addition to any other target such Antibody may modulate), and (b) once bound to the Target, has antagonistic activity against or otherwise blocks the immunosuppressive signaling of the Target.  For clarification, (x) any antibody or fragment thereof, whether human, humanized, chimeric, murine or from any other source (and including bispecific antibodies, single chain antibodies, and immunoconjugated antibodies) that is Derived from an Antibody, binds specifically and directly to the Target, and otherwise meets the requirements of clause (b) above, shall be an Antibody for purposes of this Agreement and (y) any fusion protein comprised of a fragment of an Antibody and that uses such fragment in order to bind to the Target shall be considered an Antibody for purposes of this Agreement.  For clarification, the Lead Antibody is an Antibody.  For the avoidance of doubt, those fusion proteins known as CTLA4-Ig and LEA-29Y shall not be considered Antibodies for purposes of this Agreement.

Licensor Non-Collaboration Technology means (a) any and all Information, Materials and inventions (i) conceived, discovered, developed or otherwise made, solely by or on behalf of Licensor or its Affiliates or, to the extent permitted under the applicable sublicense agreement, its sublicensees (other than Licensee and its Affiliates), or (ii) acquired or otherwise used (but only to the extent Controlled) by Licensor or its Affiliates, in each case ((i) and (ii)), after the Execution Date and during the term of this Agreement, that are necessary or reasonably useful in the Development, Commercialization, manufacture or use of MDX-1379, an Antibody, Product or Non-Antibody Substance, whether or not patented or patentable, but excluding any (u) Excluded Technology, (v) Licensor Pre-Existing Technology, (w) Mice-Related Technology, (x) Mice Materials, (y) Collaboration Technology and (z) any Information, Materials and inventions conceived, discovered, developed or otherwise made, by or on behalf of Licensor, its Affiliates or sublicensees in connection with the clinical trials identified in this Agreement, unless and until such activities are set forth in a Global Development Plan and Budget and Licensee reimburses Licensor for Licensee’s share of such Development Costs as provided in this Agreement (collectively, “Licensor Non-Collaboration Know-How”), and (b) Patents and other intellectual property rights with respect to the Information, Materials and inventions described in clause (a) above (collectively, “Licensor Non-Collaboration Patents”); provided, however, upon termination of this Agreement pursuant to this Agreement with respect to a Product or MDX-1379, Licensor Non-Collaboration Technology shall be limited to (1) Licensor Non-Collaboration Know-How and Licensor Non-Collaboration Patents with respect to such Product or MDX-1379 that are in existence as of the date of termination, and (2) those Patents that are filed thereafter to the extent that they claim Licensor Non-Collaboration Know-How included in clause (1) above.  For purposes of this definition, the determination of whether Information, Materials and inventions are conceived, discovered, developed or otherwise made by a Party for the purpose of allocating proprietary rights (including Patent, copyright or other intellectual property rights) therein, shall be made in accordance with Applicable Law in the United States.

Commercialize means to promote, market, distribute, sell (and offer for sale or contract to sell) or provide product support for a Product or MDX-1379.

Field of Use
Field of use is for the treatment of metastatic melanoma (cancer) by the development and commercialization of an antibody-based product incorporating MDX-010 as the sole active ingredient or for use together, or otherwise in combination, with MDX-1379 (gp-100) or with certain other immunotherapeutic agents. The Lead Product is for use in the first Cancer Indication.

Cancer means any type of cancer in any cell or organ in a human body, including any Core Cancer.

License Grant

— all quantities of Biological Materials, including those in the possession or control of counterparties to Assigned Contracts;
— all clinical inventories of –X-1307 in the possession or control of Licensor as of the Effective Date; and
— the agreements that are Assigned Contracts.

License Property
Licensor owns or otherwise controls certain technology, including certain patents and know-how, relating to the use of antibodies in connection with the research and development of vaccines.

Anti-Mannose Product shall mean any pharmaceutical composition or formulation incorporating an Anti-Mannose Receptor HuMAb Antibody.

HuMAb Mouse® shall mean any of Licensors immunizable transgenic mice containing unrearranged human immunoglobulin heavy and light chain transgenes, each inserted into mouse chromosomes, but excluding the Additional Mice. HuMAb Mice® shall mean more than one HuMAb Mouse.

The patents relate to Anti-FcyRI (CD64) antibodies.

Field of Use
The field of use is the Antibody Targeting Technology Field.  The Antibody Targeting Technology Field shall mean the use of an antibody, or fragment thereof, whereby the antibody or fragment serves as a targeting means with respect to an Antigen-Presenting Cell for the purpose of modulating an immune response in any of the following manners
—  an antibody or fragment chemically attached or genetically fused to an antigen (including an antigen that is an antibody, or fragment thereof, that encodes an idiotype antigen), whereby the antibody, or fragment thereof, serves as a targeting means for delivering such antigen to an Antigen-Presenting Cell for the purpose of eliciting an immune response,
— an antibody or fragment chemically attached or genetically fused to a toxin or radionuclide, whereby the antibody, or fragment thereof, serves as a targeting means for delivering such toxin or radionuclide to an Antigen-Presenting Cell for the purpose of decreasing, down-regulating or eliminating the activity of such Antigen-Presenting Cell,

Case No. B96-002-1, now abandoned) filed on July 25, 1995,

          (ii)  The U.S.. Continuation-in-Part application entitled, 'Blockade of T Lymphocyte Down-Regulation Associated with CTLA-4 Signaling,' serial number 08/646,605 (U.C. Case No. B96-002-3) filed May 8, 1996, by Drs. James P. Allison, Dana R. Leach and Matthew Krummel of the and assigned to Regents and issued as U.S. Patent No. 5,811,097, that is a CIP of Serial Number 08/566,853, which is a U.S. CIP of 08/506,666,

          (iii) The U.S. Continuation-in-Part application entitled, 'Blockade of T Lymphocyte Down-Regulation Associated with CTLA-4 Signaling,' serial number 08/760,288 (U.C. Case No. B96-002-4) filed December 4, 1996, by Drs. James P. Allison, Dana R. Leach and Matthew Krummel of the University of California at Berkeley and assigned to Regents,

          (iv)  PCT International Patent application, Serial Number US96/19375 filed on December 4, 1996, by Drs. James P. Allison, Dana R. Leach and Matthew Krummel and assigned to Regents (U.C. Case No. B93-002/PCT) that claims the convention priority benefits of U.S. Patent Application Serial No. 08/566,853 dating from the U.S. filing date of December 4, 1995, and U.S. Patent Application Serial No. 08/646,605 dating from the U.S. filing date of May 8, 1996, and

          (v)   All other international patents and patent applications, and/or any divisions, continuations, reissues and claims in continuations-in-part that are (a) entitled to the priority filing date of Serial Numbers 08/506,666, 08,566,853, 08/646,605 or 08/760,288 and (b) are claimed or described in Serial Numbers 08/506,666, 08/566,853, 08/646,605 or 08/760,288.

Sublicensed Products means within the Sublicensed Field of Use  

(i)   Any product produced using a Licensed Method, or for use in the practice of a Licensed Method,
(ii)  Any method, process, material or product the manufacture, use or sale of which would be an infringement of any pending claim (were it to issue) or issued claim of the Licensed Patent Rights, or
(iii) Any material, method, process or product, or part thereof, that
      (A) Is covered by a valid claim of any issued, unexpired patent within Licensed Patent Rights. A claim within the Licensed Patent Rights shall be presumed to be valid unless and until it has been held to be invalid by a final judgment of a court of competent jurisdiction from which no appeal can be or is taken, or
      (B) Is covered by any claim being prosecuted in a pending application directed to the Invention (were it to issue).

Invention means the inventions described in 'Blockade of T-Lymphocyte Down-Regulation Associated with CTLA-4 Signaling' as described in Regents Case No. B96-002.

Field of Use
Sublicensed Field of Use means use of the Sublicensed Products that are antibodies (including without limitation, bispecific antibodies, single chain antibodies and/or immunoconjugated antibodies) for all human therapeutic uses permitted by the Regents License.

The two companies will collaborate on the development of human antibodies for the treatment of cancer.

The licenses set forth in subparts (1) and (2) above shall be co-exclusive and the licenses set forth in subparts (3) and (4) above shall be exclusive.

Licensor hereby grants to Licensee a non-exclusive license under the Queen Patents to (1) Develop Licensed Antibodies and Products in the Territory, (2) Manufacture and use Licensed Antibodies and Products in the Territory solely for Development purposes, (3) Commercialize, sell, offer for sale and import Products in the Territory and (4) Manufacture and use Products in the Territory solely for Commercialization purposes. Such license shall be revenue-bearing with respect to Products Commercialized in the U.S. and royalty-bearing with respect to Products Commercialized in the Royalty Territory.

License Property
CS1 antibodies (Target) includes antibodies known as HuLuc63 and PDL-241.

HuLuc63 means the Antibody that (i) contains the amino acid sequence set forth in this agreement and (ii) is the subject of an existing IND of Licensor prior to the Effective Date.

PDL-241 means the Antibody containing the amino acid sequence set forth in this agreement.

PDL-241 Product means any Product that contains or incorporates PDL-241.

Product means any pharmaceutical product that contains or incorporates a Licensed Antibody.

Licensed Antibody means an Existing Antibody or Future Antibody or, solely if Licensee exercises the Licensee Option, an Option Antibody.

Antibody means any (i) antibody, (ii) protein comprising at least one CDR portion thereof (including bispecific antibodies, single chain antibodies, domain antibodies and immunoconjugated antibodies) or (iii) adnectin; in each of (i), (ii) and (iii), whether human, humanized, chimeric, murine, synthetic or from any other source, that (a) has been raised, engineered or otherwise optimized to bind specifically and directly to the Target (whether exclusively or in addition to any other target such Antibody may modulate) and (b) competes for binding to the Target with a naturally occurring ligand of the Target, interferes with Target-Target interaction, or, once bound to the Target, exhibits antagonistic activity against the Target, agonist activity against the Target, ADCC (antibody dependent cellular cytotoxity) and/or other Fc-mediated effector function.

Queen Patent means any Patent that (a) is set forth in this agreement; or (b) is a continuation, divisional, continuation-in-part, substitution, extension, registration, confirmation, reissue, re-examination, supplementary protection certificates, confirmation patents, patent of additions or renewal of, or issues from, any Patent described in clause (a) above; or (c)  is a foreign counterpart of any of (a) or (b) above.

License Grant

Single-Chain Antibodies
Antibodies are proteins produced by the body's immune system in response to the presence of antigens, such as bacteria, viruses or other disease causing agents. Antibodies of identical molecular structure that bind to a specific target are called monoclonal antibodies. Single-chain antibodies are genetically engineered antibodies that incorporate only the antigen binding domains of an antibody. Thus, SCAs have the binding specificity and affinity of monoclonal antibodies; however, in their native form they are only one-fifth to one-sixth the size of a monoclonal. The small size of SCAs typically gives them shorter half-lives than monoclonal antibodies, making them better suited for use in acute indications or in other indications where the large size of a monoclonal antibody would inhibit the compound from reaching the area of potential therapeutic activity. In addition, SCAs are a well-established discovery format-of-choice in generating antibodies from phage or yeast display libraries.

Products for Radioimmunoguided SurgeryTM (RIGS'), in which a radiolabelled Single Chain Antibody is administered to a cancer patient; time elapses for preferential concentration of the radiolabelled Single Chain Antibody in neoplastic tissue and decrease of background radioactivity in the patient; and such preferentially concentrated radiolabelled Single Chain Antibody is detected within a surgical operative field by a detector probe placed in juxtaposition with tissue suspected of containing said radiolabelled Single Chain Antibody.

License Grant

Licensor Collaboration Technology means (i) the Patents listed below, and (ii) any Know-How, (other than Licensor Process Technology or Know-How directed to manufacturing of any product,) made or generated solely by employees, or Third Party agents or independent contractors of Licensor or its Affiliates during the course of, in furtherance of, and as a direct result of such employees, agents or independent contractors performing an activity pursuant to the Collaboration and License Agreement, and (iii) any Patents and Know-How made or generated solely by employees, or Third Party agents or independent contractors of Licensor or its Affiliates (to the extent Licensor has the ability to grant such rights) during the course of, in furtherance of, and as a direct result of such employees, agents or independent contractors performing Services or consulting services pursuant to this Agreement.  Licensor Collaboration Technology does not include Know-How with respect to the recipe of Media Materials.
Patent WO 09070642 and Patents that are entitled to the filing date of WO 09070642 or to the application to which WO 09070642 claims priority.

Licensor Process Technology means any Patents and Know-How that (i) in the case of Know How that is Controlled by Licensor as of the Effective Date and in each case that has been used by Licensor with respect to the Manufacturing Process, and (ii) in the case of Patents, that are owned by Licensor as of the Effective Date and would be infringed by use of the Manufacturing Process.  Licensor Process Technology does not include Know-How with respect to the recipe of Media Materials.

Technology Patent means (i) a Patent owned by or licensed to Licensee that contains a claim that covers the making, using, selling, offering for sale or importing of a Licensed Product or (ii) a Patent that is included in Independent Licensor Technology or (iii) a Patent that is included in Licensor Process Technology or (iv) a Patent that is included in Collaboration Technology.

Joint Collaboration Technology means any Patents and Know-How made or generated jointly by employees, or Third Party agents or independent contractors of both Parties or their Affiliates during the course of, in furtherance of, and as a direct result of such employees, agents or independent contractors performing an activity pursuant to the Collaboration and License Agreement or this Agreement.

Licensor IP shall mean (i) any Licensor Invention and (ii) all patented and non-patented proprietary technology and information, in any form whatsoever, that is (a) necessary or useful for making and using the Licensed Products, without regard to whether or not the technology or information is patentable; (b) owned, controlled, or developed by Licensor, as of the Effective Date or hereafter during the term of this Agreement; and (c) provided by Licensor to Licensee hereunder, including, but not limited to discoveries, formulae, materials, practices, methods, knowledge, know-how, processes, trade secrets, ideas, concepts, manufacturing, engineering, standard operating procedures, flow diagrams and charts, quality assurance, quality control data, technical data, manufacturing technology, research data and records, and all other confidential or proprietary technical and business information relating to the humanization of murine antibodies, generation of chimeric antibodies, or any gene expression vectors used in such methods and all improvements or modifications thereto.  For purposes of clarity, Licensor IP includes Licensor Inventions that satisfy (a), (b) and (c), above, while Licensor IP does not include Licensed Patent Rights as defined hereunder.

Licensor Invention shall mean any discovery or invention to the extent (i) made or conceived or reduced to practice by or on behalf of Licensor in the performance of the humanization of Licensees Sphingomabâ„¢ antibody under this Agreement, whether or not patentable, and (ii) covering only generally applicable methods or techniques for humanizing antibody proteins or for constructing a vector or reagent used to humanize or express an antibody.

Field of Use
Licensee’s lead product candidate, Sphingomab™, is a monoclonal antibody (mAb) against sphingosine-1-phosphate (S1P), an innovative and validated cancer target.

Sphingomabâ„¢ is the original mouse version of this monoclonal antibody.

The University has determined that agonistic anti-mouse CD27 antibodies were unexpectedly potent at triggering T-cell expansion and identified the potential application of using such antibodies as vaccines for the treatment of disorders that may benefit from immune stimulation.

University has a patent application for Human Immune Therapies Using a CD27 Agonist Alone or in Combination with Other Immune Modulators.

University also has generated an agonistic anti-mouse CD27 mAb (clone AT124-1) and a selection of mouse anti-human CD27 MAb, included in the Materials.

Materials means agonistic anti-mouse CD27 mAb {clone AT124-1} and agonistic mouse anti-human C027 mAbs {clones AT133·2, AT133-4, AT133·5, AT133·6, AT133-7, AT133·11 and AT133-14) and any derivatives thereof generated by Licensee, its Affiliates or sub-licensees.

The Know-How includes Know~how in developing functional agonistic human mAb to CD27.

Field of Use
The patent and know-how license agreement is to develop human antibodies towards CD27, a potentially important target for immunotherapy of various cancers.   In pre-clinical models, antibodies to CD27 alone have been shown to mediate anti-tumor effects, and may be particularly effective in combination with other immunotherapies. CD27 is a critical molecule in the activation pathway of lymphocytes. It is downstream from CD40, and may provide a novel way to regulate the immune responses. Engaging CD27 with the appropriate monoclonal antibody has proven highly effective at promoting anti-cancer immunity in mouse models. We are currently evaluating new human monoclonal antibodies in pre-clinical models.

The Field means all therapeutic or prophylactic uses. including uses as adjuvants or vaccines, in the Territory of agonistic anti-CD27 antibodies, alone or in combination with any other pharmaceutical agent, other than the Universitys Field.

Universitys field means all therapeutic or prophylactic uses, including uses as adjuvants or vaccines, in the Territory of agonistic anti-CD27 antibodies in combination with the Universitys proprietary anti-human CD40 ChiLob7.4 antibody and derivatives thereof where such use includes the in vivo administration of such anti-CD27 antibody and such anti-human CD40 ChiLob7.4 antibody to a mammal or the in vitro use of such anti-C027 antibody and such anti-human CD40 Ch1Lob7.4 antibody, wherein the two antibodies must be administered together as an approved therapeutic combination regimen.

It shall be deemed reasonable for Licensor to withhold consent with respect to sublicense by Licensee of any of the rights or licenses to any other entity that is developing (in at least one Phase II clinical trial with directional human efficacy data), or marketing or selling in a Major Country any product for the treatment of any Autoimmune Indication. Notwithstanding the preceding sentence, Licensee and its Affiliates may use Third Party distributors in accordance with their customary practices. All sublicenses granted by Licensee or its Affiliates of the licenses set forth in this agreement shall automatically terminate at the end of the Commercialization Term.

Nutley Dac shall mean the FDA-approved form of Daclizumab manufactured at Licensee’s Nutley, New Jersey facility as of the Amendment Effective Date.

Daclizumab shall be deemed to be a Licensed Product, a humanized antibody now known by the generic name daclizumab, which binds to the interleukin-2 receptor (“IL-2R”). Daclizumab means any product that contains humanized anti-Tac (as defined under Field).

Licensee Owned Patents means all patent applications owned by Licensee or its Affiliates (“Sole Licensee Patents”) alone or with a Third Party, and all patent applications resulting from Joint Inventions (“Joint Licensee-Licensor Patents”) covering inventions in the Field that are filed prior to or during the term of this Second Amended and Restated Worldwide Agreement in the United States or any foreign jurisdiction, including any addition, continuation, continuation-in-part or division thereof or any substitute application therefor; any patent issued with respect to such patent application, any reissue, extension or patent term extension of any such patent, and any confirmation patent or registration patent or patent of addition based on any such patent; and any other United States or foreign patent or inventor’s certificate covering inventions in the Field. Licensee Owned Patents as of the Effective Date are, specifically, those listed.
Serial No. 60/416,302 – Use of IL-2 Receptor Antibodies

Joint Inventions means any inventions in the Field, whether patented or not, that are jointly made during the period beginning on January 31, 1989 and continuing until the end of the Commercialization Term by at least one (1) Licensor employee or person contractually required to assign or license patent rights covering such inventions to Licensor and at least one (1) Licensee-Nutley or Licensee employee or person contractually required to assign or license patent rights covering such inventions to Licensee-Nutley or Licensee.

Field of Use
Field means any humanized or chimeric antibody that binds to IL-2R, where “humanized” means a genetically engineered combination of a substantially human framework region and constant region, and complementarity determining regions from non-human antibodies, and where “chimeric” means a genetically engineered combination of human constant region and non-human variable region. “Antibodies in the Field” means humanized and chimeric antibodies that bind to IL-2R. It is believed that these Antibodies in the Field may be useful for therapeutic, diagnostic, imaging and similar purposes. It is understood that the Field includes, but is not limited to, that certain humanized murine monoclonal antibody prepared against the p55 component of IL-2R (“humanized anti-Tac”). Furthermore, the Field includes, but is not limited to, all improvements relating to humanized anti-Tac, including without limitation modifications in structure introduced by genetic engineering, or by chemical or enzymatic cleavage. Also included within the Field shall be alternate hosts for producing humanized anti-Tac, methods for purification, formulations incorporating humanized anti-Tac, and uses and methods of use for humanized anti-Tac in human medicine.

Enoblituzumab is a humanized antibody directed at B7-H3, a member of the B7 family of T cell checkpoint regulators. B7-H3 is a promising immuno-oncology drug target as it is widely expressed across multiple tumor types and plays a key role in regulating immune response against cancers. Increasing pre-clinical and clinical evidence suggests that antibodies targeting the two T cell checkpoint molecules—B7-H3 and PD-1—work synergistically in treating cancer. Given B7-H3’s critical role, enoblituzumab has a wide range of cancer applications as either a monotherapy or in combination with PD-1 therapies. At the molecular level, enoblituzumab is engineered to possess an enhanced anti-tumor ADCC function and is at the forefront in global clinical development. Originally developed by Licensor, enoblituzumab has been evaluated in multiple clinical trials as a monotherapy or in combination with CTLA-4 or PD-1 therapies in patients with B7-H3-expressing cancers. Enoblituzumab is also being evaluated in a neoadjuvant Phase 2 study as a single agent in patients with intermediate and high-risk localized prostate cancer.

Field of Use
The license granted is used as an immuno-oncology drug target playing a key role in regulating immune response against cancers.

UltiMAb Human Antibody Development System – our solution to making antibodies with fully human protein sequences is to use transgenic strains of mice in which mouse antibody gene expression is suppressed and effectively replaced with human antibody gene expression. Our human antibody technology includes (i) our HuMAb-Mouse technology, (ii) Kirin's TC Mouse technology, and (iii) the KM-Mouse technology, a crossbred mouse that combines the characteristics of our HuMAb-Mouse with Kirin's TC Mouse. The parties share equally the costs of any clinical trials of products intended solely for regulatory approval in the United States, and Parent is fully responsible for all development efforts that relate solely to regulatory approval in the European Union and other parts of the world.

– an exclusive, worldwide right and license, under the Licensed Licensor IP Rights, other than the XenoMouse Know-How Rights, except solely to the extent necessary to enable Licensee to utilize Additional Technology applicable to such Collaboration Antigen, Antibody Technology, Collaboration Technology, Oncology Technology, Other Technology and Antigen-Specific Technology to Exploit Non-Licensed Products, other than Non-Antibody Products, XenoMouse  Patent Rights, Licensor Process Know-How Rights and Licensor Process Patent Rights, to Exploit Non-Licensed Products that bind to and are directed against such Collaboration Antigen for use in the Commercial Field.

For the Research and Development Program Licenses, with respect to each Collaboration Antigen, other than Discontinued Antigens or Failed Antigens, prior to the designation of a Candidate Drug that binds to and is directed against such Collaboration Antigen, Licensor grant to Licensee an exclusive, worldwide right and license, without the right to grant sublicenses, under and to the Licensed Licensor IP Rights applicable to such Collaboration Antigen, to conduct its obligations, and exercise its rights, under the applicable Research Program, Development Program.

For the Licensed Products, with respect to each Collaboration Antigen, other than Discontinued Antigens and Failed Antigens
— with respect to which a Candidate Drug has been selected, Licensor  grants the exclusive, worldwide, right and license, with the right to grant sublicenses through multiple tiers of sublicensees, under the Licensed Licensor IP Rights applicable to such Collaboration Antigen to Exploit Candidate Drugs that bind to and are directed against such Collaboration Antigen for use in the Commercial Field and, after Licensee has delivered an Election Notice to Licensor with respect to such Collaboration Antigen, all Licensed Products that bind to and are directed against such Collaboration Antigen for use in the Commercial Field, and,
— with respect to each Collaboration Antigen, other than Discontinued Antigens and Failed Antigens, with respect to which a Candidate Drug has been selected, Licensor grants the exclusive license and right of reference, with the right to grant sublicenses, under Licensors rights, titles and interests in and to any Registrations, to the extent not otherwise assigned, to Exploit Candidate Drugs and Licensed Products that bind to and are directed against such Collaboration Antigen for use in the Commercial Field.

For the Non-Licensed Products with respect to each Collaboration Antigen, other than Failed Antigens or Discontinued Antigens, Licensor grants
— the exclusive, worldwide, right and license, with the right to grant sublicenses, under Licensors right, title and interest in and to the Collaboration Know How Rights and Collaboration Patent Rights, Licensor Oncology Know-How Rights, Licensor Oncology Patent Rights, Licensor Other Know-How Rights, Licensor Other Patent Rights and the Licensor Subsequent Antigen-Specific Know-How Rights and Licensor Subsequent Antigen-Specific Patent Rights applicable to such Collaboration Antigen, and the other Licensed Licensor IP Rights solely to the extent necessary to enable Licensee to utilize Collaboration Technology, Oncology Technology, Other Technology and Antigen-Specific Technology, and,
— the exclusive, worldwide right and license, with the right to grant sublicenses, under the Licensor Prior Antigen-Specific Know-How Rights and Licensor Prior Antigen-Specific Patent Rights applicable to such Collaboration Antigen, in each case to Exploit Non-Antibody Products with respect to such Collaboration Antigen for use in the Commercial Field.

For the Antigen-Specific Technology, subject to any applicable Licensor In-License, with respect to each Discontinued Antigen, Failed Antigen and Non-Selected Antigen, Licensor grants
– the non-exclusive, worldwide right and license, with the right to grant sublicenses, under the Licensor Subsequent Antigen-Specific Know-How Rights and Licensor Subsequent Antigen-Specific Patent Rights applicable to each such Antigen to Exploit Non-Licensed Products, other than Non-Antibody Products, that bind to and are directed against such Antigen for use in the Commercial Field, and,
– the exclusive, worldwide right and license, with the right to grant sublicenses, under the Licensor Subsequent Antigen-Specific Know-How Rights and Licensor Subsequent Antigen-Specific Patent Rights applicable to each such Antigen to Exploit Non Antibody Products with respect to such Antigen for use in the Commercial Field.

For the Other Technology, Licensor grants a non-exclusive, worldwide right and license, with the right to grant sublicenses, under the Licensor Other Know-How Rights and Licensor Other Patent Rights for all purposes for use in the Commercial Field.

License Property
Licensor has rights in the XenoMouse® Animals, and other proprietary technology regarding the research, development, manufacture and commercialization of fully human monoclonal antibodies generated thereby.

Licensor Product shall mean a product containing an Antibody or Antibody Equivalent that binds to and is directed against a Discontinued Antigen or Failed Antigen.

Core Antibody Technology shall mean such Antibody Technology Controlled by Licensor that is Reasonably Necessary to complete the following portions of a Research Program generally in accordance with the template Research Program Work Plan, that has as its goal the delivery of Antibodies that meet the applicable Candidate Drug Target Profile criteria in accordance with industry standards
— the immunization of XenoMouse Animals,
— the generation of Antibodies from such XenoMouse Animals, and,
— the initial characterization of such Antibodies, consisting of binding such Antibodies to an antigen, epitope binning, as described in International Patent Application No. WO 03/48731, kinetic ranking, as described in International Patent Application No. WO 03/48730), affinity measurement, by BiaCore and KinExA, and sequencing; in each case as customarily practiced by Licensor, utilizing Licensor standard techniques and materials, other than transfer vectors
proprietary from Third Parties, for hybridoma or XenoMax Technology approaches.

The collaboration is for the development of antibody therapeutics for the treatment of oncology.
This alliance involves the joint discovery and development of therapeutic antibodies for up to 36 cancer targets to be commercialized exclusively worldwide by Licensee .

License Grant
Research License; Supply of Mice; Materials ownership
Licensor hereby grants to Licensee, a Japanese corporation, and the Majority-Owned Affiliates of Licensee, solely as needed to exercise the rights that may be granted, a paid-up, non-exclusive license and/or sublicense of its rights, as the case may be, under the Licensed Technology, without the right to grant further sublicenses, to (i) Breed the XenoMouse Animals included solely for use in the Research Field in connection with activities described in subsections (ii) and (iii) of this Section 2.1.1, (ii) immunize such XenoMouse Animals solely with those Antigens that are Permitted Antigens at the time of immunization and (iii) use the Research Program Materials and Information solely for conducting research and development work within the scope of the Research Field.

Licensor hereby grants to Licensee, and the Majority-Owned Affiliates of Licensee solely as needed to practice the rights that may be granted in accordance with this agreement, a paid-up, non-exclusive license and/or sublicense, as the case may be, of its rights in the Licensor Materials and Information and all intellectual property rights Controlled by Licensor related thereto that are not licensed to Licensee pursuant to the license in subsection (a) above, solely to the extent that the Licensor Materials and Information are necessary or useful to Licensees practice of the license granted in subsection (a) above.

Option to enter into Product License Agreement
Licensor hereby grants to Japanese Licensee an exclusive option (an 'Option') to enter into a Product License Agreement with respect to those Permitted Antigens which have been designated as Product Antigens, as further described. Each calendar year during the term of this Agreement, Licensee may obtain up to Two (2) such Options with respect to Product Antigens, pursuant to the procedures set forth.

License Property
Licensed Technology shall mean the rights Controlled by Licensor in the Licensor Patent Rights and Licensor Know-How; provided, however, that the foregoing shall exclude the Excluded Technology.

Product shall mean (i) with regard to the Option Agreement, any composition which incorporates or is derived from (a) an Antibody that binds to a Product Antigen or (b) Genetic Material encoding such an Antibody, wherein in respect of each Product, said Genetic Material does not encode multiple Antibodies; and (ii) with regard to a Product License Agreement, any composition which incorporates or is derived from (a) an Antibody that binds to the Product Antigen (as defined in such Product License Agreement) or (b) Genetic Material encoding such an Antibody wherein, in respect of each Product, said Genetic Material does not encode multiple Antibodies.

Product Antigen shall mean (i) with regard to the Option Agreement, a Permitted Antigen as to which Licensee has obtained an Option, as further described in the Option Agreement; and (ii) with regard to a Product License Agreement, the Antigen described in the Product License Agreement.

Xenomouse Animals shall mean transgenic mice which are Controlled by Licensor and which contain unrearranged human immunoglobulin genes that are capable of producing human antibodies when immunized with an antigen.

Field of Use
Field shall mean the use of Products (i) for human therapeutic, prophylactic and diagnostic medical purposes and as laboratory research reagen.

XenoMouseâ„¢ is a technology to enable the rapid generation of high affinity, fully human antibody product candidates to essentially any disease target appropriate for antibody therapy.

Research Field shall mean the immunization of XenoMouse Animals with Permitted Antigens, the use of materials derived or generated in whole or in part from such XenoMouse Animals that are so immunized, and the use of the XenoMouse Animals themselves, solely for the creation, identification, analysis, manufacture, research, and preclinical development of Products in the Field. For purposes of clarification, it is understood that 'immunization' of XenoMouse Animals with a Permitted Antigen includes the immunization of XenoMouse Animals with any formulation or construction of a Permitted Antigen, regardless of the three dimensional configuration of such Permitted Antigen, including, but not limited to, cell lines expressing such Permitted Antigen on their cell surface and chimeric molecules containing such Permitted Antigen; provided, however, that any research, development or use of Antibodies that bind to an excluded Antigen (other than to determine whether they bind to a Permitted Antigen) shall be outside of the scope of the licenses granted under the Option Agreement.
