License Grant
Generally, by this collaboration, Licensor shall optimize its Existing AsOR Targeted Complex by construction and improvement of plasmid vectors to obtain the required level and duration of Factor VIlI expression from the recombinant Factor VIlI constructs provided by Licensee.

Licensor grants an exclusive license, or in the case of licensed Third Party Patent Rights or Know-How, when permissible, an exclusive sublicense, in the Territory under Licensors Patent Rights, including Licensors rights in any jointly-owned Patent Rights, and Licensors Know How, to conduct the Collaborative Program and to make, use, sell, offer for sale, import, and have made, used, sold, and imported Products for use in the Hemophilia A Field and to each Additional Field(s) upon Licensees exercise of its option(s).

License Grant
Licensor grants a perpetual, non-terminable, worldwide, exclusive license, with the right to sublicense, under Licensed IP to Develop and Commercialize Licensed Products in the Field.

Target Antigens will be defined to mean any and all oncology associated antigens, provided that from and after the third anniversary of the Effective Date of the Agreement.  Target Antigens will be limited to the oncology associated antigens designated.

T-Cell means any of the lymphocytes that mature in the thymus and have the ability to recognize specific peptide antigens presented by major histocompatibility complex antigens through the receptors on their cell surface.

Payload means peptide coding sequences. For clarity peptide coding sequences include peptide sequences encoding chimeric antigen receptor elements including targeting domain, spacer, transmembrane domains, cytoplasmic domains and other coding sequences.

CAR T-cell therapy represents a promising, emerging approach to treating cancer. Blood is withdrawn from a patient and the T-cells are then extracted from a patient's blood. These cells are then genetically modified to recognize and attack cancer cells and then re-introduced into the patient's blood. The patient’s genetically modified cells are intended to bind to and kill the target cancer cells.

Field of Use
The global strategic collaboration is to discover, develop and commercialize novel diseasealtering gene therapies in oncology.

The Field means the use of T-Cells expressing a CAR, with or without other engineering to enhance functionality and/or safety, including virus specific genetically modified T-Cells expressing a synthetic CAR, and T-Cells expressing native-virus antigen receptors or tumor-specific antigen receptors in which the T-Cells are genetically modified to enhance their performance, persistence or safety, in each case under for the treatment, modulation, palliation or prevention of cancer in humans.

License Grant

Product-Candidate means any new hemostasis product-candidate Controlled by Licensor during the Term.

Licensor Intellectual Property means Licensor Technology and the Licensor Improvements.

Licensor Technology means the Licensor Patents and any Know-How Controlled by Licensor relating to methods and processes for the glycosylation design and remodeling of proteins, peptides and antibodies, including, without limitation, its GlycoAdvance®, GlycoPEGylation™ and GlycoConjugation™ technologies, and other carbohydrate synthesis processes, and all Know-How resulting from work conducted by Licensor during the Term.

GlycoPEG-FVIIa is a long-acting form of recombinant Factor VIIa that is being developed by our partner, Novo Nordisk A/S, utilizing our GlycoPEGylation technology. Factor VIIa is used in the treatment of bleeding episodes and for the prevention of bleeding during surgery or invasive procedures in patients with congenital hemophilia with inhibitors to coagulation Factors VIII or IX.

Field of Use
Licensee is also developing long-acting forms of recombinant Factor VIII and recombinant Factor IX utilizing our GlycoPEGylation technology. Factor VIII products are used in the treatment of Hemophilia A, and Factor IX products are used in the treatment of Hemophilia B.

License Grant

Field of Use
The Parties have formed a strategic collaboration to develop Licensee's next-generation Factor IX development candidate FIX-NG (CB 2679d) for the prevention and treatment of bleeding in hemophilia B patients.

CB 2679d/ISU 304 is a next-generation Factor IX drug for the on-demand and prophylactic treatment of patients with hemophilia B, a chronic disease caused by a genetic deficiency in coagulation Factor IX.
Hemophilia B is a rare genetic bleeding disorder in which affected individuals have insufficient levels of a blood protein called factor IX. Factor IX is a clotting factor. Clotting factors are specialized proteins needed for blood clotting, the process by which blood seals a wound to stop bleeding and promote healing.

CB 2679d/ISU 304 has demonstrated duration of action in vivo in preclinical models of bleeding and coagulation correction approximately 8 times longer than BeneFIX®, the currently marketed Factor IX therapeutic, and 2-3 times longer than Alprolix, Biogen Idec’s approved Factor IX-Fc fusion protein.

License Grant

This agreement includes a non-exclusive grant back from Licensee to Licensor.

License Property
Licensor is the owner of or otherwise controls certain proprietary Licensed Patent Rights and Licensed Technology.

Licensors Dimerizer shall mean the compound known as xx1903, all analogs and derivatives of xx1903 and any Dimerizcr or salt thereof, where the composition of matter thereof or its use as a divalent ligand is, at any time during the Primary License Term, within the scope of a claim in any patent or patent application within the Licensed Patent Rights.

xx1903 is for the treatment of GvHD as an orphan drug.

GvHD shall mean a clinical condition involving acute or chronic adverse effects or symptoms resulting from the allogenic transplantation of bone marrow, hematopoietic or stem cells into a human being in which engrafted donor cells attack the patients organs and tissues which can be treated by activating cell signaling leading to apoptosis of the transplanted cells.

Cell Transplantation Indication shall mean GvHD or any other acute or chronic adverse clinical effect in a human being resulting from transplantation of bone marrow, hematopoietic or stem cells that can be treated by inducing apoptosis of transplanted cells, or in the case of a bone marrow, hematopoietic or stem cell product for transplantation that includes cells containing a gene coding for an Inducible Caspase, any disease or condition in a human being that can be treated by such product.

Licensed Products include  BPX-101 (formerly BP-GMAX-CDJ) , and, CaspaCIDe Donor Lymphocyte Infusion.

Field of Use
Licensed Field shall mean the treatment or prevention of the progression or occurrence in humans of any Primary Indication and/ or any Additional Indication, such as kidney cancer, or any noncancer indication, as the case may be.

Licensee is developing cell therapies to treat cancers and other chronic and life-threatening diseases.

License Grant
The parties collaborated to develop a long-acting Factor VII compound and amended the Original Agreement to incorporate all of the Amendments into one document.

Licensor Intellectual Property means Licensor Technology and the Licensor Improvements.

Patent Rights shall mean individually and collectively any and all patents and/or patent applications and provisional applications, all inventions disclosed therein, and any and all continuations, continuations-in-part, continued prosecution applications, divisions, renewals, patents of addition, reissues, confirmations, registrations, revalidations, revisions and re-examinations thereof, utility models, petty patents, design registrations and any and all patents issuing therefrom and any and all foreign counterparts thereof and extensions of any of the foregoing including without limitation extensions under the U.S. Patent Term Restoration Act, extensions under the Japanese Patent Law, and Supplementary Protection Certificates (SPCs) according to Counsel Regulation (EEC) No. 1768/92 and similar extensions for other patents under any applicable law in any country of the world. Licensee hereby grants to Licensor, for the term of the Work Plan, a non-exclusive, royalty free, license under the Licensee Technology to use such Licensee Technology for the sole purpose of carrying out its obligations under the Work Plan. Licensee shall retain at all times all of its rights, title and interest to the Licensee Technology.

Licensee granted Licensor a non-exclusive, worldwide, royalty free, fully paid license, with the right to grant sublicenses, to use certain manufacturing technology developed under the agreement and controlled by Licensee to manufacture our products that utilize the AAV delivery system. Giroctocogene fitelparvovec, also known as SB-525, is a gene therapy product candidate for hemophilia A, and closely related products such as Affine.

AFFINE is a global Phase 3, open-label, multicenter, single arm study that will evaluate the efficacy and safety of giroctocogene fitelparvovec in patients with moderately severe to severe hemophilia A. The primary endpoint is impact on annual bleed rate (ABR) through 12 months following treatment with giroctocogene fitelparvovec, compared to ABR on Factor VIII (FVIII) replacement therapy collected in the Phase 3 lead-in study period. Participants will be analyzed throughout the 5-year study period following the single infusion to further assess the durability and efficacy.

For Licensor Materials, In connection with the practice of the license rights set forth, Licensor grants to Licensee a worldwide, non-exclusive, non-transferable license, without the right to grant sublicenses, to use the Licensor Materials on its own behalf only to identify Antibody Compounds from the Licensor Antibody Library and to make quantities of Antibody Compounds that are reasonably required for research and development activities only.

For the Third Party Sublicense Rights, During the library License Term, Licensee shall have rights to use and practice the Licensor licensed Patent Rights and Know-How.

Licensor possesses intellectual property and know-how related to, among other things, the discovery of antibodies having novel binding properties using phage display.

Licensed Product means any Antibody Compound or product that incorporates an Antibody Compound, whether or not conjugated to another compound that is a Therapeutic Product or an In Vitro Diagnostic Product.

The licensed library is The phagemid-based Fab library.

Licensed materials include Expression vectors pXPlsacB and pXP2sacB for soluble Fab production in E. coli. IgG expression vectors (pBRV and pShuttle) for rapid subclomng and converting Fab fragments into human IgGl and IgG4 and munne IgG2a. (Streptavidin-binding antibody clones will be provided as a positive control.)

Carved Factor IX Claims shall mean any Potential Carved Factor IX Claim with respect to which the parties have filed a separate patent application.

Potential Carved Factor IX Claims shall mean any composition-of-matter claims and any method of treatment claims that are supported by Patent Rights Controlled by Licensor that (i) do or could explicitly and solely recite and claim Licensee Materials, or (ii any Licensee Improvements made or reduced to practice by Licensor.

Reagents means the enzymes and sugar nucleotides required to use the Licensor Technology in the manufacture of New Products.

New Product shall mean the following (a) any of the Licensee Materials modified using either (i) the Licensor Technology, (ii) any Licensor Improvements, or (iii) any combination of all or some of (i) and (ii) above, and (b) any Licensee Materials covered by any Carved Factor IX Claims (except to the extent such claims constitute Licensee Improvements).

Licensor Exclusive Compounds shall mean any and all forms of erythropoietin and granulocyte colony stimulating factor including, but not limited to, with respect to either of the foregoing full length proteins, truncated proteins, fusion proteins, analogs, mutants, splice variants, and conjugates with other molecular entities such as proteins, peptides, organic or inorganic substances.

M1 Profile for the New Factor IX Product means the parameters for candidate selection required for PEG-F9, as amended from time to time.

Licensor Intellectual Property means Licensor Technology and the Licensor Improvements.

Antibody means a molecule or a gene encoding such a molecule comprising or containing one or more immunoglobulin variable domains or parts of such domains or any existing or future fragments, variants, modifications or derivatives thereof.

Licensor Product means any preparation for the treatment or prevention of disease, infection, or other condition in humans for any indication which contains, comprises, or the process of development or manufacture of which utilizes a Licensee Licensable Antibody, or, any preparation in the form of a device, compound, kit or service with utility in the diagnosis, prognosis, prediction, or disease management of a disorder for any indication which contains, comprises or the process of development or manufacture of which utilizes a Licensee Licensable Antibody.

Diagnostic Antibody Product means any preparation in the form of a device, compound, kit or service with utility in the diagnosis, prognosis, prediction or disease management of a disorder for any indication which contains, comprises or the process of development or manufacture of which utilizes a Licensor Licensable Antibody.

Target shall mean
— a polynucleotide sequence corresponding to a sequence identified in a publicly available curated
database such as GenBank® by means of an accession number or similar sequence information
that uniquely identifies that sequence;
— a non-proteinaceous antigen that is uniquely identifiable in a routine manner using publicly
available curated databases and/or such other suitable written material as is available.

License Grant
Licensor is willing to grant to Licensee, a non-exclusive research license to conduct certain research to identify and select Specified Vectors for specified indications and an option to obtain a non-exclusive license to research, develop, and commercialize Licensed Products for specified indications.

particular Disease Indication, effective upon both Licensors receipt of the notice and in the case of a Secondary Disease Indication, the fee described for such Secondary Disease Indication, including the Retained Rights.
