License Grant
Licensor hereby grants to Licensee a nonexclusive, worldwide license to reproduce, use and distribute, by sale or otherwise, the Licensed Products and Licensed Data through the YBRN.
License Property
Race Card shall refer to all Past Performances for one day of racing at one track (the 'Original Track') and may include Past Performances for not more than eight races from other tracks if those races are being received by simulcast transmission at the Original Track.

On-Line Wagering Service shall refer to a computer on-line service which provides users of such service access to horse racing information and the ability to place wagers on horse races. Licensee will provide an On-Line Wagering Service accessible through Licenseees private computer network or the Internet (YBRN).

Added Value Products shall refer to any products that are produced by Licensor and provided to Licensee for resale in the same  format, including, without limitation, those products set forth in this Agreement, provided that Past Performances are not Added Value Products.

Licensed Products shall refer to Past Performances and Added Value Products, collectively.

Licensed Data shall refer to information included in the Licensed Products.

Past Performances shall refer to past performance lines containing fractional times or points of call and margins which are sold in a hard copy or electronic format.

Intellectual Property Rights refers to any patents, copyrights, trade secrets, moral rights, trademarks, trade names, service marks, confidential or proprietary information; known how, any derivative rights, and any other intellectual or intangible property of all kinds wherever located.

Licensors business includes maintaining and compiling information on Thoroughbred race horses and the performance.

Field of Use
Field of use is for horse racing gambling using an on-line computer betting system.

License Grant
The Licensor hereby grants Licensee an exclusive right to use or to sub-license the use of the Licensed Product in connection with and to facilitate On-Line wagering.
License Property
The Licensor is the Exclusive licensee of certain intellectual property rights and know-how to a pari-mutuel bingo-type wager game known as RACINGO and variations thereof.

'Licensed Product' shall mean the intellectual property rights and know-how of the Licensor identified under the terms 'RACINGO', 'RACINGO Copyrights', 'RACINGO Patent' and 'RACINGO Trademarks' below as they apply to On-Line wagering utilizing the RACINGO Copyrights, the RACINGO Patent and the RACINGO Trademarks, and shall specifically not include the previously licensed products and other venues identified.

'On-Line' shall mean activities taking place via the Internet, by which is meant the worldwide network of computers utilizing the TCP/IP protocol, commonly understood to provide some or all of the following features, among others electronic mail, file transfers through File Transfer Protocol, Telnet access to local and remote computers, UseNet Newsgroups, Gopher access to information on local and remote computers, Wide Area Information Servers, and World Wide Web access.

'RACINGO' means the pari-mutuel bingo-type wager game and lottery identified by the RACINGO Trademarks and all associated RACINGO Copyrights, know-how, intellectual property and other materials utilized in the execution of the RACINGO game as held by the Licensor, including United States Patent No. 5,518,239.

'RACINGO Trademarks' means the trademark RACINGO.

License Grant
Licensor hereby grants Licensee a limited, non-exclusive, non-transferable, non-assignable (except as provided in this Agreement), non-sub-licensable, world-wide license to use the Licensed APIs and Protocols in association with the Licensor Systems for the limited purpose of facilitating design, development and implementation of Licensee Developed Applications but only to the extent that any of the individual APIs and protocols of the Licensed APIs and Protocols are applicable and necessary to the Licensee Developed Application and provided that such Licensee Developed Applications are designed and developed for delivery only through PlayerVision® Devices or Licensor sb Systems.
License Property
Licensed APIs and Protocols means (1) Slot Accounting System (SASâ„¢) protocol, including Ticket In, Ticket Out protocols (TITO);  (2) NetPlex protocol; (3) Casino Terminal Network (CTN) Kiosk protocol; and (4) subject to the written approval of Licensor, Media Manager protocols and Media Manager APIs.

Licensor Systems means all Licensor sb Systems, Advantage® systems, including, but not limited to, TITO systems, and any other computer system and/or operational network licensed, sold, or Placed by Licensor or its distributors and related to or associated with Gambling.

Licensor sb System or ISBS means Licensor’s server-based network systems, which utilize the following Licensor user interfaces sbNexGenâ„¢, Service Windowâ„¢, and other interfaces to Licensor systems as may be necessary, subject to final approval by Licensor.  For the sake of clarity, this excludes the non-sb NexGen, Advantage Systems, and TITO systems.

Licensee Developed Applications means software applications that are all of the following 1) developed by Licensee; 2) utilize the Licensed APIs and Protocols under this Agreement or the Licensor Licensed IP pursuant to the Retrofit License Agreement; and 3) are deployed on the casino floor through an Licensor sb System or PlayerVision Device (defined below).

Intellectual Property means all intellectual property rights including all past, present and future rights in patents, industrial property rights, copyrights, trademarks, and trade secrets.

“Electronic Gaming Machine” or “EGM” means the entire electronic or electro-mechanical device including the peripheral components housed in its enclosure that is primarily designed and used for Gambling, and that has all of the following characteristics (a) is used by the player to input the wager amount and otherwise initiate game play; (b) displays the amount wagered, the outcome of the wager, and the credit amount available to the player; (c) displays the outcome of the Gambling event to the player within five minutes of initiating the wager; and (d) is provided to the player by the EGM operator.

Field of Use
Field of use is for the purpose of designing, developing, and implementing software applications for delivery through PlayerVision Devices and Licensor sb Systems relating to gambling with the electronic gaming machine.

Gambling means playing or exposing for play any activity or event involving a wager or a placing at risk a sum of money or other representative of value, whether or not redeemable for cash, on an occurrence the outcome of which is uncertain, including events that include some element of skill (e.g., sports, card games, and racing).  The award corresponding to the outcome of such event or activity can be cash or any other prize.

Electronic Gaming Machine or EGM means the entire electronic or electro-mechanical device including the peripheral components housed in its enclosure that is primarily designed and used for Gambling, and that has all of the following characteristics (a) is used by the player to input the wager amount and otherwise initiate game play; (b) displays the amount wagered, the outcome of the wager, and the credit amount available to the player; (c) displays the outcome of the Gambling event to the player within five minutes of initiating the wager; and (d) is provided to the player by the EGM operator.  The definition of an EGM is limited to the device in close proximity to the player and does not include supporting software and servers remote from the device.
