License Grant

The Company was granted the rights to use certain Licensor patents, trademarks and know-how to manufacture and sell certain products and substances.

License Property

The Licensee develops, manufactures, and markets proprietary fire resistant building materials branded as Blazeguard®. The award-winning Blazeguard wood panel uses a patented, non-toxic, non-combustible coating with an extraordinary capability it releases water when exposed to the heat of fire.

License Grant

The Company entered into a license agreement with an individual as licensor (who has since deceased and his wife has succeeded in interest), and the Company, as licensee, whereby the licensor granted to the Company (i) an exclusive right to exploit within the continental United States, certain inventions, technology, know-how and patent rights relating to a fire retardant urethane coating which provides a vapor barrier, and improvements thereto, and (ii) the joint patent rights to manufacture, use, sell and sublicense the Technology; certain chemical compounds which management believes can be used to manufacture the following products (i) a fire retardant coating, (ii) a vapor barrier and (iii) a radon barrier.

License Property

Based upon the Company’s analysis and testing, it believes that (i) the fire retardant coating should be able to be used with a regular paint brush or paint gun and should be effective in preventing against fire with most building surfaces, (ii) the vapor barrier viscous plastic coating should be an effective water tight coating for use on cement foundations, and (iii) the radon barrier should effectively encapsulate radon.

The rights granted relate to preventing fire with most building surfaces.

License Grant

Suppliers, a Singapore Company, the inventors and owners of the trademark and the Hartindo Fire Inhibiting AF21 product, grant the Buyer exclusive rights to mix or blend in accordance with instruction and approval of the Suppliers, when combined with the Buyers proprietary products to create an enhanced fire inhibiting product for use on and/or in any wood based material.  The grant includes the co-exclusive use of and rights within the USA and Canada to use the Product as a component of the Enhanced Products; exclusive use of and rights within the entire world, to advertise, promote, display, market, distribute, sell and have sold Enhanced Product for use on or in wood based products and exclusive use of and rights to advertise, promote, display, market, distribute, sell and have sold products that have been protected with the Enhanced Product; and exclusive use of the Product Technology and Application Technology in connection with the foregoing. Agreement shall have an initial term of years commencing on the date of this Agreement and shall automatically renew annually for additional one year term upon Buyer reaching minimum order requirements.  During the term hereof, Buyer shall mix and blend with instruction and approval of the Suppliers, and or purchase, accept from and pay  The Supplier for, one hundred percent of Buyer's requirements for Product. Buyer is required to purchase the minimum quantities as set forth.

Description of AF21
Hartindo AF21 is a water-based, environmentally friendly, multi-purpose, non-toxic and non-corrosive fire inhibitor.  For the terms of this Agreement, AF21 raw materials or completed product will be shipped to the Buyer in a non-diluted, concentrated form in totes containing minimum of 245 U.S. gallons of concentrated AF21.

EcoBlu Proprietary Product
EcoBlu formulation is a blend of proprietary polymers and or adhesive based chemicals and DOT to afford resistance to fire, mold, wood-rot and termite infestation.

Description of Enhanced Product
The Enhanced Product will consist of a blended solution containing the above AF21 Concentrated solution, the above EcoBlu Solution and water at a rate to be determined by EcoBlu Products, Inc. preliminary testing has identified that a ratio of 4 parts AF21 Concentrate, 1 part EcoBlu solution and 5 parts water.

License Grant

Licensor hereby grants to German Licensee a non-exclusive license under the Licensed Patents to practice the processes and to make, use and sell products covered by the claims of the Licensed Patents.

License Property

The Licensor develops clean tech, EcoBloc-enabled, ultra-violet (UV) curable coatings. The Company's markets include electronics, steel, construction, automotive and trucking, paper products and original equipment manufacturers (OEMs).

A U.S. company, specializing in the discovery and development of nanotechnology-enabled, ultraviolet-curable advanced coatings, announced it has entered into a license agreement with German-based chemical company.

Under the terms of the license agreement, licensor is providing licensee with a non-exclusive license for use of its patents, EP 1 723 180, US 7,323,248, US 7,153,892 and US 7,498,362.

* Patent EP 1 723 180 pertains to a coating for metal objects and can be used on automotive parts and many other industrial articles. The coating is especially useful for metal objects with rubber or plastic parts that would be damaged by heat.

* Patent US 7,323,248 pertains to a coating for fiberglass panels. It applies to a wide variety of panels, especially those used in shopping malls, as it is resistant to sunlight and graffiti can be easily removed.

* Patent US 7,153,892 pertains to a coating for olefin plastics, such as car bumpers. A major benefit of the coating is its ability to adhere without a primer.

* Patent US 7,498,362 pertains to a coating for metal objects. It is very similar to the European patent, but for use in the United States.

A variety of consumer, scientific, and industrial products utilize composite materials, such as fiberglass, in a variety of shapes and forms. Coating such composite surfaces with solvent based coating can be problematic due solvent incompatibility and environmental issues stemming from evaporation of the volatile solvent. Also, such coatings can require thermal curing, resulting in the need for curing ovens, and the associated energy expenditure to operate them. U.S. Pat. No. 4,721,734 describes the use of one-part UV curable compositions incorporating aliphatic urethane acrylates and acrylate monomers to produce non-yellowing coatings. U.S. Pat. No. 5,733,607 describes the use of UV curable coating on fiberglass.

Field of Use

The Licensee develops, produces and markets a high-quality range of innovative automotive OEM coatings, automotive refinishes, industrial coatings and decorative paints.

License Grant

Licensor, government organization, grants to Licensee a nonexclusive right and license to practice the Licensed Inventions throughout the Licensed Territory in the Building Materials Fields of Use for the life of the Licensed Patents commencing on the Effective Date of execution of this License and continuing until each Licensed Patent expires unless the License is sooner modified or terminated in whole or in part.  Note Should a partially exclusive license for the Field of Use become available, Licensor shall notify Licensee.

Licensed Patents means U.S. Patent No, 5,492,696 entitled Controlled Release  Microstructures; U.S. Patent No. 5,651,976 entitled Controlled Release of Active Agents Using Inorganic Tubules; and U.S. Patent No. 5,705,191 entitled Sustained Delivery of Active Compounds from Tubules, with Rational Control; and U.S. Patent No. 6,280,759 entitled Method of Controlled Release and Controlled Release Microstructures.

Field of Use

Field of Use means the use of Halloysite microtubules for the elution of biocidal, antifungal, or other antimicrobial agents for the prevention of growth of bacteria and/or mold in Building Materials in the residential, commercial, institutional, and healthcare construction products market. Specifically, the Building Materials subfields of use are limited to those listed below grouts, cements, paging materials, stuccos, and mortars; wallboards, and cellulose-based materials such as wallboard papers, wallpapers, particleboard, paneling, MDF paneling, plywood, chipboard, and ceiling tile; caulks, sealants and adhesives high pressure laminates, including wall, counter top and floor coverings or components thereof.

License Grant

The Licensor grants to the Licensee, with executive offices in Canada, for the consideration and on the terms and conditions contained in this agreement, an exclusive (with the exception of Licensor’s continuing right to sell to the Licensor’s Existing Customers and any customers not generated by Licensee, the “License Exception”) assignable, transferable, and sub-licensable license to and sell the License Products.

License Property

The Licensor is a manufacturer and distributor of commercial and industrial fluoropolymer and protective coating products. The fluoropolymer coatings invented, developed and manufactured by the Licensor are designed to provide 20-30 year protection to metals, wood, fiberglass and concrete. These proven coatings have specific application in the industries of space technology, oil exploration and production, commercial ship maintenance, amusement parks, construction, and building preservation.

Fluoropolymers are polymer materials containing fluorine atoms in their chemical structure.  The unique electronic structure of the fluorine atom gives the coatings excellent chemical resistance, weather stability, low surface energy, and extreme flexibility.  In addition, the fluoropolymers have the following properties  chemically inert; non-wetting; low coefficient of friction; low dielectric constant, nontoxic; non-stick; highly fire resistant; and high temperature ratings.  Originally developed to protect teak surfaces on boats, now the coatings can preserve brass, copper, stainless steel, silver and other metals from tarnish, rust or corrosion.  Coatings are produced for all types of substrates, including concrete and fiberglass.  Uses are in medicine, environmental conservation, energy solutions, space exploration, and civilian/military safety.
