License Grant
Developer hereby grants for the Term a non-exclusive, transferable, sublicensable right and license throughout the Territory to sell, advertise, promote, publicly perform, reproduce, modify, create derivative works, distribute, host transmit, display, and otherwise utilize the Licensed Game, Developer Brand Features and its and their associated Intellectual Property, through any and all online and offline media, for the purpose of and in connection with Licensee Sales (the Distribution License).  Distribution Agreement means a Distributor is granted the right to distribute, deliver, transmit, stream, resell or wholesale the Licensed Game on any Licensed Platform.
License Property
The Licensed Game is the video game developed by Developer currently known as Marauder, tentative title, including all bug-fixes, updates, upgrades, localizations and new versions released during the Term.

Developer Brand Features means the names, trademarks, trade names, service marks, service names, branding and logos proprietary to Developer or related to Developer and/or the Licensed Game.

Field of Use
The Licensed Platforms means any and all personal computer, mobile, tablet, video game console, interactive television, virtual reality, mixed reality, augmented reality and any other operating system on which video games are played, whether now known or hereafter devised, including PC, Apple Macintosh, Microsoft Xbox, Sony PlayStation, PlayStation VR and Vita, Nintendo Switch, Wii, Wii-U, DS and 3DS, Oculus and Valve/HTC Vive, Apple Macintosh, OS X and iOS devices including iPhone and iPad, Google Android devices and all future versions of each of the foregoing.

Distributor means the distributing counterparty to a Distribution Agreement, and includes the Apple App Store, Google Play, Amazon Appstore and Steam as well as regional distributors of mobile and personal computer applications, for example in developing countries.

License Grant
The Licensee entered into a Licensed publisher Agreement with the Licensor.   Under the Agreement, the Licensor granted the Licensee a non-exclusive License to publish, develop, have manufactured, market, distribute and sell software for PlayStation 3, in the United States and Canada.
License Property
When Licensee develops a concept for a game for PlayStation 3 and/or the PlayStation Vita, they are required to submit to the Licensor a written and completed concept submission form that includes details of the proposed game.

The Licensor then evaluates the proposed game and, if approved, the Licensee delivers to the Licensor an “Alpha” version of the game which includes all of the game’s features, along with disclosure about any hidden characters, cheats, “eater eggs,” bonus video and audio, and similar elements included in the Alpha version and/or intended to be included in the final release version of the game.

License Grant
Licensor grants to Licensee, during the Term and throughout the Territory, a nonexclusive, nontransferable, limited license to use the Intellectual Property Rights to develop Add On Content (or have Add On Content developed on Licensee’s behalf) for Distribution and Sale solely by Licensor.

This Add On Content Addendum to the Confidential License Agreement for the WII Console shall be deemed a part of the Agreement where Licensor grants to Licensee, during the Term and throughout the Territory, a license in and to the Add On Content, and all of Licensor’s Proprietary Rights associated therewith, sufficient to permit Licensee, its subsidiaries or third parties working on Licensee’s behalf, to advertise, market, Distribute and Sell the Add On Content in object code form.  Licensee shall not be in breach of this license grant if it advertises, markets, Distributes or Sells to any customer representing him or herself to be within the Territory, even if such customer is not in fact within the Territory.

License Property
The platform license agreement allows the Licensee a non-exclusive right to use, for a fixed term and in a designated territory, technology that is owned by the platform manufacturer in order to publish our games on such platform.

Add On Content means any new content for Games developed by or for Licensor and Distributed by Licensee.  â€œAdd On Content” shall be deemed a part of a Game, as defined in the Agreement.

Licensor Intellectual Property Rights means Proprietary Rights owned or licensed by Licensor (excluding any Intellectual Property Rights) in or relating to the Game or Add On Content.

System Updates mean upgrades, bug fixes, or additional features that modify the operating system of the Wii console and/or are designed to optimize or enhance the operation, performance, or security of the Wii Network Services or the Wii console.

Wii Points means the points which customers purchase from Licensee and its subsidiaries through means such as the Wii Shop Channel and points cards sold or distributed by Licensee’s promotional partners and authorized retailers and distributors, and that may be redeemed by customers to download Add On Content or other content.

Wii Shop Channel means the service provided by Licensee or Nintendo that is associated with the Wii console (or any successor consoles) whereby customers, through an Internet connection, can download content for such console upon a Sale to a customer.
