This invention relates generally to methods, devices and agents for the removal of nucleophilic toxins present in tobacco and tobacco smoke, without affecting nicotine delivery. Nucleophilic toxins are removed by the passage of tobacco smoke or air containing tobacco smoke through a nucleophilic toxin-removing filter device. Agents may also be incorporated into smoking and smokeless tobacco to prevent volatilization and absorption, respectively, of nucleophilic toxins. Dosimetry of nucleophilic tobacco combustion products is used to monitor toxin exposure.

The technology fundamental to Licensee is protected under U.S. Patent number 6,119,701, entitled 'Methods, agents and devices for removing nucleophilic toxins from tobacco and tobacco smoke'.   This invention provides methods, devices and agents for the removal of nucleophilic toxins present in tobacco and tobacco smoke, without the removal of nicotine. The filter element of a tobacco smoking device or an air filtration device used in conjunction with a tobacco smoking device may comprise chemical moieties reactive with nucleophilic compounds, or agents that trap nucleophilic compounds may be incorporated into the filter element of tobacco smoking device such as a cigarette, cigar, pipe, or in a separate filter through which tobacco smoke passes before entering the mouth. The agents may also be incorporated into air filters for removing tobacco combustion product toxins from room air. The agents may also be incorporated into smoking or smokeless tobacco to remove toxins.

Licensor is a global leader in plant research involving high-value genetic traits and increased crop yields.

The focus of the collaboration will include
(i) Creating a cutting-edge genetic database which utilizes the results of genomic analyses of several hundred existing, exceptional hemp/cannabis plant lines for use in the acceleration of the Company’s development and licensing of uniquely characterized and improved hemp/cannabis plants;

(ii) Enhancing genetic variation to empower Licensee’s development of new and significantly improved varieties of hemp/cannabis plant lines and varieties with highly desirable cannabinoid profiles optimized for medicinal or therapeutic applications;

(iii) Creating a proprietary and industry-leading high-resolution “molecular genetic map” of the entire cannabis plant genome to facilitate rapid, cost-effective breeding of innovative varieties of hemp/cannabis plants with distinctive agronomic traits;

(iv) Analyzing the genomic sequences of multiple species of the hemp/cannabis plant and identifying shared genetic markers, allowing Licensee to develop improved commercial hemp/cannabis plant lines more rapidly than through conventional plant breeding approaches; and

(v) Initiating the rapid-cycle generation of hemp/cannabis plant lines with distinctive cannabinoid and terpene profiles to create elite lines.

Field of Use
Field means any and all use of, research regarding, and/or commercialization of hemp and/or cannabis (all versions and types of the genus Cannabis Sativa L plant), and/or any parts thereof, for any and all purposes, including but not limited to human, medical, agricultural, veterinary, therapeutic and other such purposes.

Licensor provides Licensee access to a unique suite of crop innovation platforms, including genomics, molecular genetics, trait discovery and breeding technologies.

Assignor shall contribute the Patents to Assignee by executing the Recordable Assignment of Patents. Patents means (a) the patent and patent applications identified;  (b) all patents and patents application to which any of the patent listed in clause (a) of this definition directly or indirectly claims, or forms the basis for, priority or filing benefit anywhere in the world; (c) all reissues, reexaminations, extensions, continuations, continuations-in-part, continuing prosecution applications and divisions of any of the items listed in clause (a) or (b) of this paragraph; (d) all international or foreign counterparts to any of the items listed in clause (a), (b), or (c) of this paragraph, including utility models, inventors’ certificates, industrial design protection and any other form of government grants or issuances; (e) all patents that issue from any of the items listed in (a), (b), (c) or (d) of this paragraph; (f) rights to apply in any or all countries or territories in the Region, for patents, certificates of invention and utility models, claiming any inventions, invention, invention disclosures or discoveries that could be claimed in any of the Patents; and (g) all causes of action (whether known or unknown or whether currently pending, filed, or otherwise) and other enforcement rights under, or on account of, any of the Patents and/or the rights described in (a), (b), (c), (d), (e), or (f) of this Paragraph. The field of use is for growing and incubating innovative and profitable nicotine products into mature, dominant brands to be distributed for sale and resale to both retail level customers and non-retail level customers.

Licensee is a distributor of certain electronic nicotine delivery systems and related components.
