License Grant
Letter Agreement Dated October 23, 2008 provides for a world-wide, exclusive, irrevocable, assignable, sublicensable License to commercialize and exploit the VSUL IP in the environmental, agricultural, gemology and jewelry fields of use.  The Company is a development stage company engaged in the business of commercializing products and services based upon our spectral signature technology as reflected in our recently filed patent applications.
License Property
These patent applications pertain to the use of controlled illumination with specific bands of electromagnetic radiation, detection of returned electromagnetic radiation and data management in an innovative manner enabling our devices to establish a unique spectral signature for both individual and classes of items.  

The Company believes that its technology has the potential to provide a new, accurate and fast detection tool for critical applications such as national security, forgery/fraud prevention, process control, quality monitoring, brand protection, and product tampering.  The technology provides a means for non-invasive diagnostics of the human condition. We believe color, at the photon level, is nature's ultimate identifier.

License Grant
The Licensor hereby grants to the Licensee a non-exclusive, worldwide, non-transferable, sublicensable, royalty-bearing right and License to do the following within the Fields of Use during the Term (a) incorporate and utilize the Licensor's Software in Licensed Products; (b) make Improvement to the Software; (c) incorporate the Software and Improvement to the Software into Licensed Products; (d) grant subLicenses to Users to use the Software and Improvements to the Software in accordance with the terms and conditions of this Agreement. Licensee may only subLicense rights to the Software directly to Users within the Fields of Use and may not market or distribute the Software through any third party.  No User will have the right to further subLicense or distribute the Software to or through any third party.
License Property
The Licensor is a development stage company engaged in the business of commercializing products and services based upon our spectral signature technology as described below and reflected in our patent applications filed in 2007. These patent applications pertain to the use of controlled illumination with specific bands of electromagnetic radiation, detection of returned electromagnetic radiation and data management in an innovative manner enabling our devices to establish a unique spectral signature for both individual and classes of items. The unique spectral signature data can potentially be used in a variety of applications in areas such as brand protection, forgery detection, homeland security, medical diagnostics, quality control, fluids monitoring, metal stress analysis, and many others.

'Licensed Product' means any product or service that includes the RatLab Software.
'RatLab Software' means the computer code (both source code and object code)

License Grant
The Licensor, a pioneer provider of industry-leading color based identification and diagnostic solutions, announced it entered into a Commercial License Agreement with the Licensee for development of environmental diagnostic applications of its Spectral Pattern Matching technology. The License Agreement, which is exclusive for environmental applications, is perpetual and lasts until the Licensor IP expires. The Licensor's primary focus with its SPM technology is the multi-billion dollar security and authentication marketplace.

Today’s announcement is the first License Agreement for the SPM technology.  The Licensor's SPM technology, with its ability to map color at the photon level both within the humanly visible spectrum as well as in the near infra-red and near ultra-violet, can be used as a diagnostic tool for a host of environmental applications.  These include determining the presence of foreign substances such as oil in water and determining water quality among many others.
Field of Use
SPM technology has broad applicability to a number of fields of use outside the security and authentication marketplace including medical, agricultural and environmental diagnostics.
