Licensor grants the right and license to use the equipment owned by Licensor solely for use on Licensor’s behalf, for Licensee’s own limited use in the production of Licensor Products or Licensed Products.
Licensor sells, assigns, conveys, transfers, and delivers to Licensee, and Licensee acquires from Licensor, free and clear of all liens, all of Licensor’s right, title, and interest in and to the alloys.
Licensor grants during the Term of this Agreement and subject to the Field of Use Restrictions, worldwide, non-transferrable, non-exclusive license to the Licensed Patents and the Licensed Technical Information to make and have made, assemble and have assembled, use, sell, offer to sell, import and offer to import, export and offer to export, distribute and offer to distribute, repair, reconstruct, practice, and maintain Licensed Products in the Field.
– Two (2) Engel e-motion 310/120 injection molding machines, and associated equipment;
– Two (2) Eontec 300-C Die Casting Machines, and associated equipment;
– One (1) Flow M21313B Waterjet Machine;
– Two (2) DMG Mori Milltap 700 CNC machines, and associated consumables and fixtures;
– Equipment for cut, mount, and polish analysis operations, including:
i.One (1) Struers Accutom-10 cut-off machine
ii.One (1) Struers Secotom-50 precision cutting machine
iii.One (1) Struers Tegramin-30 tabletop grinding machine
iv.One (1) Keyence VH X-S550E microscope
– Equipment required for vibratory deburring operations, including:
i.One (1) Rosler R 125 EC-KF rotary vibrator
ii.One (1) Rosler R 125 EC rotary vibrator
– Equipment required for passivation operations, including:
– One (1) ESMA, Inc. E782C ultrasonic cleaning system
– One (1) Dry Cooler D455 chill water system;
– One (1) MTS 810 MTS mechanical testing frame; and
– Molds and fixtures needed for production of sample parts.
The alloys are:
— Approximately three thousand kilograms (3,000 kg) of “virgin†LM105 Alloy
— Approximately one thousand kilograms (1,000 kg) of “virgin†106C Alloy
— Approximately two thousand kilograms (2,000 kg) of LM 105 Alloy revert
The patents and technology relate to New Amorphous Alloy Technology:
— New Alloy Technology means a New Amorphous Alloy Technology that concerns only the composition, properties, or raw material processing of Amorphous Alloys.
— New Process Technology means a New Amorphous Alloy Technology that concerns only the process of converting Amorphous Alloy raw material into usable or saleable parts or components, or equipment related thereto.
— New Application Technology means a New Amorphous Alloy Technology that concerns only customer end-uses for parts and components manufactured of Amorphous Alloys.
The collaboration, joint development efforts, and the manufacturing of products is based on the Licensor’s proprietary amorphous metal alloys. The Licensor has agreed to license to Licensee specified equipment owned by the Licensor, including two injection molding machines, two die casting machines, and other machines and equipment, all of which will be used to make product for Licensor customers and Licensee customers.
— Any Consumer Electronic Products
— Any watches or components for watches, and,
— Finished or semi-finished Jewelry, and also any other products that are sold under the name of a Luxury Brand or incorporated into products that are sold under the name of a Luxury Brand,.

Amorphous Alloy means any one or more amorphous or semi-amorphous alloys (i.e., metal-based alloys having a noncrystalline atomic structure in whole or in part) or bulk metallic glasses (or composite materials containing amorphous alloys or bulk metallic glasses).
The term Amorphous Alloy includes, but is not limited to, any and all alloys that now or in the future are proprietary to Licensor, including by in-licensing, or marketed or sold under the Liquidmetal® brand (collectively, Liquidmental Alloys or Liquidmetal® Alloys).
Trademark shall mean the Liquidmetal® mark.
The Licensor entered into a transaction with the Licensee, a South Korean corporation, under which the Licensee agreed to purchase from the Licensor various equipment (including die casting machines and vacuum induction melters) used in the bulk amorphous alloy business segment and the Licensor granted a 10-year exclusive License to manufacture products made from bulk Liquidmetal alloys for customers whose principal headquarters or whose major operations are located in South Korea. The Licensor is a materials technology company that develops and commercializes products made from amorphous alloys. Their Liquidmetal® family of alloys consists of a variety of proprietary coatings, powders, bulk alloys, and composites that utilize the advantages offered by amorphous alloy technology.
