For the first option, Licensor and third party grant a non-exclusive, worldwide license, under the Licensor Console Program Intellectual Property required to use, manufacture, have manufactured, market, offer for sale, sale, import or export Licensor Consoles, solely for using, manufacturing, marketing, offering for sale, selling, importing and exporting Licensor Consoles for use with non-expandable member catheter-based cryotherapy devices developed by Licensee, either on a stand-alone basis or as part of Bundled Products.
Cryo Balloon means Licensors cryo-therapy balloon.
Cryo Console means Licensees automated console generator developed pursuant to the Program to deliver N2O to the third party Cryo Balloon at or below 750psi, including any modifications or improvements made thereto by any party in the course of the Program or by third party, Licensor or any of their Affiliates pursuant to any license granted under this Agreement. Cryo Console does not include any Licensees console that cannot be used with third party Cryo Balloons or any upgraded console developed by Licensee after the Program has been completed.
Bundled Product means a Product and other products that are not Products either packaged together for sale or shipment as a single unit or sold together in a kit, where the purchaser is charged a single individual purchase price for such combination of products.
Cryoablation balloon catheter is a form of catheter ablation which uses cryo, or freezing, energy rather than heat to precisely disable heart tissue that causes irregular heartbeats.

For the second option Licensor grants a co-exclusive with Licensor, worldwide license under the Licensors Second Option Intellectual Property, any Licensor Program Intellectual Property and Licensors interest in any Joint Program Intellectual Property solely for using, manufacturing, having manufactured, selling, commercializing, importing and exporting Cryo Consoles in the Field.
Cryo Balloon means third partys cryo-therapy balloon.
The third party Console means an automated console generator developed by Licensor pursuant to the Program which delivers N20 to the third party Cryo Balloon at greater than 750 psi and up to 900 psi, as improved or modified by any party in the course of the Program or by third party, Licensee, or any of their Affiliates during the term of this Agreement.

Cryoablation is used in a variety of clinical applications using hollow needles (cryoprobes) through which cooled (from a peripheral freezing unit), thermally conductive, gases and fluids are circulated. Cryoprobes are inserted into or placed adjacent to tissue which is determined to be diseased in such a way that ablation will provide correction yielding benefit to the patient. When the probes are in place, the cryogenic freezing unit removes heat ('cools') from the tip of the probe and by extension from the surrounding tissues.
