License Grant

Hong Kong Licensor grants to Licensee a non-exclusive, non-transferable, royalty-free, world wide license to use Licensor technology (and any Party A technology licensed by Licesor) associated with IP telephony, solely for the purpose of assuring that Licensor IP telephony products properly operate with Licensee products with a clause stating a royalty payment due as a result of termination for cause.

Licensor grants to Licensee associated right to load firmware as mutually developed, verified and released for end user installations to the phones via the Shoreware server.

License Property

The Product is several models of IP telephones.  Voice Over IP (VoIP) endpoint products and associated software is being designed to be used and deployed with Licensee IP based communication products being developed for certain markets.

The general Intellectual Property (“I.P.”) Philosophy is Licensee shall own the I.P. for the Industrial Design provided to Party A, and licenses Party A to use such for the S1, S2 and S6 IP phones.

Field of Use

This agreement pertains to the communications industry relating to electronics and data communications equipment.

Licensee is a developer of IP based voice communications systems for enterprise customers and is developing the Licensee line of IP based communications systems and software.

License Grant

The Company entered into a patent License Agreement with a third party.

Field of Use

Licensee designs, develops and markets technologies and products for enabling the transmission of voice data voice over IP  gateways and ATM access devices over packet networks. The Company's products are designed to enable customers to build packet voice networking equipment that provides comparable communication quality to that of the traditional telephone networks.

License Grant

Included with the joint venture agreement is a Technical License.  The Japanese Licensor grants the Chinese Licensee a non-exclusive, non-transferable right and license to utilize Licensed Technology only for the purpose of development, manufacture and sale of the Products within the territory of Peoples Republic of China.

License Property

The product means Base Transceiver Station or BTS, designed and developed by or for Licensor, to be combined or integrated with radio network controller to be a part of infrastructure or mobile communications.

The Licensed Technology shall mean the following items
( 1) Manufacturing engineering technology
(2) Technology enabling use of Base Transceiver Station or BTS including system integration
(3) Development for interface, mechanical design, etc.
(4) Testing, measuring technology
(5) Printed circuit board engineering
(6) Quality assurance technology
(7) Object code for core software and related documentation
(8) Repairing technology

License Grant

Japanese Licensor hereby agrees to grant to Licensee an indivisible and non-transferable right (i) to have Party A, by the good office of Licensees subsidiary, assemble and manufacture the Products for sale or distribution thereof in the territory under the Know-How and intellectual property rights, and (ii) to have Licensees subsidiary sell or distribute the Products in the territory so assembled and manufactured by Party A. Licensee agrees that it shall have no right (i) to manufacture or (distribute the Products and ii) to sublicense to any third party the right granted hereby except with the prior written consent of Licensor, and it shall cause Licensees subsidiary and EASTCOM to abide by the terms and conditions as set forth hereunder. In case Licensee desires to appoint another party to assemble and manufacture the Products, both parties shall discuss and agree the terms and conditions for such appointments.

License Property

The term Products means only such models of the products, which are listed and carrying the trademark ''UTStarcom' or other marks owned by Licensee or other marks designated by Licensee upon prior written consent of Licensor.  Licensor will not refuse the use of such designated marks without a reasonable reason.

The term Intellectual Property Rights means any or all rights in the territory under patents, utility models, designs, and copyrights, which Licensor owns as of the date of this Agreement in connection with the Products. For the avoidance of doubt, Intellectual Property Rights does not include any rights of trademark.

Licensor of Hong Kong hereby grants to Licensee a non exclusive right and non-transferable license, including the right to grant sub-licenses to its subsidiaries.

License Property

Licensor is the exclusive owner of U.S. patent # 8,089,943 and has developed certain proprietary technologies for use by GMT in offering location-based advertisement supported mobile microblogging applications and services.

The License Agreement relates to how data stored in an array of protocols are converted and seamlessly integrated into value-added solutions in different formats and transmitted to mobile phones.

The platform provides the essential business logic, platform intelligence and central management that drives the platform and enables the application of flexible business models. We have achieved our objective by integrating our platform with internal and external enablers that are embedded in our advertising server (ad server). Our platform enables the conversion of media (text, voice, video and graphics) into value-added solutions in different protocols and formats that are seamlessly integrated for transmission to mobile phones.

License Grant

Included with the joint venture agreement is a Technical License.  The Chinese Licensor grants the Chinese Licensee a non-exclusive, non-transferable right and license to utilize Licensed Technology only for the purpose of development, manufacture and sale of the PRODUCTS within the territory of Peoples Republic of China.

The product means Radio Network Controller or RNC as part of infrastructure of advanced mobile communications.

The Licensed Technology shall mean the following items
( 1) Manufacturing engineering technology
(2) Technology enabling use of RNC including system integration
(3) Development for interface, mechanical design, etc.
(4) Testing, measuring technology
(5) Printed circuit board engineering
(6) Quality assurance technology
(7) Object code for core software and related documentation
(8) Repairing technology

This agreement is for the mobile telecommunications industry.

License Grant

The Company has been granted the non-exclusive right to market and sell the ATM Technology in the United States and Canada, subject to the terms of the ATM License Agreement. Our rights to the ATM Technology under the Sub-Contract are subject to the risk of default by Comtel under the ATM License Agreement with Telstra.

License Property

Asynchronous Transfer Mode Technology ('ATM' or 'ATM Technology') has the potential to deliver 'virtual' Internet services to users at substantially increased speeds and at lower costs than other technologies.  ATM offers real-time multimedia services to both consumers and commercial enterprises. The Company believes ATM will significantly enhance corporate and consumer communications, including video conferencing, interactive audio, and audio/visual distribution and retrieval. We believe that focusing on the development and delivery of our ATM offerings will put us in a position to take advantage of the enormous opportunity for Voice on Demand, voice, data and Internet services.
