License Grant
Licensor grants to the China Licensee a permanent, irrevocable, non-exclusive, non-sublicensable, worldwide, non-transferable license to design, develop, manufacture, have manufactured, make, have made, use, include in downstream products, sell or otherwise distribute products using Licensor DVD Technology, Licensor Servo Technology, and Licensor Navigation Technology.

License Property
Licensed Technology means Licensor DVD Technology, Licensor Servo Technology, Licensor DVD Navigation Technology, Phoenix 2 Data Base, and LMX 2 Data Base, collectively, as well as any confidential information provided to Licensee under the Agreement.

The Phoenix II processor is a single-chip DVD processor supporting DVD video, MPEG-4 ASP and DivX® Home Theater playback.

Phoenix LMX II is a single-chip DVD processor supporting DVD video, MPEG-4 ASP and DivX® Home Theater playback. Its advanced memory architecture supports video decoding with the built-in SDRAM.

Licensor DVD Technology means all hardware and software intellectual property in DVD products owned by Licensor. Hardware intellectual properties include Licensor design methodology, chip architecture, and functional blocks, including but not limited to Servo, Video encoder, MPEG1/2/4 decoder, USB, JPEG, CPU, DSP, PWM, Audio DAC, Video DAC, etc. Software intellectual properties include but are not limited to firmware in CPU and DSP, application software, GUI, OSD, etc.

Licensor Servo Technology means the Licensor servo processor owned by Licensor interfacing with laser optical pickup and disc/tracking motor drive(s) to provide data stream(s) to backend processing circuitry. It includes all related hardware and software intellectual properties and Licensor source code owned by Licensor and embedded in Phoenix 2 and LMX 2 database.

Licensor DVD Navigation Technology means Licensor navigation source code owned by Licensor and embedded in the Licensor reference DVD platform for Phoenix 2 and LMX 2.

Phoenix 2 Data Base means documentation, algorithms, source codes and files in RTL, simulation, layout, and test patterns, as well as a chip development environment (i.e. FPGA board, schematics and layout files) and chip validation environment (i.e. test and system level board schematics and layout files).

LMX 2 Data Base means documentation, algorithms, source codes and files in RTL, simulation, layout, and test patterns, as well as a chip development environment (i.e. FPGA board, schematics and layout files) and chip validation environment (i.e. test and system level board schematics and layout files).

Phoenix 2 Product means an integrated circuit that contains both Licensor Servo and Licensor MPEG circuitry from Phoenix 2 Data Base.

License Grant
The Company grants to Licensee, and Licensee the following royalty-free, indivisible, non-exclusive and non-transferable rights to use the Technology to: purchase the Device from Authorized Component Suppliers; incorporate in the Territory, or have incorporated in the Territory on a subcontract basis for the benefit of Licensee, the Device within one or more Products; and use, import, offer for sale, sell and distribute Products worldwide, for use in implementing the Process with program material which has been Copy Protected under agreement with Macrovision, directly or indirectly to consumers solely under Licensee's own brand names; provided that Licensee also has the worldwide right to physically dispose of defective Product after it has been destroyed.

Field of Use
Licensee will incorporate the Technology in each DVD player, DVD recorder, DVD ROM drive and DVD-related card, circuit board or reference design which it produces or has produced for it. Nothing in this Agreement prohibits Licensee from also incorporating any other form of anticopy technology, whether existing now or in the future, into its Products, or from incorporating the Technology into DVD players, DVD recorders, DVD ROM drives and DVD-related cards or circuit boards which do not have the capability to decrypt digitally encrypted video discs.

The definition of 'Integrated Circuit' shall also include any and all firmware, microcode or drivers, if adapted to cause such circuit to perform substantially all of its intended hardware functionality, whether or not such firmware, microcode or drivers are shipped with such integrated unit or installed at a later time.

Microprocessor means an Integrated Circuit (including, without limitation, digital signal processors, microprocessors, microcomputers, math coprocessors, and microcontrollers) containing functional elements including but not limited to registers, control logic, decision logic, input/output circuitry, interconnections such as data buses, address buses, or control buses and having a capability of executing temporarily or permanently stored program instructions or microinstructions, and which also may have other elements on the integrated circuit, including but not limited to memory, clock circuitry, input/output interface circuitry, memory controller, graphics circuitry and/or other functions ordinarily associated with or connected to central processing units.

AMD MICROPROCESSOR means a MICROPROCESSOR that (i) is designed solely or jointly by or for AMD, and (ii) is either (x) manufactured by AMD or (y) manufactured for AMD by a third party in compliance with provisions of Section 3.2 hereof. 'AMD MICROPROCESSOR' also includes any PC BOARD that (i) is designed solely or jointly by or for AMD, and (ii) is either (x) manufactured by AMD or (y) manufactured for AMD by a third party in compliance with provisions of Section 3.2 hereof, provided that the MICROPROCESSOR cooperating socket or other MICROPROCESSOR connection means on the PC BOARD has been designed to work with a MICROPROCESSOR.

PC BOARD means a printed circuit board, including but not limited to add-on cards (e.g. daughter cards) that has been designed primarily for use in supporting a MICROPROCESSOR and which has at least one cooperating socket or other connection means for such MICROPROCESSOR.

LICENSED PRODUCT means a product with or into which an AMD MICROPROCESSOR is combined.

License Grant
Licensor hereby grants to Licensee and Licensee hereby accepts a personal, nonexclusive, worldwide, revocable, non-transferable, and non-assignable right and license to make, have made, use, modify, market, sell and distribute the Licensor Chips provided that: (a) Licensor Chips are implemented in CMOS and CMOS-Derivative Technologies, and such other process technologies as the parties may hereafter agree (the parties acknowledge that such other process technologies cannot include circuit design and mask layout of non-CMOS and non-CMOS derivative technologies not available to Licensee for license by Licensor); and (b) Licensor Chips are those to which Licensor has the right to license Licensee without the payment by Licensee of compensation to a third person, except that if payment of such compensation will enable Licensor to license such rights to Licensee, Licensor will use reasonable commercial efforts to acquire such rights for Licensee, and Licensee shall pay the minimally required compensation. Licensor represents that no such compensation is payable to a third person for Original Licensor Chips, Original Modified Licensor Chips, Original Superset Licensor Chips, and Original Unmodified Licensor Chips.

Licensor hereby grants to Licensee and Licensee hereby accepts a personal, non-exclusive, worldwide, revocable (only in accordance herein, non-transferable right and  license to use Licensor Tools for Licensees Internal Use only.

License Property
Licensor Chip(s) – means (a) those integrated circuit central processor product(s) using Licensor Technology and employing proprietary Licensor Architecture or Licensor Designs, in whole or in part;  (b) integrated circuit arithmetic co-processor product(s) designed by or on behalf of Licensor to connect with and operate with a Licensor Chip central processor unit; and (c) integrated circuit bus interface management product(s) designed by or on behalf of Licensor to connect with and operate  with a Licensor Chip central processor or Licensor Chip co-processor Notwithstanding the foregoing, nothing in this definition shall require Licensor, or be deemed to create an obligation on the part of Licensor, to create develop or acquire any particular Licensor Chip referred to above.  Licensor Chips do not include those custom  chips designed by or on behalf of Licensor exclusively for a third party, custom chips substantially funded by a third party,  Licensors  authorized original equipment  manufacturers, or its product.  By way of example only, the parties  acknowledge and agree that Licensor Chips do not include the Magic Carpet media co-processor or any graphics processor or central processor unit developed for Nintendo Co., Ltd., Nintendo of America Inc. or exclusively for Licensor.

Licensor Technology – means any patents, patent applications, mask work rights, copyrights, and other statutory rights which are necessary or required for any of the activities contemplated to be performed by Licensee pursuant to this Agreement including, but not limited to, designing, manufacturing, using, selling, installing, repairing or maintaining, the Licensor Chips, Licensor Systems, or Licensor Commercial Software which is owned by Licensor or licensed by Licensor from any third party as of the Effective Date or thereafter (except for the licenses from AT&T, the Regents of the, University of California, Sun Microsystems, and any other licenses with respect to which Licensor has no right, or must pay a royalty or other fee to grant licenses of the scope granted in the Agreement).  Licensor Technology includes the Licensor Architecture and Licensor Designs contained within any Licensor Chip.

Licensor Designs – means a  microprocessor  now or at any later time during the term of this Agreement  developed or co-developed by Licensor and licensable from Licensor by Licensor Semiconductor Partners (excluding those designs funded by a third party, developed substantially in their entirety on a custom basis for the use of such third party or Licensor and not generally made available to any other third party) employing the Licensor Architecture.  By way of example only, the parties acknowledge and agree that Licensor Designs do not include the Magic Carpet media co-processor or any graphics processor or central processor unit developed for Nintendo Co., Ltd., Nintendo of America Inc. or exclusively for Licensor.

Licensor Architecture – means those Licensor instruction set architectures for which Licensor offers  nonexclusive  licenses  to more  than one Licensor Semiconductor Partner for use in products for sale to the open market.  In general, Licensor Architecture relates to the RISC-based Licensor computer organization, structure and content, or portions thereof, as designed and enhanced by Licensor, including but not limited to, the Licensor I, Licensor II, Licensor III, Licensor IV, Licensor V, Licensor 16 and the MDMX instruction set architectures and interface specifications.
