Field of Use
Field shall mean the uses of the Licensed Products in the discovery, validation, development and production of new and/or improved flavor modifiers for human and veterinary uses in combination with pharmaceutical formulations, nutritional supplements, foods and feed supplements to enhance or inhibit specific taste sensations.

License Grant
The Parties will work collaboratively in deriving Collaboration Compounds from chemical libraries, novel chemical synthesis and natural products libraries, selecting certain Selected Collaboration Compounds (SCCs), optimizing SCCs through development and regulatory approval to become Licensed Compounds.

The Swiss Licensor will use reasonable efforts to assist Licensee in the manufacture of Licensed Products containing Licensed Compounds which are Bitter Blockers Compounds for use or commercial exploitation outside the Field, provided such assistance does not contradict Licensees commercial interests. In any event, such assistance may only be granted against appropriate remuneration and subject to a separate agreement to be negotiated in good faith.

The parties are developing compounds to improve the taste of pharmaceutical, food and beverage products.

Licensed Product means a Simple Product or an Incorporated Product.

SCC or Selected Collaboration Compound, means a Collaboration Compound that is selected by the Steering Committee pursuant to this agreement for development under the Development Plan.

Incorporated Product means a flavour or food ingredient system containing a Licensed Compound.

Licensed Technology means, with respect to a Licensed Compound, all Licensee Technology owned or Controlled by Licensee as of the date of the license grant by Licensee to Licensor pursuant to this agreement, that is necessary for making, having made, use, sale, and offer for sale of such Licensed Compound.

Licensed Compound means a SCC that is licensed and provided by Licensee to Licensor pursuant to this Agreement.

Bitter Blocker Compound means a compound that blocks or desensitizes bitter taste as determined by a human taste panel evaluation.

Enhancer Compound means a compound which enhances sweetness or savory sensation as determined by human taste panel evaluation.

Field of Use
This agreement pertains to sweetness and savory enhancers, as well as bitter blocker compounds, for use in the food and  beverage industry.

Field means all uses in foods and beverages by human or animals. For clarity, “Field” shall not include any use as nutritional supplements, dietetics, nutraceuticals, prescription and non-prescription medicines. License Grant
Licensor grants to the United Kingdom Licensee with respect only to the CART Identified Ingredients, an exclusive right and license, exclusive even as to Licensor, to make, have made, use, have used, further develop, improve and otherwise exploit in any manner, including the right to sub-license, the CART Identified Ingredients within the Field.

Field of Use
The parties desire to collaborate to identify broad-spectrum modulators of specific G protein-coupled receptors to enhance the discovery processes in the fragrances, flavors and food industry.

The Field means the non-therapeutic, non-insecticidal, non-herbicidal, non-medicinal uses of CART Identified Ingredients for modulation of Sensory GPCRs; for purposes of clarity, the definition of Field includes, but is not limited to, aroma-based therapeutics.

Licensor primarily focuses the application of CART to GPCRs that are believed to be therapeutically relevant, i.e. targets for use in the discovery of potential human therapeutics. However, because all GPCRs have the same structural shape, CART can be applied to non-therapeutic GPCRs as well as non- human GPCRs such as plant and insect GPCRs. 'Olfactory' and 'gustatory' GPCRs, those that are the subject of the agreement with Licensee, are involved with the processing of both odor and taste sensations, respectively. An objective for applying CART to these types of receptors is to identify chemical compounds that may affect odor and flavor.

Olfaction is a chemoreception that forms the sense of smell. And gustatory is concerned with tasting or the sense of taste.

During the Collaborative Period, Licensor will collaborate with Licensee in the Collaborative Program on an Exclusive basis in the Soy Protein Field.

Licensor hereby grants to Licensee the following rights
(i) an Exclusive, nontransferable, worldwide license under the Licensor Technology, to use Compound(s) discovered under the Collaborative Program for evaluation during the Collaborative Period in the Soy Protein Field;

Licensor hereby grants to Licensee an exclusive option to obtain (i) an Exclusive, nontransferable, worldwide license under the Licensor Technology, to use such Selected Compound(s) for the intended purpose of blocking Vegetable Bitter Tastant( s) in one or more Vegetable Proteins for pre-commercial development of Products in the Vegetable Protein Field]; and (ii) an Exclusive, non-transferable, worldwide license under the Licensor Technology to make, have made, use, sell, offer for sale, have sold, import and export Products [in the Vegetable Protein Field that contain such Selected Compound(s) for the intended purpose of blocking Vegetable Bitter Tastant(s) in one or more Vegetable Proteins.

License Property
Collaborative Program means a research and development program during the Collaborative Period to discover and develop molecules that block the bitter taste of Soy Bitter Tastants isolated from soy protein.

Soy Bitter Tastant(s) means the primary molecule(s) isolated from soy protein responsible for the bitter taste of soy protein.

Compound(s) means molecules synthesized or acquired in the course of the Collaborative Program wherein such molecules provide the desired bitter modulation properties for a Soy Bitter Tastant.  Such desired properties will be defined by the Steering Committee. Selected Compound(s) means the Compound(s) selected by the Steering Committee for development.

Vegetable Bitter Tastant(s) means the primary molecule(s) isolated from Vegetable Proteins responsible for the bitter taste of the Vegetable Proteins.

Vegetable Protein(s) means [plant and vegetable protein(s), excluding soy protein.

Product(s) means a Licensee protein product(s) (or protein product of a Licensee Affiliate or permitted sublicensee) that incorporates a Selected Compound.

Licensor Patent Rights means any Patent Rights relating to Compounds, any Patent Rights relating to Selected Compounds, and/or any Patent Rights under Jointly Owned Technology, that are necessary or appropriate for purposes of the activities to be conducted under the Agreement, and which are Controlled by Licensor or its Affiliates as of the Effective Date or which become Controlled by Licensor or its Affiliates during the Term

Licensor Technology means the Licensor Patent Rights, and Licensor Know-How.

Field of Use
Soy Protein Field means (i) all foods for human consumption that contain added soy protein; and (ii) all foods for consumption by animals that contain added soy protein.  Notwithstanding the foregoing, the Soy Protein Field excludes Excluded Foods and the Pet Food Field. Pet Food Field means all foods for consumption by dogs and cats.

Vegetable] Protein Field means all foods for human consumption that contain at least one Vegetable Protein; and (ii) all foods for consumption by animals that contain at least one Vegetable Protein. Notwithstanding the foregoing, the Vegetable Protein Field excludes Excluded Foods and the Pet Food Field.
