Products means Instruments and Cartridges (including Licensor Instruments that have not been modified for use in the NASBA Field of Use, and pre-HTS Instruments), spare parts for such Instruments (“Spare Parts”) and Ancillary Disposables sold or transferred by a Party to the other Party under this Agreement.

Software means the Licensor software and firmware that is used to operate an Instrument to perform nucleic acid based analysis, and any necessary interfaces with the hardware and software of the end-user.

Instruments mean Licensors instruments, including Software, capable of carrying out a nucleic acid based analysis in the NASBA or Non-NASBA Fields of Use, in or with the use of a Cartridge or reaction tube, including Licensor’s GeneXpert and SmartCycler products, and the HTS, or any modified or improved version thereof.

Cartridge means a closed or substantially closed device, which may include a cartridge or reaction tube for performing Tests that contains, among other things, pelletized, dried or other type of reagents intended for single or multiple use sample preparation and nucleic acid analysis (including use in either the NASBA or Non-NASBA Fields of Use) and that is intended and suitable for insertion into, or use as a part of, or is a part or component of, or an attachment to, an instrument designed to hold such device and/or facilitate or enable its use, which instrument Licensor manufactures or has manufactured, including Licensor’s currently existing Instruments, or that can be used alone or with other instruments or devices, including the HTS, for such purpose.  For purposes of clarification, other ancillary disposables purchased by Licensee from Licensor for use with the Cartridges in performing a Test, but not contained in the Cartridge, such as buffer solutions, reagents, cuvettes, wash solutions, and so on (“Ancillary Disposables”), shall not be deemed to be included in the definition of Cartridge.

NASBA means Licensee’s proprietary isothermal, transcription-based nucleic acid amplification process, , involving the use of reverse transcriptase (“RT”), RNase H and RNA polymerase, substantially as described in U.S. Patent Nos. 5,130,238; 5,409,818; 5,654,142 and 6,312,298; EP Patents No. 0 368 906; 0 623 683 and 0373 960 and
foreign counterparts.

HAPâ„¢ Marker shall mean a polymorphism or any ordered combination of two or more polymorphisms present at a locus on a single chromosome that is contained in the Licensee HAPâ„¢ Database during the term of this Agreement or that is discovered from any gene where such discovery was made solely by employees of Licensee or others acting on behalf of Licensee, or, jointly by employees of Licensees or others acting on its behalf and employees of a HAPâ„¢ Partner or others acting on its behalf or for which a HAPâ„¢ Partner requests Licensee to develop genotyping assays or provide genotype data.

Licensor ProbeTecâ„¢ ET shall mean the clinical platform for infectious disease testing owned by Licensor using Strand Displacement Amplification Technology or SDA Technology and real time detection means.

Megaclone(TM) technology means the technology owned and/or controlled by Licensor for generating a population of microbeads having complementary DNA (cDNA) molecules attached wherein substantially every different cDNA molecule is attached to a different microbead of the population.

A Megaclone(TM) Library means a cDNA library which has been transformed using Megaclone(TM) technology into a population of microbeads each having attached a clonal population of a distinct cDNA molecule. As used herein, Megaclone(TM) technology does not include any process for attaching genomic fragments of DNA to microbeads or any other solid phase support.

Megasort(TM) Service means the analysis of genes expressed in different cell or tissue sources by Megasort(TM) technology.

Megasort(TM) technology means the technology owned and/or controlled by Licensor for detecting and isolating gene products, such as cDNA molecules, differentially expressed in two different cell or tissue sources by fluorescence activated cell sorting (FACS) analysis of a Megaclone(TM) Library to which differently labeled probes derived from the two different cell or tissue sources have been competitively hybridized.

Microarray means a solid phase support containing a plurality of discrete regions such that within each discrete region a single species of nucleic acid is attached. Said nucleic acid may be attached covalently or non-covalently by any method, including, but not limited to, deposition of a solution containing a separately synthesized cDNA, polynucleotide, or oligonucleotide, or in situ synthesis using ink-jet, photolithographic, or any other chemical technologies.

Microarray Spot means a discrete region of a Microarray in which a single species of nucleic acid is attached.

MPSS(TM) Service means the analysis of genes expressed in a cell or tissue by MPSS(TM) technology.

MPSS(TM) technology means the technology owned and/or controlled by Licensor for simultaneously generating signature sequences of cDNAs in a Megaclone(TM) Library disposed in a flow cell using the ligation-based sequencing method described in Brenner et al, Nature Biotechnology.

MPSS(TM) Instrument means an apparatus for carrying out the process steps of MPSS(TM) technology. An MPSS(TM) Instrument consists of the following modules Flow Cell including housing with heating and cooling system, optical/imaging system, fluid delivery system, control/monitoring system, and data collection software.

Diagnostic Product shall mean an assemblage of reagents, including but not limited to reagents packaged in the form of a kit, useful in performing a Licensed Service.

Licensed Service(s) shall mean the performance by Licensee of an in vitro procedure within the Licensed Field which utilizes the Licensed Technology. Licensed Services include, but are not limited to, any combination of the steps of collecting a sample for analysis, isolating nucleic acid sequences from the sample, amplifying one or more desired sequences, analyzing the amplified material, including sequence analysis, and reporting the results.

Field of Use
Licensed technology includes specified nucleic acid amplification processes, to perform certain polymerase chain reaction-based human in vitro clinical laboratory services.

Licensed Field shall mean the field of clinical laboratory services that detect the presence, absence and/or quantity of a nucleic acid sequence for the detection, diagnosis, confirmation, prognosis, management and/or treatment of a human disease or condition, including, but not limited to, such services to identify predisposition to disease, disease susceptibility, confirm disease, predict therapeutic effectiveness or monitor disease progress; used in the course of human clinical trials; for Parentage Determination; and for tissue transplant typing, including testing performed on animal tissue intended for use in xenotransplantation. Licensed Field shall specifically exclude any services performed for the screening of blood and/or blood products.

US 5,093,246 – RNA Ribozyme Polymerases, Dephosphorylases, Restriction Endoribonucleases and Methods

Ribozyme shall mean a nucleic acid molecule capable of catalyzing reactions including, but not limited to, site-specific cleavage and/or ligation of other nucleic acid molecules, cleavage of peptide and amide bonds, polymerization and transsplicing.

Ribozymes For Research shall mean Ribozymes required by Licensee for purposes of research and development of a Semi-finished Product, Product or Licensed Service, including those required under a Work Plan approved by Licensor.

Ribozymes For Products shall mean Ribozymes used in Semi-finished Products, Products or Licensed Services.

Product shall mean products designed, developed, and sold against a Target Disease by Licensee (or Licensor in the event of a reversion), or an Affiliate, Collaborator or Corporate Partner and which is generally in finished form and ready for end use without further substantial chemical alteration.

Licensed Services shall mean any service within the Field, other than the development, production and sale of a Product or Semi-finished Product, which is performed for a third-party by Licensee, an Affiliate or a sublicensee hereunder, and which includes use of a Semi-finished Product or Product or any invention, method, process, procedure or technology which is included, in whole or in part, in Licensor Technology.

Target Disease shall mean any one of the human diseases conditions for which a Work Plan has been approved by Licensor.

Semi-finished Product shall mean ribozymes or products which have not been substantially transformed by Licensee or an Affiliate into a Product and which are transferred to a Corporate Partner in an arms length transaction for the purpose of sales of Products and/or Licensed Services.

Field of Use
Field shall mean in vitro diagnostics for the diagnosis of Target Disease using Ribozymes in Amplified Nucleic Acid Formats.

License Grant
The Company hereby grants a non-exclusive immunity from suit under PCR Technology solely to use Licensed Technology to perform Licensed Services within the United States and its possessions and the Commonwealth of Puerto Rico; gene amplification process known as the polymerase chain reaction ('PCR') technology (by United States Patent Nos. B1 4,683,195 and B1 4,683,202).
License Property
'Licensed Technology' shall mean the application of PCR Technology.

PCR Technology is used to detect the presence, absence or quantity of a nucleic acid sequence associated with a specific human disease or condition.

Field of Use
Licensed Field shall mean the field of human in vitro diagnostics solely for the detection of genetic diseases, genetic pre-disposition to disease, microorganisms associated with infectious diseases, cancer, or for tissue transplant typing or Parentage.
