At such time as any of the Enhancements are incorporated into a Machine, such Machine shall be referred to as an Enhanced Machine.
The field of use is for purposes of processing and extraction of metals and other materials from mining, mine waste or tailings within North America.
Authorized Purpose shall mean the operation of Machines and Enhanced Machines solely to process and/or extract metals and other materials from mines, mine waste or tailings physically located in the Authorized Territory.

Synthesis Technology means inventions (whether or not patentable), ideas (whether or not protected or protectable under trade secret laws), designs, processes, formulas, algorithms and know-how, technical data, research owned or controlled by Licensor and used by it as of the date of this Agreement, or hereafter during the term of this Agreement, that are necessary or useful to synthesize super-hard materials or make or use Synthesis Product or Application.
Trademarks shall mean any and all trademarks, service marks, trade names, corporate names, logos, trade dress, domain names or any other indicator of source or origin pertaining to the Technology, Product or Application.

Licensee’s license is exclusive even as against Licensor for the purpose stated in this agreement; production under the license is authorized and will take place in the Territory at such locations and by such parties as determined by Licensee. Licensee may extend the licenses granted above to its Affiliates and sublicensees.
Licensee further agrees that in any licenses granted to sublicensees, a reasonable initial set-up fee will be paid by sublicensees to Licensee and further transferred to the Licensor for the preparation, testing of materials, transfer of any documentation, designs, drawings or other efforts to apply the Technology the specific application of sublicensees.

Synthesis Products means any machinery, material, equipment, process or system (including hardware and software) utilizing all or any part of the Synthesis Technology.
Licensor owns certain technology relating to materials grinding, separation and synthesis with related commercial processes and applications for various materials and is successor-in-interest to certain Proprietary Information, Proprietary Rights, Technology and Trademarks of Scientific Research Institute of Technological Progress, Limited, a limited company organized under the laws of Cyprus.
Proprietary Rights shall mean patent rights, know-how, copyrights, mask work rights, trade secret rights and all other intellectual and industrial property rights of any sort including, without limitation, all new or useful art, combinations, formulae, manufacturing techniques, technical developments, applications, data, and research results pertaining to the Technology, Products or Applications.
The 'TOR-technology' equipment is best described as a cascaded adiabatic resonance vortex mill utilizing compressed air as the energy in the system. This proprietary technology includes the ability to size and classify material processed by elemental composition and specific gravity.

The Licensor transfers to the Licensee the necessary, and sufficient to use the TOR technology and the utility model Tornado, documentation, provides technical assistance, supervision and, if necessary, the supply of samples and materials, as well as special equipment and produces all the Technical requirements for design and general contracting works for the production of the useful models, units (lines), TORNADO, their certification, for later commercial use.

The Swisher-Br Process is a bromine based leaching process for recovering gold locked in sulfide minerals. The use of bromine as a leaching agent, rather than the traditional cyanide, expedites the natural oxidation process liberating any metals encapsulated by the sulfides. The resultant pregnant solution is then exposed to various resins to selectively remove each type of metal from the pregnant solution. The use of the resins is required as bromine, unlike cyanide, is not gold selective.

Licensor has a proprietary process that extracts Ti values from ilmenite ore to produce pigment grade TiO2 and currently possesses certain hydrometallurgical, mineral processing, mineralogical, and analytical capabilities required to optimise heavy mineral recoveries from a variety of mineral resources and to recover titanium and other metals from heavy mineral concentrates.

(a) an exclusive license to use the Technology and Know-How in the Territory and within the Fields of Use, as described in this Agreement by this reference; and

This proprietary bacterial oxidation technology liberates precious and base metals from difficult-to-treat sulphide ores and concentrates. This is a safe and environmentally-friendly process that has the advantage of improving metal recovery at significantly lower capital and operating costs when compared with traditional treatment methods of smelting, roasting and pressure oxidation.

Moreover, License #2 shall not be deemed to restrict in any way Licensor's right to fully exploit or license its Intellectual Property rights with respect to any products not considered to be Canada and Minnesota Licensed Products (subject however to the provisions of this Agreement).

Authorized Purpose shall mean the operation of Machines solely to produce Ethanol Feed Stock and Byproducts from agricultural commodities, including but not limited to, corn and cellulosic biomass, in the Authorized Territory.
